MEMORANDUM OF AGREEMENT

. This MEMORANDUM OF AGREEMENT entered into this at the City of Santa Rosa, Laguna, by and between:

The City of Santa Rosa, Laguna, with office address at New City Hall, City of Santa Rosa, represented herein by its City Mayor, HON. ARLENE B. ARCILLAS hereinafter referred to as the Party of the First Part;

The VISMIN Multi..:Purpose Cooperative, a cooperative existing under the laws of the Republic of the Philippines, with principal and business address at Ph. 2 Golde:µ City, Brgy. Dila, City of Santa Rosa, represented herein by its Board of Director's Chairperson, Virginia M. Peralta, he~ein referred to as. the .Party of the Second Part;

WHEREAS,. the livelihood program of the Mayor's Office, under the General Fund of the Approved Annual Budget of the year 2011 has been extending to cooperatives financial assistance in the form of loan:;

WHEREAS, to carry out the ?bjectives of the program, the Party of. the First Part re~olved to grant loan to the Party of the Second Part;

. WHEREAS, the Party of the Second. Part wishe.s to avail of such loan and has submitted its Loan Application.and Feasibility.Study;

WHE~AS, the amount of loan extehded to anq r~G~ived by t~e Party of the Second ~art from the Party of the First Part is Two Hundred_ T~19.usand (P200,000.00), Philippine .Currency;

. WHEREAS, that the Party of the Second Part agrees ~nd stipulates that the Loan .. ~e~trietl:t is $Ubject to the provision of the Rules and Regulation of Resolution No: 95 series of \~)! h~reto attached as "Annex A" hereof; . .

WHEREAS, after a careful deliberation and thorough examination of the documents .-:,sub~tted by .tpe_ Party of .the Sec~md _Part established that the Party of th~ Second Part is . a ~.ed beneficiary of the afore-mentioned program of the Party of the Frrst Part, hence the approval bf its Loan Application;

NOW, THEREFORE, for and in consideration of the foregoing premises, and in ~ce o{ th~ purpose of this Memorandum of Agreement;

l . 1he pm.ties hereby agree to execute a LOAN AGREEMENT and stipulate therein the terms and conditions of the Loan. ·

2. The Loan shall be subject to the existmg policies- of the Party of the First Part in granting Loans to beneficiary organizations . .

Greetings from VIS-MIN Multi-Purpose Cooperative, . 41-4~ The VIS-MIN Multi-Purpose Cooperative is a duly registered cooperative· year 2008 With .Cooperative Development Authority (CDA} New Certificate of Registration No. 9520-04012927; CIN No. 01030-40503 and Sanggunian Panlungsod Accreditation thru Kapasiyahan Big 154-2010. /' -

The said cooperative is operational for three consecutive y~ars 2008 to present. It is composed of men and women who are members of VIS-MIN Civic Association of Santa Rosa, Laguna and determined to work for the promotion of its programs and services for the betterment of the living condition among the members. ·

This year 2011, the Cooperative thru its newly elected Board of Directors hopes to expand its services by the plan BIGASANG BAYAN with.the following objectives:

• . To provide b~sic needs particularly food- rice to members of VIS-MIN in the City of Santa Rosa, Laguna;

• To promote the capabilities of every member with particular ·emphasis on , upgrading their skills and talents in rice selling iil order to attract others to participate; and · · ·

• To build a strong determined and committed members to participate and cooperate in rice selling to address their needs and interest thereby creating employment and income among the :members toward·s their quality life.

To . realize our plans of putting up BIGASANG BAYAN, may we request your approval to grant us COOPERATIVE LOAN of TWO HUNDRED THOUSAND ( P 200,000.00) guided by scheme of payments from the CCDO and Accounting Department.

Attached herewith are requirements for cooperative loan: 1) )3oard of Directors Resolution -authorizing the Chairman to transact/loan request; 2) CDA Certificate of Registration; 3) Article of Cooperation and By-Laws; 4) Bio-data of BOD with 2x2 pie; 5) Latest audited financial statement 6) Three years financial Projection; 7) Certificate of Good Standing; 8) Accreditation of Sangguniang Panlungsod; and 9) Validated list of Cooperative members.
