228 MODELO DE CONTRATO DE AGENCIA COMERCIAL

Conste por el presente documento el contrato de agencia comercial que celebran de una

parte _____________________________________, con R.U.C. N ,_____________

con domicilio en, ____________inscrita en la Ficha N ----------- de los Registros

Pblicos de ________, representada por su Director Gerente , con D.N.I. N ________,

segn poder inscrito en ___________ de la ficha registral aludida lneas arriba, a quien

en adelante se le denominar para efectos de este contrato "EL AGENCIADO"; y de la

otra parte don __________________________________, con D.N.I. N__________ ,

domiciliado en __________________________________________, a quien en adelante

se le denominar "EL AGENTE", en los trminos y condiciones siguientes:

PRIMERO: "EL AGENCIADO" declara ser una persona jurdica de derecho privado,

cuyo objeto social es la fabricacin y comercializacin de

______________________________________; por su parte "EL AGENTE" declara ser

comerciante dedicado a ________________________

SEGUNDO: Por el presente contrato "EL AGENTE" promover los productos

elaborados por "EL AGENCIADO" mediante contratos de suministro que celebrar

directamente con los clientes, por una comisin ascendente a ____% del precio de venta

de cada producto colocado en el mercado, que "EL AGENCIADO" pagar a "EL

AGENTE".

Los contratos mencionados en el prrafo anterior sern redactados por "EL

AGENCIADO" y estarn contenidos en un formato tipo.

TERCERO: El plazo de este contrato es de_____________ , contados a partir de

suscrito el presente documento, pudiendo ser renovado por igual plazo y en las mismas

condiciones que las pactadas en este instrumento, previo acuerdo escrito de las partes.

CUARTO: "EL AGENTE" est obligado a promover la comercializacin de los

productos elaborados por "EL AGENCIADO" solamente dentro de la zona establecida

por ste.

QUINTO: "EL AGENTE" deber abstenerse de efectuar prcticas de competencia

desleal; por tanto, se encuentra prohibido de promover y / o comercializar productosparecidos a los fabricados por "EL AGENCIADO.

SEXTO: Dentro de los alcances del presente contrato se encuentra la obligacin de "EL

AGENTE" de promover una cantidad mnima de contratos con los clientes, cuyo

promedio se dispondr cada ___________________________________

SETIMO: Es obligacin de "EL AGENTE" llevar a cabo una eficiente campaa de

publicidad con el f in de promover los productos de "EL AGENCIADO", inclusive

haciendo uso de sus distintivos, debiendo cuidar de no ofrecer ningn producto mayor

al ofertado por "EL AGENCIADO".

OCTAVO: Es obligacin de "EL AGENTE" informar a "EL AGENCIADO" cada El

desarrollo de las actividades para cumplir con el presente contrato, la situacin del

mercado donde se est promoviendo los productos, los precios que ofrece la

competencia, y toda situacin referida a lograr el objeto de este contrato.

NOVENO: "EL AGENCIADO" est obligado a poner en conocimiento de "EL

AGENTE" la relacin de los potenciales clientes en la zona de trabajo asignada.

DECIMO: Las partes convienen en que la zona de actuacin de "EL AAGENTE" ser

la comprendida dentro de ___________________________

DECIMO PRIMERO: Es facultad de "EL AGENCIADO" designar otro agente en la

zona de actuacin indicada para "EL AGENTE", pudiendo tambin aqul efectuar de

manera directa la comercializacin de sus productos en la zona reservada a "EL

AGENTE".

Si "EL AGENTE" garantiza un mnimo de colocaciones de los productos fabricados por

"EL AGENCIADO", ste podr otorgar una determinada zona como exclusiva para el

trabajo de "EL AGENTE".

DECIMO SEGUNDO: Las actividades de "EL AGENTE" se llevarn a cabo en su

local, ubicado en Dicho local, durante la vigencia de este contrato, deber continuar

dotado de la infraestructura con que actualmente cuenta para desempear las labores

objeto de este documento.

DECIMO TERCERO: Cualquier gasto realizado como consecuencia del

funcionamiento de la agencia contratada ser responsabilidad de "EL AGENTE",

inclusive el pago de salarios y dems del personal contratado para tal f i n ,

entendindose que "EL AGENCIADO" se encuentra exento de cualquier

responsabilidad al respecto.

DECIMO CUARTO: Con el fin de garantizar el cumplimiento de las obligaciones

asumidas por "EL AGENTE" en virtud del presente contrato las partes convienen que

"EL AGENTE" haga un depsito de __________________ NUEVOS SOLES.

DECIMO QUINTO: Ser causal de resolucin del presente contrato el incumplimiento

de cualquiera de las prestaciones a que se encuentra obligado "EL AGENTE"; en

consecuencia, la resolucin se producir de pleno derecho cuando "EL AGENCIADO"

comunique va notarial a "EL AGENTE" su decisin de valerse de la presente clusula

resolutoria.

DECIMO SEXTO: Sin perjuicio de lo establecido en la clusula anterior, "EL

AGENCIADO" podr ejercitar su derecho accin de indemnizacin por daos y

perjuicios ocasionados ante el incumplimiento de "EL AGENTE".

DECIMO SETIMO: Para los efectos del presente contrato, las partes sealan como sus

domicilios los indicados en la parte introductoria de este documento, y, en caso de

producirse controversia con motivo de la celebracin y ejecucin del presente contrato,

los contratantes se someten a la competencia territorial de los jueces y tribunales de

DECIMO OCTAVO: El cambio de domicilio de cualquiera de las partes contratantes no

surtir efecto si dicho cambio no ha sido comunicado a la otra parte mediante carta

notarial.

DECIMO NOVENO: En todo lo no previsto por las partes en el presente contrato,

ambas se someten a lo establecido por la normatividad nacional pertinente.

Estando de acuerdo con lo establecido en el presente contrato, las partes lo suscriben.

Recorded herein a commercial agency agreement entered by and between on one hand _

inscribed in Record N __________ in the Public Registers of ________, represented by their

Managing Director, with identity card no.________ , according to registered in theaforementioned registration tab lines above, who henceforth is called for the purposes of this

agreement "THE CONTRACTING PARTY"; and the other party Don

__________________________________, with identity card N ________ domiciled in

_______________________________________ henceforth "THE AGENT", under the following

terms and conditions

First: "THE CONTRACTING PARTY" makes known that he is a legal person governed by private-

law, whose corporate purpose is the manufacture and marketing of

_______________________; for its part "THE AGENT" makes known that he is engaged in

________________________________

Second: Hereby"THE AGENT" will promote the products manufactured by THECONTRACTING

PARTY" through supply contracts directly entered into with the customer, for a commission of

up to __ % of the selling price of each product placed on the market, which "THE

CONTRACTING PARTY" shall pay to THE AGENT".

The contracts referred to in the preceding paragraph shall be drawn up by "THE CONTRACTING

PARTY" and shall be in a standard format.

Third: the term of the present contract will be ___________, following the subscribing of

the present document, being renewable for an equivalent term and in the same conditions as

those agreed in this instrument, upon the prior written agreement of the parties.

Fourth: "THE AGENT" is required to promote the commercialization of products made by "THE

CONTRACTING PARTY" only within the zone prescribed hereby.

Fifth: "THE AGENT" shall refrain from carrying out unfair competition practices; and is

therefore, prohibited from promoting and/or marketing products similar to those made by

"THE CONTRACTING PARTY"

Sixth: Within the scope of this contract is the requirement of "THE AGENT" to establish aminimum number of contracts with the customers, each having an average of _________

7Th: Is "THE AGENT" obligation to carry out an efficient advertising campaign with the f in

promoting the products of "EL attended", including by making use of its distinctive, and must

take care not to offer any product higher than the offered by "THE CONTRACTING PARTY".

agreement.

Ninth: "THE CONTRACTING PARTY" is obliged to inform "THE AGENT" the relationship of

potential clients in the assigned work area.

Tenth: The parties agree that the area of "EL AAGENT" will be the understood within

be responsible for "THE AGENT", including the payment of wages and other personnel engaged

for such f i n, meaning that "THE CONTRACTING PARTY" is exempt from any responsibility in

this regard.

Ten Fourth: In order to ensure the fulfilment of the obligations assumed by "The THE AGENT"

under this agreement the parties agree "THE AGENT" to make a deposit of NUEVOS SOLES.

TEN fifth: Be causal resolution of this agreement the breach of any of the benefits is obliged

"THE AGENT"; Accordingly, resolution will produce full when "THE CONTRACTING PARTY"communicate via attorney to "THE AGENT" his decision to avail themselves of this resolutory

clause.

TEN sixth: Notwithstanding provisions of the previous clause, "THE CONTRACTING PARTY" can

exercise your rights action for compensation for damages due to the breach of "The THE

AGENT".

TEN seventh: For the purposes of this agreement, parties indicate their addresses indicated in

the introductory part of this document, and, in case of dispute on the occasion of the

conclusion and execution of this agreement, the Contracting Parties are subject to the

territorial jurisdiction of the judges and courts of _

10Th eighth: The change of domicile of either of the Contracting Parties shall not take effect if

that change has not been communicated to the other party by letter of attorney.

NINTH ten: In all matters not provided for the parties to this agreement, both are subject to

the provisions of the relevant national regulations.

Being in accordance with this agreement, the parties sign it.
