Annexure-A Tender No: AASL / MMD / DEL / 2019 / COMPREHENSIVE AMC PCs-Printers & Peripherals dt 05 Nov 2019

General Terms and Conditions and Eligibility criteria governing this tender:

1. ‘AASL’ as used in the Tender document means ‘Airline Allied Services Limited’. 2. The “Tenderer” and/or “Party”, as used in the Tender document, shall mean the one

who has signed the tender form and submitted the quotation in response to our tender notice.

3. It is further clarified that any individual signing the tender or other documents in connection with the tender must certify whether he signs as:

A "Sole Proprietor" of the firm or constituted attorney of such sole proprietor.

A partner of the firm if it is a partnership must have authority to refer to arbitration, disputes concerning the business of the partnership either by virtue of the partnership agreement or a power of attorney. In the alternative, the tender should be signed by all the Partners.

Director if company constitution is the type of One Person Company.

Constituted attorney of the firm, if it is a Company.

Authorized signatory of the firm.

4. Tenders should be filled in prescribed forms duly signed and stamped and prices be clearly written/ typed both in words and figures without any overwriting. Corrections & overwriting, if any, should be counter signed by the tenderer.

5. Tenderers are advised to study the tender document carefully. Submission of tender shall be deemed to have been done after careful study and examination of the tender document with full understanding of its implications.

6. Conditional bids would not be accepted, and are liable to be rejected. 7. Sealed/Closed Tender documents are to be deposited/delivered in the Tender box

earmarked for this purpose in the Material Management Department, Airline Allied Services Limited, Alliance Bhawan, IGI Airport, Terminal-1, New-Delhi-110037.Tender documents sent through Post or Courier will be at the risk of the tenderer and AASL will not be responsible for any loss or non-receipt of the tender documents. Tenders received after due date/time will not be entertained/considered. If tender closing/opening date is declared a Holiday in AASL, Delhi Office, the last date of submission/opening of the Bids will automatically stand extended to 15:00 Hrs of the next working day.

8. In the event of default in performance of services, AASL reserves the right to cancel the order and to claim damages from the successful tenderer, and also reserves the right to award the contract to another vendor at the cost and risk of the successful tenderer.

9. PRE QUALIFYING / ELIGIBILITY CRITERIA: Bids of the Tenderers, who fulfill the following pre-qualification requirements and submit documentary proof thereof along with the technical bid, will only be eligible for further evaluation. 9.1 The firm must be authorized service provider of at least one reputed manufacturers of PCs & Laptops /Printers & Peripherals like HP, DELL, IBM, SONY,CANON ,ACER,Asus,Samsung, Brother, & Epson etc, valid certificate to be attached.

9.2 The firm should be in the business of maintenance of computers and laptops (IT and allied electronic equipments) for at least 02 Yrs. (up to 31 Mar 2019) requisite documents to support this claim will have to be produced in original for verification. 9.3 The firm should have registered in Provident Fund / ESI department of central/State Govt. 9.4 The firm must be having an average annual turnover of minimum Rs 1 crore or more in Maintenance Service only, during each of the year 2017-18,& 2018-19. Turnover certificate duly certified by CA to be enclosed. 9.5 The firm should be registered with GST for works contract tax. 9.6 The firm should submit copies of PAN and GST numbers. 9.7 List of Hardware and Network engineers on the rolls of the firm with qualification and experience should be given. 9.8 The address of the workshop with telephone/Cell phone Nos in Delhi /New Delhi should be given.

10. Terms and Conditions of Comprehensive AMC for PCs-Printers-

Peripherals(UPS-Projector-switch&Router-printers-TV/Display units-Sound station-8 port switch-

Laptop-webcam-Scanner)

10.1 The contract will be on Comprehensive basis inclusive of repairs and replacement of spare parts without extra payment. The contract will be effective for a period of Two year from the date of issue of letter awarding contract. No demand for revision of rates on any account shall be entertained during the contract period. The contractor shall be responsible for any loss or damage caused to any of the machines owing to negligence on their part. The contractor will be required to keep Virus-free computer environment in AASL- Alliance Air in accordance with the guidelines prescribed in NIC. The AMC is awarded initially for a period of two year and may be further extended for another two years, renewed on year to year basis, in accordance with the requirements of AASL with the same terms and conditions and same rates or revised rates as the situation warrants, provided AASL is satisfied with the services.

10.2 All computers/ laptops/printers/scanners/ Peripherals(UPS-Projector-switch&Router-

printers-TV/Display units-Sound station-8 port switch-Laptop-webcam-Scanner) assigned to contractor shall be thoroughly inspected by the firm within 15 days of the award of the contract and estimates of pre-maintenance/repairs, if any, submitted within 15 days of the award of the contract. AASL shall not bear any cost on repairs of equipment’s after the contract has been awarded. List of the units which are to be covered in the AMC is attached.

10.3 One expert full time resident engineer with appropriate qualification /

certification- Diploma in Hardware and Networking from a reputed Institute (proof to be submitted) will be deputed to AASL New Delhi for seven days a week (Mon – Sun) from 09AM to 5 PM and if required by AASL- ALLIANCE AIR even on holiday/beyond working hours also. The said persons competency and furnished educational qualification will be vetted meticulously by AASL, IT&MIS Deptt and if found not in tandem with the requirement of the job a suitable replacement against such person is to be provided by the vendor without time delay. He will report to Head of IT & MIS/Designated person,on every day morning and will be available there throughout the working hours. A register will be maintained with the IT&MIS section for recording the complaints. The engineer will maintain a daily record of complaints received/attended/not attended. If the marked engineer is required to take leave, a suitable replacement would have to be provided.

10.4 The contractor shall arrange to get the character and antecedents of the

worker verified from Police authorities before their deployment and their full particulars should be furnished to AASL- ALLIANCE AIR Security Section for the purpose of AEP and working premises entry passes.

10.5 The Resident Service Engineer provided by the firm shall not be changed

frequently. However, if found incompetent by AASL- ALLIANCE AIR either professionally or socially then the firm will be notified of the same and such persons are to be changed by the firm immediately.

10.6 Additional Engineer may be deputed at AASL- ALLIANCE AIR NEW DELHI in

addition to resident engineer whenever there is more workload/complaints/emergency to rectify the equipment within stipulated time.

10.7 Payment for any inclusion / deletion of

computer/Laptop/printer/scanner/peripherals during the AMC period will be calculated on Pro-rata basis. No advance payment in any case would be made.

10.8 The machines are normally required to be repaired on site/ place designated by AASL-Alliance Air New Delhi at office premises only. In exceptional cases when the machine cannot be repaired in the office premises and required to be taken to the workshop/service centre, AASL-Alliance Air will not make any payment towards carriage and the expense for the to and fro transportation of the machines will be borne by the firm concerned. The equipment being taken to the workshop for repair would be at vendor’s own risk and expenses. Any damage or loss caused to the computer/printer/laptop/PERIPHARALS((UPS-Projector-switch&Router-printers-TV/Display units-

Sound station-8 port switch-Laptop-webcam-Scanner) or their part due to negligence, mishandling shall be made good by the company either by crediting the payment(monetary equivalent to loss value) to AASL accounts at prevailing market price of that items or by a brand new one of the same make specifications. Such payment to make good the loss caused by vendor can be executed through standard financial instruments to AASL, Delhi.

10.9 It shall be the responsibility of the firm to make all the

computers/laptops/printers/scanner/Peripherals work satisfactorily throughout the contract period and to hand over the systems in working condition to AASL- ALLIANCE AIR after expiry of contract. In case any damage is found, the firm is liable to rectify it even after the contract.

10.10 Only brand new genuine spare parts are to be used and refurbished/ second

hand spare parts are to be avoided mandatorily.

10.11 In case the contracting firm is not able to accept the contract after it is awarded or if they are not able to do any work w.r.t contract after accepting the contract, such firm will be liable to pay the damage to AASL- ALLIANCE AIR including the cost, which AASL-ALLIANCE AIR will have to incur for getting such work done.

10.12 The above act of backing out would automatically debar the contractor from

any further dealing with this organization i.e, AASL- ALLIANCE AIR and the security money will also be forfeited. Action for blacklisting the contractor for Government contract will also be initiated.

10.13 The payments will be made quarterly. The firm shall submit post quarterly bill along with the satisfactory performance report of all the PC/LAPTOPS/PRINTERS/PERIPHARALS duly signed by the user two weeks before the completion of three months. Head of IT&MIS will reconcile, certify and forward it to finance department . The GST as per Govt instructions/announcements over and above the unit rate/total amount as admissible, will be payable to the firm. This is only a tentative schedule of payment and does not confer any legal or other rights on the firm to proceed against AASL- ALLIANCE AIR in the event of payment gets delayed due to budgetary and other unforeseen circumstances. The payment will be made after proper deduction of TDS as per existing rates and rules.

10.14 Technical and financial bid would be in clear words, categorically mentioning

each and every term specifying the rates etc. Any kind of ambiguous/obscure/unclear terms would lead the firm’s bid dismissed.

10.15 In case the firm fails to cope with the workload or does not render satisfactory

services, the contract awarded to them shall be cancelled forthwith and the security deposit and the payments due to them shall be forfeited. The contract can be terminated summarily by this organization (AASL- ALLIANCE AIR) at any time without giving any notice or without assigning any reason, if the work of the contractor is found unsatisfactory during the execution of this contract. In this connection the decision of the CEO AASL- ALLIANCE Air shall be final and binding on the firm.

10.16 The tender is not transferable.

10.17 AASL- ALLIANCE AIR reserves the right to reject any or all the tenders.

AASL- ALLIANCE AIR reserves the right to award the contract on the basis of quotations for each item of work separately or collectively, like COMPUTER/PRINTER/LAPTOPS/PERIPHARALS etc.

10.18 Comprehensive AMC also to include maintenance services for MS

Office, Lipi Office (Hindi), or any other application software. The firm will provide these softwares and their upgrades. Comprehensive AMC includes replacement of all spare parts, if required for the smooth functioning of the machines.

10.19 The salary disbursement to Resident Engr appointed by the vendor who

is successful in bidding process will be the sole responsibility of the vendor and it has to be ensured that salary of the resident engineer has to be paid on a stipulated date and a receipted copy of salary disbursement slip to the resident engineer has to be furnished to IT&MIS department as well as to Finance department of Alliance Air.

11 SERVICE ASSUARANCE

11.1 A log book shall be maintained by the resident engineer in which the resident engineer shall record all the complaints made. They shall attend to all the complaints received immediately as follows.

(a) Minor Faults immediately (within three hours). (b) Major faults within 24 Hrs by replacement method, with the available spares, on explicit and clear orders of Head of IT & MIS.

(c) The replacement of components, assemblies shall be as per manufacturer’s instructions and under the orders of Head of IT & MIS. (d) The firm shall be responsible for taking backup data and programmed available in PC before attending the fault and shall also be responsible for reloading the same. The backup copies to be returned to the users/Alliance Air IT & MIS Team, under acknowledgement. (e) The firm shall maintain the equipments and shall use genuine/original components for replacement wherever needed. Until and unless written order of the Head of IT&MIS are conveyed, the original specifications/characteristics/features shall not be changed or modified under any circumstances. (f) The firm shall also be responsible for deployment of necessary staff for regular cleaning of all hardware using suitable cleaning material and equipment. Each equipment has to be cleaned once in three months regularly. A register shall be maintained showing the cleaning of each equipment and shall be produced to the Head of IT&MIS for verification of the job.

(g) The schedule of preventive maintenance shall be as follows: (i) Cleaning of contracted IT equipment using dry vacuum air, brush, and soft muslin clothes.

(ii) Running the test programme to ensure quality print/ date reliability. (iii) Checking of energy source for power grounding and safety of equipment. (iv) Ensuring the covers, screws, switches etc are firmly fastened in respect of each equipment.

(v) Scanning of all types of viruses, & elimination of the same. (vi) Shifting of contracted equipments within the building as and when required.

11.2 The firm should put asset number on each of the system being maintained by them. 11.3 The systems that are not made serviceable by the agency due to obsolescence of

technology or non-availability of spare parts/assemblies/components will be withdrawn from the contract. The decision of Head of IT&MIS regarding non availability and obsolescence of technology will be final. Withdrawal of such system shall be communicated by IT&MIS to the contracted firm, Material department and Finance Department and equivalent maintenance charges shall be deducted accordingly.

11.4 AASL-ALLIANCE AIR shall have right to inspect the firm’s site to assess the

infrastructure before awarding the comprehensive AMC and it may reject the contract awarded on dissatisfaction about company’s infrastructure.

11.5 AASL- ALLIANCE AIR reserves the right to increase or decrease quantities any time.

Accordingly the charges will be increase/decrease on pro rata basis. 12. Earnest money deposit (EMD) must be deposited in favour of Airline Allied

Services Limited, payable at Delhi by means of RTGS/Pay order/DD. No other mode of payment will be accepted. In Case EMD is not deposited, or not in the mode specified, the tender would be rejected.

13. The Tenderer must have a Permanent Account Number (PAN). A copy of the PAN is to be submitted.

14. Interested parties are required to visit the site and assess the job before offering price quotes, as the Comprehensive AMC will be carried out by them.

15. The equipment replaced/refitted as new subsidiary component should be Mandatorily Brand New and not refurbished/used.

16. NOTE: It may be noted that documentary proofs, wherever asked for in this Tender, must be attached by the Tenderer in the Technical Bid failing which the Tenderer’s bid is liable to be rejected, however AASL reserves the right to call for any documents which may require for evaluation.

17. Earnest Money: The Tenderer will furnish Earnest Money of Rs25,000 (RsTwenty five Thousand only) in the form of Demand Draft/Pay Order drawn in favour of “Airline Allied Services Limited “payable at Delhi/New-Delhi or through RTGS/NEFT to Airline Allied Services Ltd, A/C NO – 0112005900000017 Punjab National Bank, IFSC code- PUNB0011200, MICR Code - 110024006. Tenders received without EMD will be rejected. EMD in form of other than stated format will not be accepted and quotations shall be out rightly rejected. (Cash & cheque are not acceptable.)

EMD so deposited shall not carry any interest.

EMD of the successful tenderer can be adjusted against the Security Deposit.

EMD will be forfeited in the event of a tenderer withdrawing or modifying his bid after opening of the tenders and till completion of the tender process, and / or in the event of the successful tenderer declining to accept the Purchase Order, or to pay the Security Deposit.

In case of unsuccessful tenderers, EMD shall be refunded without interest, within a reasonable time after finalization of the tender.

18. EXEMPTION FROM PAYMENT OF EMD: It may please be noted that only those MSME Units in India registered with the

NSIC under its Single Point Registration Scheme would be granted exemption from submission of EMD / Bank Guarantee up to the monetary limit as specified by the NSIC in their favor. In case a Tenderer is eligible for exemption from the payment of EMD, documentary proof to this effect must be enclosed. The Tenderer’s are required to attach a notarized copy of the MSME certificate granted by the NSIC in their favour indicating there in the specific production unit, item as registered for, along with the monetary limit for which the MSME Unit has been covered. It may also be noted that this benefit would only be extended to those units that are registered with the NSIC as on date of closing of the tender. Also if its MSME, vendors are required to provide MSME certificate for EMD exemption.

19. Security Deposit: a. The successful Tenderer, on award of LOI / Contract, shall deposit a sum

equivalent to 5% of value of Contract as estimated by ‘AASL’, as Security Deposit in the form of Demand Draft/Pay Order/Bank Guarantee from a Scheduled Bank for defect liability/bad material or poor workmanship. In exceptional cases, depending on merits, ‘AASL’ would reserve the right to deduct the amount of ‘SD’ from any outstanding invoices of the vendor irrespective of the PO/SO Against which the ‘SD’ may be due.

b. The Security Deposit has to be deposited at the time of commencement of the job.

c. In case, Security Deposit is not deposited in time, the bill shall not be processed for payment.

d. In case of breach of Contract or violation of any terms of the contract, the Security Deposit shall be forfeited.

e. Such security Deposit shall not bear any interest, and shall be refunded without interest, only on successful completion of the awarded work and on fulfilling of all Contractual obligations.

f. The Security Deposit / Bank Guarantee will be refunded / returned after the Warranty period is over.

20. Validity of Rates: a. The rates offered/finalized/agreed to by the tenderer shall be exclusive of all

Government Taxes/ Levies and the services thus contracted by the firm shall be executed as per terms and conditions of contract at AASL’s premises at IGI Airport, Terminal-1, New-Delhi - 110037, Alliance Bhawan & Alliance CAMO.

b. Quotations should be valid for a minimum period of 120 days from the date of opening of Bid.

c. The tenderers should commit to pass on the benefit to Alliance Air of reduction in statutory duties, taxes, etc., by the Government, during the period of validity of the Comprehensive AMC..

21. Recovery of Sum Due: a. Whenever under the Purchase Order/Service Order/Agreement any sum of

money is recoverable from the Contractor, AASL shall be entitled to recover such sum by appropriating in part or full from the security deposit already deposited by the Contractor.

b. In the event of the said Security Deposit being insufficient, the balance or the total amount recoverable, as the case may be, shall be deducted from any sum due to the Contractor, under this, or any other Order/Agreement between the Contractor and AASL. Should this amount be insufficient to cover the said full amount recoverable, the Contractor shall pay to AASL the balance amount, if any, within 30 days of the demand by AASL.

c. If any amount due to the company is so set off against the said security deposit, the Contractor shall have to make good, the said amount so set off to bring the security deposit to the original value immediately, and in any event, not later than 10 days of the depletion of the original value.

22. Payment Terms:

Payment will be made within 30-45 days from the date of receipt of the materials / services original invoice submitted quarterly by the firm, whichever is later. Requests, if any, for an earlier payment, or payment against delivery, or advance payment will not be entertained under any circumstances.

23. Penalty Clause: 23.1 Penalty shall be levied @ 1% of the annual Comprehensive AMC charges of that equipment per day, if the equipment contracted is not set right minor faults within 3 hours from the time of complaint registered to the resident engineer. 23.2 Penalty shall be levied @ 2% of the annual comprehensive AMC charges of that equipment for each day (excluding first 24 Hrs), if the equipment is not set right within the stipulated time mentioned in para 11.1(b). 23.3 In case of condition under para 10.8 , the equipment should be reinstalled after servicing within 7 days(if 7th day falls on holiday/govt declared holiday

then next working day). In case of default, the penalty shall be levied at the rate of 2% of the value of the annual AMC charges for those items per day. 23.4 If the company fails to repair/replace the system for one week, such system will be offered for repair from another company/firm and made functional and the expenditure incurred thereupon shall be recovered from the contracted firm for their failure to execute the contract, apart from the penalty levied as stated in preceding para . This may even entail termination of the contract and forfeiture of security deposit. 23.5 Penalty shall also be levied for the absence of resident engineer without replacement from controlling firm @ of Rs 500/- Per day for each day of absence for every working day. 23.6 Penalty clause will be implemented as per tender documents by IT&MIS Deptt. 24. Price Negotiation:

As it is not the general norm for Alliance Air to carry out price negotiations following evaluation of the Financial bids, the tenderers are advised to submit their best quotes in response to this tender. AASL, however, reserves the right to carry out negotiations in exceptional cases with the tenderer who has been evaluated by AASL as having offered the lowest bid in response to the tender.

25 Interpretation: In the event of any difference in the interpretation of any of the clauses of the Service order/Comprehensive AMC/Agreement and/or the tender documents, the clarification given by chief of Materials Management, AASL, Northern Region, shall be final and binding.

26 Arbitration: Any dispute arising between the parties in respect of the construction, interpretation, application, meaning, scope, operation or effect of this document or the validity or breach thereof, shall first be settled by mutual consultation. If the dispute remains unresolved after a period of 90 days from the date when the mutual consultation has started, the matter shall be referred for settlement to ‘SCOPE FORUM OF CONCILIATION AND ARBITRATION’, Govt. of India, and the award made in pursuance thereof shall be binding on the parties.

27 Jurisdiction: Any dispute whatsoever shall be subject to the jurisdiction of the courts of

Delhi only.

28. FORCE MAJEURE

28.1 The AASL-ALLIANCE AIR or the second party, against the other, in case of any failure or omission or calamities such as fires, floods, earthquakes, hurricanes, or civil strikes, under any statute or regulations of the government, lock outs, strikers, riots, embargoes from any political reasons beyond the control of any part including war(whether declared or not), civil war or state of insurrection shall give notice to other party within 15 days of the occurrence of such incident that on account of the above event the notifying party has delayed the performance of its work as it was beyond its reasonable control and it has not occurred due to negligence or default on its part.

28.2 Either party, as and when gives notice of force majeure shall provide confirmation of such event in the form of a certificate from the Government

department or agency or chamber of commerce. The parties shall be relieved of their respective obligations to perform, hereunder for so long as the event of force majeure continues and to the extent their performance is affected by such an event of force majeure provided notices as above are given and the event of force majeure is established as provided hereinabove.

28.3 If the firm/vendor/agency quotes NIL charges/consideration, the bid shall be treated as unresponsive and will not be considered.
