Financing Instruments

• Investment Project Financing provides IBRD loan, IDA credit/grant and guarantee financing to governments for activities that create the physical/social infrastructure necessary to reduce poverty and create sustainable development.

• Development Policy Financing provides IBRD loan, IDA credit/grant and guarantee budget support to governments or a political subdivision for a program of policy and institutional actions to help achieve sustainable, shared growth and poverty reduction.

• Program-for-Results links disbursement of funds directly to the delivery of defined results, helping countries improve the design and implementation of their own development programs and achieve lasting results by strengthening institutions and building capacity.

Component 2 – Priority Flood Risk Reduction Interventions (Estimated Cost: US$ 406 million)25. Priority Flood Risk Reduction Investments in Tham Luong – Ben Cat – Rach Nuoc Lensub-catchment. This component would support the City in implementing significant structural measures proposed in the JICA Plan (Plan 752). The scope of this work including:2.1. Construction of 2 tidal sluice gates at the end Vam Thuat and Rach Nuoc Len canal tocontrol tidal inflows.2.2. Improvements to the Tham Luong – Ben Cat – Rach Nuoc Len Canal through dredging and constructing embankments to improve its ability to discharge flood waters at the safety level of 100-year return period. At the sub-catchment level, the proposed project will examine options for storm water retention, infiltration, green areas, and pervious concrete.2.3. Construction of a primary and secondary combined storm water drainage and waste water sewage system in Go Vap District at the safety levels of 20-year and 10-year return period, respectively.2.4. Improvement of secondary canals that are connected with primary Tham Luong – Ben Cat –Rach Nuoc Len Canal at the safety level of 10-year return period to improve the urban flood management and to reduce the pollution of the Canal and Sai Gon River with sewage water.2.5. Provision of consultant services, as well as project monitoring and evaluation (M&E)functions including independent monitoring of RAP and EMP implementation, also to help the City to prepare and carry out the implementation of land acquisition and environmental impact mitigation plan.

Specifications

Generally, there are two broad categories of specifications.

• Conformance based specifications describe in detail the technical requirements of the design, method of production, construction and/or delivery.• Performance based specifications describe the outcomes or results required in terms of business or functional performance requirements. The evaluation of performance specifications can use a mixture of qualifying and rated criteria.

Notification of Intention to Award (NIA)

Once borrower decides who to award contract to it must inform other bidders/proposers

Send NIA to each bidder/proposer that submitted bid/proposal (but not to those who have previously been told they were not successful)

1.1 IPFプロジェクトの調達においては、持続可能な開発の推進に当たり、借入者が、Value for Money (VfM)を公正な形で確保できるようでなければならない。

利益相反機材、工事、及び非コンサルティング・サービス

3.15 以下のいずれかに該当する企業は、調達プロセスにおいて利益相反が存在するとみなされる。

a. プロジェクト準備または実施のためのコンサルティング・サービスに従事し、かつ、そのコンサルティング・サービスの結果として発生した、または直接関係する調達に従事する場合。

なお、この規定は、1）直接的または間接的に当該企業を支配する関連会社、2）当該企業により支配される関連会社、3）当該企業と共通の支配下にある関連会社にも適用される。

ただし、この規定は、ターンキー契約またはデザイン・ビルド契約の下で当該契約企業の義務を共同履行する構成企業には適用されない。

3.16 世界銀行は、コンサルタントに以下を義務づけている。a.偏見のない専門的助言を客観的立場に立って与える。b. 常に借入者の利益を最優先させる。c. 助言を提供するに当たって、他の委託業務や自社の利害への抵触

を避ける。

不公正な競争上の優位性3.18 、、、コンサルタントやその子会社が、かつてかかる業務に関連し

たコンサルティング・サービスを提供したからと言って、優位に立つことは認められない。そのため、借入者はショートリストに残ったすべてのコンサルタントに対し、プロポーザル提出依頼と同時に、競争上優位となるすべての情報を開示するものとする。

3.23 d. 世界銀行は、以下のすべてに該当する場合に限り、借入国の政府役人及び公務員を借入国におけるコンサルティング契約で個々に、またはコンサルティング企業により提案された専門家チームのメンバーとして雇用することに、ケースバイケースで合意する場合がある。

i. 当該の政府役人及び公務員のサービスが、ほかに代わる適切な存在がないほど優れたものである、またはその参加がプロジェクトの実行に不可欠である。ii. 当該の雇用が利害抵触を生まない。iii. 当該の雇用が借入国の法令や政策に抵触しない。

調達関係の異議

3.26 調達関係の異議は、調達プロセスの適切な段階において借入者に対して適時に提出されるべきである。かかる異議が提出された場合、借入者は速やかかつ適切に対処しなければならない。当該調達の関わるプロジェクトの不当な遅延や混乱を回避するため、異議の提出においてもその解決においても、適時性が極めて重要となる。

付記IV. 不正と腐敗2. 要件2.1 世界銀行は、世界銀行の融資による契約の調達プロセス、選定、及び契約履行の期間を通じて最高の倫理基準に従い、不正と腐敗に手を染めないよう要求している。対象となるのは、1）借入者（世界銀行融資の受益者を含む）、入札者（応募者／プロポーザル提出者）、コンサルタント、施工業者、及びサプライヤー、2）下請業者、下請コンサルタント、サービス提供者、またはサプライヤー、3）代理人（正式表明しているか否かを問わない）、4）それらの人員である。

中古機材の調達

類／見積り／入札／プロポーザルの受領、その他の調達活動の実施について、電子調達システム (e-Procurement)を使用することができる。ただし、世界銀行がアクセス性、セキュリティ、公正性、機密性、監査証跡機能などシステムの適切性に満足している場合に限る。

調達計画・追跡ツール5.9 借入者は、IPFプロジェクトの調達計画を作成し、承認を得、更新し、な

らびにあらゆる調達取引を実施するに当たり、世界銀行のオンライン調達計画・追跡ツールであるSTEPを使用するものとする（ただし、LegalAgreementの中に世界銀行との別段の合意がある場合を除く）。

5.20 借入者は、当該の調達文書における手続きに従って応募書類／入札／プロポーザルの評価結果を借入者が通知するまでの間、応募書類／入札／プロポーザルの審査、説明、評価に関係した情報について、その内容がいかなる入札者／プロポーザル提出者／コンサルタントにも、そうした種類の情報へのアクセス権のないいかなる者にも、開示されることがないよう、取り扱わなければならない。

コミュニケーション

5.21 調達プロセスの各段階における借入者と応募者／入札者／プロ

5.66 借入者は、極端な低価格となりそうな入札／プロポーザルだと判断

した場合、入札／プロポーザル価格の詳細な価格分析を含め、契約の主題、範囲、提案されている方法、スケジュール、リスクと責任の配分をはじめ、入札依頼書／プロポーザル提出依頼書の要件との関係における説明を書面にて提出するよう、入札者／プロポーザル提出者に要求するものとする。

5.67 価格分析の評価後、入札者／プロポーザル提出者は提示価格に

て契約を履行するケイパビリティを備えていることを実証していないと借入者が判断した場合、借入者は入札／プロポーザルを拒絶するものとする。

停止期間

5.78 入札者／プロポーザル提出者／コンサルタントが契約内定通知を検討し、異議の提出が適切であるかどうかを評価する時間を与えるため、停止期間が適用になるものとする

5.79 停止期間は、借入者からの契約内定通知の送付をもって開始となる。5.82節に従って延長されない限り、この送付日から10営業日を停止期間とする。停止期間の前及び期間中は、契約を授与してはならない。

借入者による結果説明5.81 契約に至らなかった入札者／プロポーザル提出者／コンサルタントは、

所定の選定方法

プロポーザル提出依頼 (RFP)

6.3 RFPは、プロポーザルを募集し、競争を通じて選定する方法である。調達する機材、工事、または非コンサルティング・サービスによっては、その性質及び複雑さゆえに、プロポーザル提出依頼書の要求事項を満たす形が様々に異なる。プロポーザル提出者に、それぞれカスタマイズされた解決策を認めた方が、借入者の事業ニーズがより満たされることがあり、そうした場合に、RFPを使用すべきである。

6.4 RFPは通常、マルチステージ方式で実施される。プロポーザルが提出依頼書の要求事項をどの程度満たしているかを評価できるよう、通常はRated-typeの評価基準が用いられる。詳細は、付記XII 「選定方法」を参照。

6.32 …..国際競争調達において、…… BAFOとは、借入者が、要求事項を十分に満たした入札／プロポーザルを提出した者に対し、ベスト・アンド・ファイナル・オファー (BAFO)の提出を再度招請するプロセスである。そのようなプロセスが適切となり得るのは、入札者／プロポーザル提出者が最終書類を改善するため、価格を下げたり、応募書類を直したり、追加資料を提出するような場合で、それが調達プロセスにプラスに働くことが条件となる。…. 入札依頼書／プロポーザル提出依頼書の中に以下の点を明記するものとする。a. BAFOが用いられるか否か。b. 入札者／プロポーザル提出者にBAFOの提出義務はない。c. BAFO提出後、ネゴシエーションは行わない。

6.33 BAFOが用いられる場合、借入者は、公正監査人を手配しなければならない。かかる公正監査人選定は、世界銀行との間での合意が条件となる。

ステージの対話型選定方式である。借入者は、競争的対話方式使用を正当化する根拠をPPSDの中で示すものとする。この方式は、複雑または革新的な調達でのみ使用が可能である。

6.40 競争的対話方式が適切となり得るのは、以下の場合である。a. ……..詳細な技術的・商業的アレンジについて、当事者間の協議と進展が

6.43 世界銀行は、PPPアレンジ、…..の下で調達が行われるプロジェクトまたは契約のうち、以下のすべてに該当するものについては、その費用を融資する場合がある。対象となるアレンジには、建設・所有・操業方式 (BOO)、建設・操業・移譲方式 (BOT)、建設・所有・操業・移譲方式 (BOOT)、コンセッションなどが含まれる。a. 世界銀行の調達の基本原則に沿って選定されている。b. 世界銀行の不正対策ガイドラインを適用した上で、選定されている。c. 本調達規則に定める条件に適宜、合致している。

Framework Agreement (FA)6.57 FAは、FA期間中になされる契約（以下、「コールオフ契約」という）に

適用される条件を定めたアレンジであり、1社または複数の企業との間で結ばれる。通常、ここで定められる条件には、手数料、料金、または価格決定方法が含まれる。FAは、一定期間中に必要に応じて生じると予想される機材、工事、または非コンサルティング・サービスの調達について締結されることがある。FAはいずれの当事者に対しても調達または供給を義務付けるものではない。FAの締結により、機材、工事、または非コンサルティング・サービスの調達が迅速化、効率化される。複数の企業が当事者となっているFAにおいては、借入者は、多数の企業の中から選定できるので、調達案件ごとに最大のValue for Moneyを確保するのに役立つ。

Performance baseの契約

6.60 Performance baseの契約とは、インプットではなくアウトプット（パフォーマンス目標に照らした成果）を測定して支払いが行われる契約関係をいう。成果は、品質、量、信頼性における機能面のニーズを満たすようにする。支払いは、求められる品質水準にて納品されたことを前提に、納品された成果の数量に応じて行われる。成果の質が低い場合、支払い金額の引き下げ、または支払いの保留が可能であり、成果の質が高めの場合、割増金が支払われることもある。契約者は、有効性が証明された確かな経験に基づき、最も適切な方法を自由に提案することができ、提案に当たっては、入札依頼書／プロポーザル提出依頼書に明記された品質水準を達成できる旨を明示するものとする。
