Reporting to the Chairman & Managing Director the role envisages me to be a member of the Global Group’s Core Management Team & think tank. Formulation of the Group’s Capital Markets, Corporate Finance, M&A, Debt Restructuring & Risk management Strategy are salient features of my role within the Group. The highlight of my role is primarily to structure and lead negotiations for all corporate transactions across corporate finance, M&A, business and treasury.

Key Highlights and Achievements

1) Corporate Finance Transactions

Raising, Structuring and Negotiating over USD 3 billion dollars in Corporate Finance and resource mobilisation by the Global Group and then restructuring these debts :-

Over Rs. 8000 Cr. (US$ 1.4 Bn) Project Financing documentation with commercial banks for GTL Infrastructure Ltd’s tower assets roll-out.

Raised GTL Infrastructures US$ 300 mn Foreign Currency Convertible Bonds US$ 300 Mn Listed Non Convertible Debenture of GTL Ltd. US$ 260 Mm shareholder financing for the Group Holding Company a multi-

jurisdictional international transaction US$ 150 Mn External Commercial Borrowings of GTL in the London Market CHF 80 Mn FCCB in the Swiss market Euro 60 Mn. Project Finance Loan for GTL Infrastructure Ltd with a German

Development Finance Institution Investment by IDFC PE in GTL Infrastructure taking a crucial 5% stake pre listing Rights Issue to the shareholders of GTL Infrastructure raising over Rs. 500 Crores

2) Restructuring of Global Group Debts

Corporate Debt Restructuring of Global Groups Rs. 18000 Crore Debt comprising of Rupee and Foreign Currency Debt both in listed and unlisted companies of the Group

Successfully Restructuring US$ 300 mn FCCB for a further period of 5 years Successfully Restructured USD 150 mn ECB for a further period of 5 years Consolidated founders’ shareholding into a single holding company for the Group,

enhancing transparency and financing flexibility. Also, managed to help founders to consolidate shareholding by managing equity share buyback.

Restructured the Group’s overseas holding subsidiary to a different jurisdiction to achieve greater tax efficiency on withholding and corporate tax, improve transparency and capital efficiency.

3) Merger and Acquisition Transactions Leading the structuring and negotiating teams in the following M&A transactions

Acquisition of the tower assets of Aircel by GTL Infrastructure Ltd through an SPV. This Rs. 8400 Cr. (USD 1.9 Bn.) transaction is the largest all cash M&A transaction in India.

Successfully Spinning off GTL Infrastructure Ltd a new listed Tower entity from GTL Ltd which required very intricate financial, legal & tax structuring

Cross border acquisitions of Genesis Technologies in the UK, ADA Cellworks in Malaysia and SCS LLC in the USA for Global. Average deal size was US$ 10 mn.

The divestment of the Enterprise Division of GTL Ltd. worth US$ 40 mn to the France Telecom Group in a tax neutral transaction.

Formed Joint Venture with Qualcomm for 4G Spectrum which was successfully divested to Bharti Airtel Group

As Head M&A in early 2000-02 acquired/funded Fine Infotech, Thermax Software, Agriwatch.com and Razorfinish.com average deal size of US$ 8 million

GTL Infrastructures bid for Reliance Infratel of US$ 10 Billion GTL Infra’s bid for Essar Towers a USD 600 Mn transaction Excel Towers USD 140 Mn Acquisition of Towers of Saudi Telecom in a Joint Bid with Mubadala US$ 240 Mn acquisition of Aircom Ltd. UK

1995-1999 – Manager Finance

Was a member of the core project team responsible for conceptualization, financial closure, commencement, business maturity and divestment of Global Electronic Commerce Services Ltd. This was the first electronic commerce company in India and was divested at a value of US$1.2 billion to marquee investors like CSFB, Bank of America, UTI, GIC among others.
