WITNESSETH, That:

WHEREAS,theProcuringEntityisdesirousthattheConsultantundertaketheConsulting Services for the Conduct oi mport.Eval.uation Study of Luguna de Bay

Institutional strengthening and comminity barticipation Proiect in calabarzoz and has

accepted the proposal/bid b; the Consulturifo, the cbnduct and completion of said services'

and remedying of ,"y d.f# therein, for the sum of Four Million, sixty-Nine Thousand'

Nine Hundrea norty-Nin. p".or & 80/100 (PhP4,069,949.80), inclusive of all applicable

government taxes and charges;

NOW THEREFORE, for and in consideration of the foqegoing premises, the Procuring

Entity and the Consfiant have agreed on the following terms and conditions:

l. In this contract Agreement, words and expressions shall have the same meaning

as are ,.rp""ii".f iassigned to them in the conditions of General Conditions of

Contract hereinafter referred to'

2,Thefollowingdocumentsshallbeattached,deemedtoform,andbereadandconstrued ut futt of this Contract Agreement' to wit:

(a) General Conditions of Contracq

(b) Conformed and Approved Terms of Reference;

(c) Request for Expression oflnterest;

iOi etigiUitity Requirements, Documents and/or Statements;

(e) lnstructions to Bidder/s;

(f) Supplemental/Bid Bulletins;(g) Consultant's Bid, Technical and Financial Proposals, and all other

documents/statements contained in the Consultant's bidding envelopes,as annexes;

(h) Evaluation ofthe End-User on the Technical Proposal ofthe Consultant;(i) Notice of Award and the Consultant's Conforme thereto;() Performance Security;(k) Notice to Proceed; and(l) Other contract documents that may be required by existing laws and/or the

Procu ring Entity.

3. The Consultant shall stricdy observe duties and responsibilities stated in theconformed Terms of Reference.

4. In consideration of the payments to be made by the Procuring Entity to the

Consultant, the Consultant hereby covenants with the Procuring Entity toexecute and complete the required consulting services within the period agreed

upon and remedy any defects therein, in conformity with the provisions of this

Contract Agreement in all aspects.

The Procuring Entity hereby covenants to pay the Consultant in considerationofthe Consultant's execution and completion ofsaid services as stipulated under

Section X ofthe Terms ofReference.

Any amendment to this Contract Agreement shall be made mutually in writingand signed by the Procuring Entity and the Consultant.

Should any dispute related to this contmct and/or rights ol the Parties arise, the

same shall be submitted in mutual consultation, mediation and arbitration, in

order of application. The venue of the proceedings shail be at Calamba City,

Laguna.

In case of court suit, the venue shall be the courts of competent jurisdiction in

Calamba City, to the exclusion of all other courts

This Contract Agreement shall commence seven days upon receipt by the

Consultant of the Notice to Proceed and shall be effective until the issuance ofacceptance ofthe Final Report by the Procuring Entity.

Failure to comply with the Terms and Conditions of this Contract Agreement will

result in the payment ofcorresponding penalties/liquidated damages- The amount

of liquidated dimages shalJ be at least equal to one-tenth ofone percent (0 1%) ofthe cost of the unperformed portion for every day of delay Once cumulative

amount of liquidated damages reaches ten (10) percent of the Contract Price, the

Procuring Entity shall rescind the Contract Agreement, without prejudice to

other courses of action and remedies open to the Procuring Entity'
