PREMESSALe presenti condizioni generali:(a) si applicano a tutte le offerte, i preventivi, le vendite, le forniture, le consegne nonché a tutti i relativi e conseguenti atti e operazioni di Bisazza S.p.a. e/o di tutte le sue Filali estere e/o di tutte le società italiane o straniere del Gruppo Bisazza (nel seguito anche ‘Bisazza’ o ‘ venditore’), presentati e/o stipulati con i propri distributori e/o rivenditori commerciali e/o comunque con soggetti professionali che acquistano i prodotti Bisazza non quali clienti finali ma nell’ambito delle proprie attività commerciale o d’impresa (nel seguito “compratore”).(b) si considerano conosciute da tutti i compratori e fanno parte integrante dell’ordine.(c) annullano e comunque prevalgono su qualunque altra confliggente clausola stampata e/o manoscritta sugli ordini, sulle richieste di offerta e sulla corrispondenza dell’acquirente.

1) OFFERTA ED ACCETTAZIONE1.1 Tutte le offerte di Bisazza debbono considerarsi non vincolanti.1.2 Qualora il compratore faccia pervenire al venditore per iscritto (anche a mezzo fax, e-mail o altro supporto elettronico) un ordine, questo diventerà vincolante per Bisazza solo ed esclusivamente nel momento in cui la stessa invierà al compratore la propria conferma d’ordine sottoscritta.1.3 La fornitura comprenderà i materiali e i quantitativi di merce specificati nella conferma d’ordine Bisazza, che costituirà l’unico documento per il controllo dei prezzi e delle quantità e che prevarrà sull’offerta e/o sull’ordine del cliente.1.4 Nessuna richiesta di annullamento né di modifica da parte del compratore sarà accettata da Bisazza qualora pervenga oltre i 4 giorni dalla data di emissione della conferma d’ordine, con conseguente irrevocabilità della stessa.

2) PREZZI2.1 I prezzi dei prodotti Bisazza sono quelli indicati nella conferma d’ordine.

3)IMBALLAGGIOECONSEGNADELMATERIALE3.1 Nel prezzo di vendita è incluso l’imballaggio standard.3.2 Gli imballaggi Bisazza non garantiscono l’impermeabilizzazione della merce e dei prodotti in essi contenuti.

4)CONDIZIONIDICONSEGNA4.1 I termini di consegna non sono tassativi, salvo diverso accordo scritto.4.2 Pertanto, eventuali ritardi non potranno dar luogo a richieste di risarcimento danni o risoluzione, anche parziale, del contratto.Quale data di consegna si considera quella di emissione della bolla di consegna ovvero quella della comunicazione al cliente di disponibilità alla consegna delle merci.4.3 Qualora un evento di forza maggiore impedisca al venditore di adempiere il contratto, egli può, a sua discrezione, senza intervento dell’Autorità Giudiziaria, o sospendere l’esecuzione fino a che non cessino le circostanze di forza maggiore, o risolvere, senza intervento dell’Autorità Giudiziaria, il contratto del tutto o in parte, senza essere tenuto a risarcire danni.4.4 Si intende per forza maggiore qualsiasi circostanza indipendente dalla volontà del venditore la quale circostanza impedisca permanentemente o temporaneamente l’adempimento del contratto, come per esempio guerra o minaccia di guerra, sommossa,

mobilitazione parziale o generale, sciopero, carenza di materie prime, arresto della fornitura di merci da parte di subfornitori, eventi imprevisti che colpiscono l’azienda, difficoltà nei trasporti, limitazioni a importazioni ed esportazioni, gelo, incendio, epidemie, calamità naturali e non, e altri impedimenti imprevisti che rendano parzialmente o totalmente impossibili la fabbricazione o il trasporto dei beni. Le disposizioni del presente articolo si applicano anche qualora le circostanze menzionate riguardino fabbriche, fornitori o altri commercianti dei quali il venditore acquisti cose o servizi.4.5 Ogni responsabilità della società Bisazza cessa con la consegna della merce al vettore (nei confronti del quale il compratore dovrà sporgere eventuali reclami). Le spedizioni, via mare o via terra, concernenti le forniture all’estero, vengono effettuate in base alle condizioni scelte di volta in volta, riportate negli Incoterms approvati dalla Camera di Commercio Internazionale nel 2000 e successivi.

5)CONDIZIONIDIPAGAMENTO5.1 II pagamento delle forniture Bisazza dovrà essere eseguito integralmente secondo le modalità riportate sulla conferma d’ordine e/o sulla fattura.5.2 I termini contenuti nella conferma d’ordine e/o nelle fatture di vendita debbono intendersi tassativi e potranno essere derogati solo previo accordo scritto con il venditore.5.3 La società Bisazza ha facoltà di pretendere a sua insindacabile discrezione il pagamento totale anticipato in contanti al momento dell’ordine.

6) MANCATO O RITARDATO PAGAMENTO6.1 Scaduto il termine di pagamento, il compratore inadempiente dovrà considerarsi costituito in mora di diritto.6.2 II ritardo nel pagamento, anche parziale, delle fatture emesse da Bisazza darà luogo quindi all’immediata decorrenza degli interessi di mora nella misura del tasso ufficiale di riferimento aumentato di sette punti ed all’addebito delle spese legali extragiudiziali sostenute da Bisazza per ottenere il recupero del credito.6.3 In caso di ritardo da parte del compratore o nel caso che il venditore abbia ragione di temere che il compratore non adempirà le sue obbligazioni di pagamento, il venditore, senza che questo possa essere oggetto di una richiesta di risarcimento di danni da parte del compratore, potrà, salvi ed impregiudicati ogni suo maggior diritto e azione:(a) esigere pagamento anticipato o garanzia;(b) annullare l’evasione di eventuali altri ordini in corso con il compratore;(c) sospendere o revocare in tutto o in parte l’esecuzione di tutti i contratti di fornitura in essere con il compratore o di quelli connessi, precedenti o successivi;(d) revocare eventuale termini di pagamento di favore convenuti, eventualmente con estensione ad altri contratti, rendendo pertanto immediatamente esigibili tutti i crediti pendenti con il compratore;(e) sospendere le obbligazioni che gli derivino da altri eventuali contratti con il compratore.

7) GARANZIE E CARATTERISTICHE PARTICOLARI DEL MATERIALE7.1 Bisazza garantisce che il proprio materiale è conforme alle caratteristiche fisiche, chimiche, meccaniche, dimensionali indicate nel presente catalogo/ordine.7.2 Il Cliente dichiara di conoscere ed espressamente accettare le descritte caratteristiche del prodotto Bisazza, rinunciando ad ogni eventuale contestazione al riguardo.

8) RECLAMI8.1. Per reclami si intendono tutte le lamentele del compratore che si riferiscano alla qualità della merce o dei beni forniti. Al momento stesso del ricevimento della merce il compratore deve verificare o fare verificare la loro conformità al contratto.8.2 Il compratore non può far valere il fatto che la merce fornita non sia conforme all’ordine, se ha omesso detta verifica o non mette al corrente del difetto il venditore entro i termini indicati al punto 9.3 che segue.8.3 Il compratore dovrà denunciare i vizi per iscritto al venditore entro e non oltre 8 giorni dal ricevimento della merce, pena la decadenza. In ogni caso l’azione per far valere i diritti, salvo il termine di decadenza di 8 giorni, si prescriverà in un anno dalla consegna della merce.8.4 I reclami vanno presentati per iscritto menzionando i dati della conferma d’ordine, il numero di identificazione dei colli e i numeri di fattura e di polizza di carico.8.5 In caso di reclamo il compratore deve mettere la merce contestata a disposizione di tecnici ed esperti inviati dal venditore.8.6 In caso di reclami tempestivamente presentati e risultati fondati a seguito della verifica eseguita dai tecnici Bisazza, l’obbligo di quest’ultima si limiterà alla sola sostituzione della merce non conforme, senza diritto per l’acquirente di chiedere la risoluzione del contratto o la riduzione del prezzo e/o il risarcimento danni e il rimborso delle spese sostenute a qualunque titolo.

9)CONDIZIONIPERILRESODELLAMERCE9.1 Non è autorizzato il reso, anche parziale, della merce fornita, salvo il caso di preventiva autorizzazione scritta della società Bisazza.9.2 Per poter effettuare un reso deve pervenire alla società Bisazza richiesta scritta dell’acquirente entro otto giorni dal ricevimento del materiale. Le richieste pervenute oltre tale termine non saranno prese in considerazione.9.3 Qualunque richiesta di reso dovrà pervenire alla società Bisazza prima dell’installazione della merce, altrimenti non sarà accettata.9.4 Non saranno accettati resi per errori da parte del cliente (colore e/o quantità) o modifiche tardive dell’ordine.9.5 Non saranno accettati resi che non siano stati previamente autorizzati da Bisazza con il modulo di autorizzazione al reso di merce. Per quanto riguarda i resi nell’ambito nazionale nell’autorizzazione al reso ci sarà l’indicazione del trasportatore che si dovrà occupare del rientro della merce a spese di Bisazza.9.6 La merce dovrà essere restituita nel suo imballaggio originale, perfettamente integro, su pallet ove del caso, e protetta dall’umidità.9.7 Nel caso in cui la merce resa giunga danneggiata presso il deposito Bisazza, non verrà accettata.9.8 All’imballaggio dovrà essere acclusa una copia del modulo di autorizzazione con la data limite per il reso della merce chiaramente evidenziata, oltre al documento di trasporto del Compratore che riporti in maniera chiara e leggibile la quantità e la descrizione della merce resa.9.9 Bisazza si riserva la possibilità di addebitare eventuali costi qualora, dopo verifica presso i propri stabilimenti dei materiali, risultasse immotivata la richiesta di reso.

10)RESPONSABILITA’RELATIVEALLAFORNITURA10.1 Il venditore non è mai responsabile per danni indiretti, tra i quali il lucro cessante, il danno emergente, i mancati ricavi e il fermo di produzione.10.2 Le limitazioni di responsabilità di cui sopra non

valgono in caso di dolo o colpa grave del venditore.10.3 Il compratore garantisce il venditore da tutte le rivendicazioni che possano avanzare terzi, compresi i subordinati del venditore o del compratore, in relazione alla merce fornita.

11) RESPONSABILITA’ RELATIVE ALLA POSA DEIMATERIALI11.1 Bisazza con la fornitura del materiale non fornisce in alcun modo il servizio di installazione.11.2 Bisazza declina quindi ogni responsabilità per difetti e/o vizi che dovessero essere imputati alle operazioni di posa. Pertanto non saranno accettati reclami, né richieste di risarcimento danni derivanti da difetti e/o inconvenienti causati durante l’attività di posa, che dovessero pregiudicare l’uso del materiale fornito, se le sue caratteristiche fisiche, chimiche, meccaniche, dimensionali risultano conformi alle norme con le quali esso è stato ordinato e fornito.

12)BREVETTI,MARCHI,SEGNIDISTINTIVI,SOFTWARE12.1 Il compratore riconosce espressamente che il nome ed il logo di BISAZZA, la sua composizione grafica ed il know how relativo ai prodotti forniti costituiscono oggetto di proprietà intellettuale ed industriale di BISAZZA S.P.A. e/o di società del gruppo tutelato dalle leggi sul diritto d’autore e della proprietà industriale.Ogni loro uso abusivo sarà pertanto sanzionato ai sensi di legge.12.2 Il compratore non potrà in alcun caso, senza la preventiva autorizzazione scritta di Bisazza, utilizzare, cancellare, rimuovere alcuna indicazione relativa ai brevetti, marchi denominazioni commerciali o di origine apposti da Bisazza sui prodotti forniti.

13)LEGGEAPPLICABILEGIuRISDIZIONE E FORO COMPETENTE13.1 Tutte le controversie derivanti dalle presenti Condizioni Generali e/o dagli ordini eseguiti in base alle stesse saranno disciplinati, per tutto quanto non previsto dalle presenti condizioni di vendita, in via esclusiva dalla legge di nazionalità della società Bisazza che ha sottoscritto la conferma d’ordine.13.2 Tutti tali controversie saranno devolute alla giurisdizione esclusiva del giudice ordinario dello Stato a cui appartiene la società Bisazza che ha sottoscritto la conferma d’ordine.13.3 In deroga ad ogni altro criterio di legge o convenzionale, la competenza territoriale è altresì riservata in esclusiva al Foro della città in cui ha sede la società Bisazza che ha sottoscritto la conferma d’ordine.

INTRODuCTIONThese general conditions:(a) apply to all offers, estimates, sales, supplies, deliveries, as well as all measures and operations relating to or resulting from them taken or carried out by Bisazza S.p.a. and/or all/any of its overseas branch offices and/or all/any of the companies, whether Italian or foreign, in the Bisazza group (hereinafter referred to as “Bisazza” or the “seller”), submitted and/or entered into with its distributors and/or dealers and/or in any event professional subjects purchasing Bisazza products, not as final customers, but as part of their sales or business activities (hereinafter referred to as the “buyer”);(b) all buyers are deemed to be familiar with them and they form an integral part of the order;(c) they cancel and in any event take precedence over any other conflicting clause printed and/or hand-written on orders, requests for offers or in the buyer’s correspondence.

1) OFFER AND ACCEPTANCE1.1 No offer made by Bisazza shall be treated as binding.1.2 An order which is sent by the buyer to the seller in written form (also by fax, e-mail or other electronic means) shall become binding on Bisazza solely and exclusively when the company sends the buyer its signed order confirmation.1.3 The supply shall include the materials and quantities of merchandise specified in the Bisazza order confirmation, which shall constitute the only document of reference when checking prices and quantities and shall have precedence over the offer and/or customer’s order.1.4 No request from the buyer for either cancellation or modification will be accepted by Bisazza once a period exceeding 4 days has elapsed from the date on which the order confirmation was issued, at which time it becomes irrevocable.

2) PRICES2.1 The prices applying to Bisazza products are those indicated in the order confirmation.

3)PACKAGINGANDDELIVERYOFMATERIAL3.1 Standard packaging is included in the sale price.3.2 Bisazza packaging is not guaranteed in any way to provide the merchandise and products with waterproof protection.

4)DELIVERYCONDITIONS4.1 Dates for delivery are not peremptory, unless otherwise agreed in writing.4.2 Delays do not therefore entitle the parties to make demands for damages or termination of the contract, even partially.The delivery date shall be taken to be that on which the delivery note is issued, or that on which the customer is notified that the goods are ready for delivery.4.3 Should force majeure prevent the seller from performing the contract, it may, at its discretion, without seeking the intervention of judicial authorities, either suspend execution until such time that the circumstances giving rise to the force majeure have ceased, or terminate the contract either in whole or in part, without seeking the intervention of judicial authorities and without being liable for damages.4.4 Force majeure is taken to cover any circumstances beyond the seller’s control which permanently or temporarily prevent the execution of the contract, such

as war or threat of war, uprising, partial or general mobilisation, industrial strike, lack of raw materials, interruption in supply of goods by subcontractors, unforeseen events that affect the business, transportation difficulties, import or export restrictions, frost, fire, epidemic, natural or other disaster and other unforeseen restrictions that render the manufacturing or transportation of the goods either partially or totally impossible. The provisions of this article also apply when the aforementioned circumstances relate to factories, suppliers or other traders from whom the seller purchases goods or acquires services.4.5 The Bisazza company shall not be held liable any longer once the goods are handed over to the carrier (against whom the buyer must direct any complaints it may have). Shipment, either by sea or road, of supplies abroad must satisfy the conditions established as each case arises, set out in Incoterms approved by the International Chamber of Commerce in 2000 and subsequent versions thereof.

5)PAYMENTCONDITIONS5.1 Bisazza supplies must be paid for in full adopting the methods described in the order confirmation and/or in the invoice.5.2 The terms contained in the order confirmation and/or in the sale invoices must be treated as peremptory and exceptions thereto shall only be permitted if a prior written agreement has been reached with the seller.5.3 The Bisazza company is entitled to demand, at its absolute discretion, total payment in cash in advance when the order is made.

6)DEFAULTORDELAYEDPAYMENT6.1 Once the payment date has fallen due, the buyer, if in breach of settlement, shall be considered automatically in default.6.2 Delayed payment, even partial, of invoices issued by Bisazza shall therefore immediately give rise to liability for default interest at the official reference rate increased by seven points and shall entitle Bisazza to charge any out-of-court legal expenses it has incurred in order to recover the amount outstanding.6.3 In the event of a delay on the part of the buyer or in the event that the seller has reason to fear that the buyer will breach its payment obligations, the seller may, without entitling the buyer to demand damages, without prejudice to any further rights or actions:(a) demand payment in advance or a guarantee;(b) refuse to process any other orders currently underway with the buyer;(c) suspend or revoke, either in whole or in part, the execution of all supply contracts currently underway with the buyer or those connected with it, preceding or following it;(d) revoke any favourable payment terms agreed upon, extending this to other contracts, thereby being entitled to demand immediately all sums currently owed by the buyer;(e) suspend all obligations imposed upon it by any other contracts entered into with the buyer.

7) WARRANTIES AND SPECIAL CHARACTERISTICS OF MATERIAL7.1 Bisazza warrants that its material conforms to the physical, chemical, mechanical and dimensional standards indicated in this catalogue/order.7.2 The customer declares that it is aware of and expressly accepts the characteristics of the Bisazza product described, waiving the right to contest them in any way.

8) COMPLAINTS8.1. Complaints mean any protests made by the buyer that refer to the quality of the goods or items supplied. When the goods are received, the buyer must check them or have them checked to ensure that they conform to contractual specifications.8.2 The buyer may not claim that the goods supplied do not conform to the specifications contained in the order if it has failed to check the products in the manner described or has failed to notify the seller of the defect within the terms indicated in point 9.3 below.8.3 The buyer must report defects in writing to the seller within and not beyond a period of 8 days from receipt of the goods, upon pain of forfeiture. In any event, the right to take action to enforce these rights shall, without prejudice to the term of 8 days, become statute-barred one year after delivery of the goods.8.4 Complaints must be submitted in writing, giving the data contained in the order confirmation, the pack identification numbers and the invoice and bill of lading numbers.8.5 If a complaint is made, the buyer must ensure that the contested goods are made available to technicians and experts sent by the seller.8.6 In the event that a complaint is submitted in time and proves to be founded following checks carried out by Bisazza technicians, the company shall only be liable for replacing the non-conforming goods, without entitling the buyer to demand the rescission of the contract or the reduction of the sale price and/or damages and the reimbursement of costs incurred of any kind.

9)CONDITIONSAPPLYINGTORETURNOFGOODS9.1 The goods supplied may not be returned, even partially, unless prior written authorisation has been given by Bisazza.9.2 In order to return goods, the company Bisazza must receive a written request from the buyer within eight days from receipt of the material. Requests received beyond that period will not be taken into consideration.9.3 A request to return goods must reach the company Bisazza before the goods are installed, otherwise it will not be accepted.9.4 Goods returned due to errors on the part of the customer (colour and/or quantity) or late variations to the order will not be accepted.9.5 The return of goods without Bisazza’s prior authorisation using the goods return authorisation form will not be accepted. As regards goods returned from within national territory, the return authorisation will indicate the transportation company that must handle the arrival of the goods at Bisazza’s expense.9.6 The goods must be returned in their original packaging, completely intact, loaded on pallets if necessary, and protected from damp.9.7 If the returned goods reach the Bisazza warehouse in a damaged state, they will not be accepted.9.8 The packaging must enclose a copy of the authorisation form with the final date for the goods to be returned clearly marked, as well as the buyer’s transportation document which indicates, clearly and legibly, the quantity and description of the goods returned.9.9 Bisazza reserves the right to charge any costs whenever, after the materials have been checked at its factory premises, the request for their return proves to be unfounded.

10)LIABILITYSTEMMINGFROMSUPPLIES10.1 The seller shall never be held liable for consequential

damages, including loss of profits, actual damage, loss of income and down time.10.2 The limitations to liability described above do not apply in the event of fraud or serious fault on the part of the seller.10.3 The buyer holds the seller harmless against any claims that may be put forward by third parties, including the seller’s or buyer’s employees, relating to the goods supplied.

11)RESPONSIBILITIESCONCERNINGTHELAYINGOF MATERIALS11.1 Bisazza. does not in any way supply the service of laying the mosaic along with the supply of the installation.11.2 Bisazza therefore declines all responsibility for defects and/or flaws that may be attributed to laying operations. The company does not therefore accept complaints or demands for compensation of damage stemming from defects and/or difficulties caused during laying operations that prejudice the use of the material supplied, if the physical, chemical, mechanical and dimensional characteristics of the said material conform to the standards established when it was ordered and supplied.

12)PATENTS,TRADEMARKS,DISTINCTIVESIGNS,SOFTWARE12.1 The buyer expressly recognises that the BISAZZA name and logo, its graphic composition and know how relating to the products supplied constitute intellectual and industrial property owned by BISAZZA S.P.A. and/or companies in the group protected by laws relating to copyright and industrial property.Any improper use thereof shall be sanctioned in accordance with the law.12.2 The buyer may not, under any circumstances, use, cancel or remove any indication relating to patents, trademarks, business names or origin affixed by Bisazza to the products supplied without its prior written authorisation.

13)APPLICABLELAWJuRISDICTION AND COMPETENT AuTHORITIES13.1 Any dispute stemming from these General Conditions and/or orders placed on the basis thereof shall be regulated, in so far as not covered by theses conditions of sale, exclusively by the laws of the country in which the Bisazza company signing the order confirmation is domiciled.13.2 All disputes shall be referred to the exclusive jurisdiction of the ordinary courts of the state to which the Bisazza company signing the order confirmation belongs.13.3 As an exception to any legal or customary criterion, exclusive jurisdiction is also given to the courts of the city in which the Bisazza company signing the order confirmation has its registered office.
