SSEECCTTIIOONN AA –– IINNTTRROODDUUCCTTIIOONN

1. Korakyat Plantations Sdn. Bhd. (In Liquidation) (Co. No.: 144726-A) ("The Company"), a

private company limited by shares, was incorporated in Malaysia as an investment holding company and a property development company on 12th September 1985.

2. On 10h May 2000, the Company was wound up by an Order of the Court and Ler Cheng

Chye and Lum Tuck Cheong care of HLB Ler Lum at B-3-11, Megan Avenue II, 12, Jalan Yap Kwan Seng, 50450 Kuala Lumpur, were appointed as the Liquidators of the company by an Order of the Court. A copy of Form 70 of the said appointment is duly attached in the Appendixes.

3. Currently, the Asset(s) of KPSB for sale(s) by tender are in the possession and control of the

Liquidators. For details of the Asset(s) kindly refer to Section B - Descriptions of Asset(s). Also attached herewith is the location map to the Asset(s) in the Appendixes for your reference.

4. The Liquidators are empowered to do all things in accordance with the Companies Act 1965

and Companies (Winding Up) Rules 1972 including the powers to dispose KPSB’s Asset(s). 5. This Information Memorandum is to provide the basic information in relation to KPSB’s

Asset(s) to assist Tenderer(s) in their preparation of their proposal to purchase the same. 6. The Liquidators are now inviting any interested parties to submit their Tender(s) for the

purchase of the KPSB’s Asset(s) on an ““aass iiss wwhheerree iiss”” basis with encumbrances (if any) subject to the Special Conditions of Sale as stated in Section C.

11 IINNSSPPEECCTTIIOONN

1.1 Tenderer(s) is/are advised to make his/her/their own inquiries, assessment and/or

inspection on the Asset(s) in all aspects prior to submission of their tender(s). 1.2 Tenderer(s) either himself/herself/themselves or his/her/their agents shall be deemed to

have inspected the Asset(s) tendered for. 22 WWAARRRRAANNTTIIEESS

2.1 The Asset(s) available for sale(s) is/are to be sold on an ““aass iiss wwhheerree iiss”” basis with

encumbrances (if any), subject to the Court Sanctioned Scheme of Arrangement.

2.2 No warranties or representations expressed or implied are either given as to the condition of the Asset(s) tendered or as to the suitability of such Asset(s) for any particular purpose(s).

2.3 Asset(s) as generally described in Section B and further information is mentioned in the

Appendixes attached hereto are information unverified by the Liquidators and the same does not tantamount to warranty and/or representation made by the Liquidators. Tenderer(s) should make arrangement to view the Asset(s).

33 IIDDEENNTTIITTYY 3.1 Tenderer(s) shall admit the identity of the Asset(s) tendered for with that comprised in the

muniments tendered by the Liquidators as the title of the Asset(s) upon evidence afforded by the comparison of the description in the particulars and the muniments respectively.

3.2 The Asset(s) is/are believed and shall be taken as correctly described and is/are sold

subject to all encumbrances, easements, liabilities and rights (if any) subsisting thereon or thereover without any obligation arising to define the same respectively and no error, mis-statement or mis-description, incorrect measurement or change in the condition or state any of the Asset(s) shall annul the sale(s) nor shall any compensation and reduction in the purchase price be allowed in respect thereon.

3.3 Tenderer(s) is/are advised to inspect and to ensure the availability or existence of Asset(s)

and/or any parts thereof prior to the tender submission. It is hereby agreed that the Liquidators shall not be liable for any Asset(s) and/or any parts that has been lost, missing, misplaced or stolen prior and/or subsequent to the inspection and/or acceptance of the tender(s) by the Liquidators.

44 BBIIDDSS 4.1 Tender(s) must only be made for the Asset(s), on an ““aass iiss wwhheerree iiss”” basis with

encumbrances (if any) in the format of the Tender Form attached in Section D of the Information Memorandum.

55 TTEENNDDEERR((SS))

5.1 A specific sum in Ringgit Malaysia payable in Malaysia is to be tendered. 5.2 Tenderer(s)’ name and address as well as their contact particulars must be clearly stated in

full. 5.3 The Tender Form(s) is/are to be completed as stipulated and directed in the Tender

Form(s). 5.4 Tenderer(s) shall include their respective assigns, successors in title, heirs and/or personal

representatives. 66 AACCCCEEPPTTAANNCCEE 6.1 The Liquidators are not bound to accept the highest or any tender(s) and the Liquidators’

decision shall be final without having to give any reasons. 6.2 The acceptance of any tender, whether for any or all Asset(s) tendered by the Liquidators,

which is communicated in writing to Successful Tenderer(s) shall constitute a valid agreement and shall bind Successful Tenderer(s) and Korakyat Plantations Sdn. Bhd. (In Liquidation) as if an agreement under any written law relating to the sale(s) and purchase(s) has been properly constituted and executed.

6.3 The Liquidators may at their own discretion; request Tenderer(s) to improve his/her/their

tender(s) in the event that Tenderer(s) does/do not revert with any improved tender(s), the existing tender(s) shall prevail for consideration.

6.4 Upon the communication to Successful Tenderer(s) by the Liquidators of the acceptance

of his/her/their tender(s), Successful Tenderer(s) shall forthwith execute the sale and purchase agreement(s) within fourteen (14) days from the date of communication of acceptance, the cost of which shall be for the sole account of Successful Tenderer(s) and as further provided under Clause 9.

6.5 The sale and purchase agreement(s) will be prepared by the Liquidators’ solicitors and the

costs thereto shall be borne by Successful Tenderer(s). The stamp duty/duties on the sale and purchase agreement(s) is/are to be paid by Successful Tenderer(s).

6.6 The Liquidators shall not be liable for the breach of Clause 6.2 and Clause 6.4 strictly in the event that the Asset(s) cannot be delivered due to third party lien imposed on the Asset(s) tendered and/or other matter(s) beyond the control of the Liquidators. As such, Successful Tenderer(s) will have their deposit refunded without interest upon communication on the matter(s) in writing.

77 DDEEPPOOSSIITTSS 7.1 All tender(s) submitted must be accompanied by a forfeitable deposit equivalent to tteenn

((1100%%)) ppeerr cceenntt of the tendered price to be paid by way of Cashier’s Order or Bank Draft and to be made in favor of ““KKoorraakkyyaatt PPllaannttaattiioonnss SSddnn.. BBhhdd.. ((IInn LLiiqquuiiddaattiioonn))””. Any tender(s) not accompanied by such forfeitable deposit shall not be considered.

7.2 Subject to Clause 16 herewith, Successful Tenderer(s) is/are required to pay the balance

tender sum in favour of ““KKoorraakkyyaatt PPllaannttaattiioonnss SSddnn.. BBhhdd.. ((IInn LLiiqquuiiddaattiioonn))”” within nniinneettyy ((9900)) ddaayyss from the date the acceptance is/are communicated in writing to Successful Tenderer(s) by the Liquidators (“the stipulated period”). If consent is required from the state authorities, the stipulated period shall commence from the date of consent issued.

7.3 The forfeitable deposits paid by Successful Tenderer(s) shall be accepted as part payment

of the tendered price in the event the sale(s) is/are completed. 7.4 Where Successful Tenderer(s) fail to complete the transaction in all respects and in

accordance with Clause 7.2 and/or Clause 8, the Liquidators absolutely reserve the right to cancel the sale(s) and forfeit all forfeitable deposit(s) paid as agreed liquidated damages and not by way of penalty.

7.5 Tenderer(s) will have their forfeitable deposit(s) refunded without interest upon rejection. 88 PPAAYYMMEENNTT 8.1 Payment in Ringgit Malaysia of the full purchase price tendered for, less the amount

already deposited as described under paragraph 7.1 is to be made by way of Cashier’s Order or Bank Draft within tthhee ssttiippuullaatteedd ppeerriioodd from the date of notification of acceptance of tender(s) by the Liquidators to :-

8.2 Where Successful Tenderer(s) fail to pay the full purchase price tendered for the Asset(s)

within the time stipulated in Clause 8.1 or within such extended time that may be granted by the Liquidators, the Liquidators absolutely reserve the right to cancel the sale(s) and forfeit any forfeitable deposit paid under Clause 7.1 and/or otherwise as agreed liquidated damages and not by way of penalty. Thereafter, the Liquidators shall have the liberty to sell or otherwise dispose of the Asset(s) or part thereof to any party or parties at such price or in such manner as the Liquidators shall deem fit.

99 LLEEGGAALL FFEEEESS

9.1 Successful Tenderer(s) shall bear all cost, expenses, fees, stamp duty in relation to all

matters to procure the registration and/or to give effect of an interest over the property in the name of Successful Tenderer(s) including the procurement of the release of charge (if any) and any other matters related thereto.

1100 PPAAYYMMEENNTT OOFF OOUUTTGGOOIINNGGSS 10.1 Quit rents, assessments, maintenance charges, sinking funds, assessment tax and any other

lawful outgoings, if any, payable in respect of the said Asset(s) shall be apportioned between Successful Tenderer(s) and Korakyat Plantations Sdn. Bhd. (In Liquidation) as at the date of communication of acceptance of tender(s) by the Liquidators.

10.2 The amount due by virtue of such apportionment shall be paid to the party entitled to the

same on delivery of vacant possession of the Asset(s).

10.3 The Company shall not be responsible for outstanding charges and re-connection of the utilities supplies including water, telephone and electricity to the property, if any.

1111 RREEMMOOVVAALL OOFF EENNCCUUMMBBRRAANNCCEESS

11.1 Successful Tenderer(s) shall, at his/her/their own costs and expenses, cause all

encumbrances, including private caveats lodged by any party [other than Successful Tenderer(s)] or anybody claiming under or through Successful Tenderer(s) against the Asset(s), if any, to be removed on or before the completion of the sale.

1122 CCOOSSTT OOFF TTRRAANNSSFFEERR

12.1 Cost of transfer(s) and all other fees payable in connection with the sale(s) of the Asset(s) shall be borne by Successful Tenderer(s).

1133 IINNCCIIDDEENNTTAALL EEXXPPEENNSSEESS

13.1 Successful Tenderer(s) shall pay expenses such as insurance premium and other mutually agreed expenses in respect of the Asset(s) from the date of acceptance of his/her/their tender(s) is/are communicated in writing to Successful Tenderer(s) by the Liquidators.

1144 RRIISSKK

14.1 As from the time of acceptance of tender(s) by the Liquidators, the Asset(s) shall be at the sole risk of Successful Tenderer(s) as regard to any losses and/or damages by fire or other accidents/perils whatsoever.

1166.. AAPPPPRROOVVAALL FFRROOMM RREELLEEVVAANNTT SSTTAATTEE AANNDD FFEEDDEERRAALL AAUUTTHHOORRIITTIIEESS

16.1 Where applicable, the sale(s) is/are subject to express approval being obtained by

Successful Tenderer(s) from the relevant State and/or Federal Authorities from whom all such approvals need necessarily be obtained by Successful Tenderer(s) for the completion of the purchase, the cost(s), if any, is/are to be borne by Successful Tenderer(s).

1177.. FFOORRCCEE MMAAJJUURREE

17.1 If either party is affected by a Force Majure Event, it shall forthwith notify in writing to

the other party of the nature and extent thereof. Neither party shall be deemed to be in breach of the Special Conditions of Sale, sale and purchase agreement(s) or other agreement(s) entered into pursuant to this tender(s), or otherwise liable to the other by reason of any delay or non-performance of any of its obligation under the Special Conditions of Sale and/or sale and purchase agreement(s) to the extent that such delay or non-performance is due to any Force Majure Event of which it has notified the other party and the time for performance of that obligation shall be extended accordingly. If the Force Majure Event prevails for a continuous period of one (1) month, the parties shall enter into bona fide discussions with a view to alleviating its effects or agreeing to a fair and reasonable alternative agreement(s).

1188.. SSAANNCCTTIIOONN OOFF CCOOUURRTT WWHHEENN NNEECCEESSSSAARRYY

18.1 The Liquidators may, if they deemed necessary to obtain an order from the Court

sanctioning the sale(s) at Successful Tenderer(s)’ costs and expenses, Successful Tenderer(s) shall agree to grant such time as may be required to obtain such sanction of the Court.
