I. OBJECTIVE

The Instructions to Bidders aims to present, explain and clarify in detail to the bidders the rules, procedures and guidelines to be followed in the preparation of their bid proposals and in the overall process of participating in this bidding activity. This document is being officially transmitted and communicated to the prospective bidders for their guidance and strict compliance.

II. INSTRUCTIONS TO BIDDERS

A. Preparation of Bid Proposals. All bids must be submitted in two (2) envelopes. Each envelope must be duly labeled as “Eligibility Requirements and Technical Proposal” and “Financial Proposal”.

For purposes of identification of origin, all envelopes must bear the name of the bidding firm at the upper left hand corner of the back of the envelope, and must be duly signed by the authorized signatory across their seal. All envelope labels should be written in capital letters.

All bids should be addressed to:

B. Contents of the Bid. The Bid shall be presented in two (2) envelopes, each one containing the

following set of documents:

1) Envelope A - Eligibility Requirements and Technical Proposal

Set A: This set should contain the Eligibility Requirements and should include ALL of the following documents arranged in accordance with this sequence.

a) Letter of Intent to Participate in this Bidding Activity (see Draft attached as Annex A)

b) Fully accomplished Bidder’s Prequalification Statement Form (see Draft attached as

Annex B). Bidders must note that the form to be submitted should be duly notarized.

c) Authorization and Appointment of the Company's Representative in charge of the affairs of this bidding (see Draft attached as Annex C).

d) Company Profile, which should not exceed fifteen (15) pages, excluding printed brochures and product catalogues which may also be submitted, if available.

e) Members of the Governing Board and their Designations, as Certified by the Corporate

Secretary, if the bidding firm is a Corporation. (Otherwise, equivalent document should be submitted.)

f) List of Shareholders and Other Entities Financially Interested in the Firm owning 5% or

more of the stocks and other interests, if the bidding firm is a Corporation. If, for any reason, the organization is unable to provide the said documentation due for instance to the nature of its existence, bidders are encouraged to explain so in this section.

g) Company's Latest Audited Financial Statement (Income Statement and Balance Sheet)

together with Latest Auditor’s Report (2012 – 2013). However, submission of Unaudited Financial Statements for 2014 is also welcome. Both should be duly stamped and received by the country’s Internal Revenue Authority. If the firm is not required to pay taxes because of the nature of its business or by virtue of any other exemptions, the firm should state so in this section of the proposal in the form of a covering note.

h) Certified copy of the Company’s Licenses to Operate the Business for the Current Year

(SEC, DTI registration papers, mayor’s permit, VAT registration, etc., everything applicable). If the firm is based on a foreign country and operating in the Philippines, licenses to operate the business and maintain an office in the Philippines should also be submitted. If the firm is foreign but not officially operating in the Philippines except through a local representative, the foreign licenses and official appointment of the local firm/individual representative will suffice.

i) Track record and experience of the firm highlighting those similar and related to the

nature and location of this project, and classified as follows: (1) International Clients, if any (2) Domestic Clients, and (3) Works/Contracts in Process, Ongoing or contracted but not yet initiated.

Track record of the firm refers to contracts entered into by the firm, not on the individual capacity of the member of the team or the firm’s owner or key personnel. “Similar or

related” refer to contracts which are closest to the activity herein being bid out. Bidders are therefore expected to use their own judgment in the classification of their contracts.

j) Quality Certificate (e.g., ISO, etc.) and other similar certificates, awards and Citations

received by the firm/individual, if any.

k) Documents evidencing the bidder’s position or ranking in the industry, if available (e.g., Government-published statistics, research study results/reports, etc.).

l) Inventory of existing specialized hardware and software which will contribute to the

efficient processing of data/information and completion of the tasks required in the TOR.

m) Written certification of official working hours during weekdays, weekends, holidays, including commitment to operate on UN working days which may sometimes be nationally-declared non-working holidays.

All other prequalification criteria shall be determined by the Bid Review Committee specific to the contract being evaluated and established prior to the distribution of the Bidding Documents.

As a matter of policy, UNICEF strictly observes the following rules in the prequalification of the bidders:

That the bidder should have a positive net income in its current financial statement, with a current ratio of at least 1.0; and

That the Board Members, shareholders, key personnel and team members of the bidding firm should not in any way be related by blood or affinity to the officials of the UN Bid Review Committee of the project for and in behalf of which UNICEF is conducting this bidding.

Any inconsistency with the abovementioned rules shall automatically mean pre-disqualification of the bidder.

If, after review of the above requirements, a bidder is advised by UNICEF of any form of shortcomings or inadequacy in the documents submitted, UNICEF shall not accept additional documents or information that the bidder may voluntarily supply to UNICEF to augment the shortcoming, or to improve or upgrade the status of the bid, unless the bidder is deliberately requested by UNICEF to supply the said information.

For requirements in the above list that the bidder cannot adhere to, a thorough and justifiable explanation duly signed by the bidder should be supplied, for the consideration of the reviewing committee. Non-compliance to any of the above requirements without an adequate explanation may become grounds for the disqualification of the bidder.

Set B: This should contain the Technical Proposal together with all the required documents and information as specified in the herein enclosed “Terms of Reference” (TOR).

Although both sets should be enclosed in one envelope, sets A and B should be bound separately for the purposes of facilitating separate evaluation of the prequalification documents and the technical proposal.

2) Envelope B - Financial Proposal

The envelope for the Financial Proposal shall contain the following: a) Proposal Pricing Sheet format for documents and parcels (Outbound/Inbound rates

from Metro Manila, Luzon, Visayas and Mindanao) with varying destination.

b) Value-Added Services (additional offers) – services that are offered to UN agencies free-of-charge that will increase efficiency and improve the quality of courier services (IT support/system, dedicated Operations Manager, Mailroom Solutions Officer and customer service executive, regular pick up time, dedicated courier, motorcycle, tracking, etc.)

Separate proposed monthly salaries for Distribution Clerk and PABX operator.

Separate discounted rates for Starbucks and PSD collections

Separate proposed discounted rates for Bank Transactions - ex. bank deposit, fund transfer, official bill payments (utilities, phone bills).

The Domestic rates should show published rates, discounts and net rates for each of the following destinations by type of mail and for regular and express messengerial services for Metro Manila.

Note: Bidders should diligently review the manner of packaging the documents, in view of the sequential requirements. Proposals with loose pages are not allowed since UN is not responsible for any missing documents during the Bid Panel review.

C. Submission of Curriculum Vitae. Whenever Curriculum Vitae (CVs) of key personnel or

consultancy team member are to be submitted, whether as support to the company profile or in

compliance with the requirements of the TOR, each CV shall be limited to only a maximum of five (5) pages.

UNICEF strictly obliges that the personnel whose CVs were submitted in the bid proposal shall be exactly the same people and only people who will be working directly with UNICEF during the actual contract implementation (personnel involved in the account or mailroom, staff responsible to man the systems and procedures, dedicated customer service). Based on the CVs, UN will assess the technical capabilities, sufficient qualifications and experience of the assigned personnel. Bidders are discouraged from submitting high profile personnel for the purpose of passing the evaluation alone without intentions of deploying the said personnel during the actual conduct of the scope of work. In the event of which, UNICEF shall consider the Contractor in breach of a significant contract provision.

D. Language of Bid. The bid offer, including all correspondences and documents enclosed in the bid,

shall be written in the English language, unless otherwise stated or requested in the TOR.

E. Number of Copies. All bid envelopes shall contain set of: one (1) original clearly labeled “Original” and four (4) sets of certified true copies, each one clearly labeled as “Copy”.

In the event of any discrepancy between the contents of the original and the copies, those of the original set shall govern.

If, at any time during the bidding period, UNICEF requests for electronic copies of some or all of the documents submitted by the bidder, the bidder shall submit to UNICEF said requested documents within three (3) days commencing on the date of the bidder’s receipt of the request.

F. Signatories. The bid proposal must be signed by only one (1) duly authorized person from the company, wherever applicable. All pages of submitted documents (technical and financial proposals) shall be initialed by the authorized signatory to the bid. Signature shall also be indicated across the seal of each of the envelopes.

All signatures in the original set of documents should be originally signed. Electronically generated signatures or signatures of other person other than the name indicated on the document will not be accepted and will be grounds for the rejection of the bid.

G. Discrepancies, Omissions and Corrections. Upon receiving the bidding documents, the bidders

are expected to examine and review it thoroughly. If a bidder notes any omission or discrepancy in the specifications in the bidding documents, or should there be doubt as to their true meaning, the bidder may submit an official written request for clarification to UNICEF, by fax transmission or courier only, and within ten (10) calendar days from the date of the firm’s date of receipt of the Bidding Documents. Inquiries transmitted by any other means, such as verbal or e-mail, or past the 10-day period, will not be acknowledged nor responded to by UNICEF.

The bidder should allow sufficient time for UNICEF to reply and to reach the bidder before the submission of bid. Any substantive interpretation given shall be issued by UNICEF to the inquiring bidder, in the form of supplemental notices, copy furnished to all the bidders. Strictly no relief

shall be granted to any bidder on a plea of error in the bid due to bidder’s negligence, inaccurate self-interpretation, or other similar reasons.

UNICEF may also issue supplemental notice prior to the date of the opening of bids for clarification or modifications on the Bidding Documents. Each bidder, immediately upon receipt, shall acknowledge receipt of all supplemental notices/instructions and compliance to the supplemental notice/instruction shall be duly indicated by the bidder in the preparation of the proposal.

The bidder is expected to conduct his/her own examination of his/her bidding documents and before submission, in order to ensure full compliance of the bid to the bidding instructions and completion of requirements. Failure to furnish all data and information requirement or comply with the instructions as per bidding documents will result in the rejection of bid.

Any part of the Bid offer must not contain any interlineations, erasures, overwriting or any form of tampering, except as necessary to correct errors. In which case, the corrected item must bear the initial or signature of the authorized signatory.

H. Submission of Bids. All bids should be in the possession of UNICEF or UN Mailroom on or before

5:00 PM of 17 July 2015 (Friday).

Bids may be submitted by hand-carrying/personal delivery, or transmission/mailing by courier, to UN Mailroom or the specified official UNICEF contact person and address.

Only one (1) bid must be submitted by a bidder. Bidders who will submit more than one (1) bid, or a bid accompanied by any form of alternative bid, whether in the technical proposal or financial proposal or both, shall be disqualified, and both or all of the bids will be immediately rejected.

Prospective bidders are not allowed to form a joint venture or a consortium among themselves in the process of preparation and submission of their bid. Any engagement into such arrangement will be considered as sufficient ground for the immediate rejection of the bid offer of both or all bidders entering into the agreement. Prospective bidders must not and may not sell nor transfer this Bidding Document to any other party not registered with UNICEF as a bidder for this contract.

Except for foreign firms partnering with a local firm, any bidder carrying the name of another organization and bringing into the bid the capabilities of that other organization, shall be considered a joint venture. In the event of which, the joining parties should appoint a lead entity whose documents will be submitted for the purpose of this bidding.

I. Receipt of Bids. The UN Mailroom shall officially receive the bid envelopes, and by stamping each

envelope across the UN Mailroom seal with the date and time of receipt, and the receiving UN Mailroom personnel shall also sign the same.

For courier-transmitted bids, UN Mailroom shall also issue an acknowledgement receipt, duly dated and signed, and transmit the same to the bidder by fax, by e-mail and by courier.

J. Withdrawal and Modification of Bids. All bidders shall be allowed to withdraw his/her participation. If, after the bid has been submitted, the bidder decides to withdraw his/her bid, then the bid may be withdrawn only after the bidder officially communicates his/her purpose in

writing to UNICEF, on or before the specified date and exact time of the opening of bids herein specified. In which case, the particular bid withdrawn prior to the opening of bids shall be returned to the bidder unopened.

However, no bid can be withdrawn for any reason whatsoever after the opening of bids has commenced.

Verbal modification of bids shall not be acknowledged nor will it be accepted and therefore shall not be considered by UNICEF as valid addition, reduction, downgrading or any form of modification to the offer.

K. Late Submission of Bids. Bids submitted after 5:00 PM of 17 July 2015 for whatever reason or

cause shall be considered late and shall be completely returned to the bidder unopened and without acknowledgement.

No relief shall be granted to any late bidder regardless of the number of days, hours or minutes of delay. UNICEF’s declared time shall be considered as the official time.

L. Opening of Bids. Unless otherwise officially communicated by UNICEF to the bidders, Envelope

Opening of the envelopes shall be done in the presence of the representative from the UN Common Services OMT Committee, the UNICEF Supply and the UN Courier Administrator. Bidders are encouraged and are welcome to attend the occasion. However, the absence of any representative of a particular bidder shall not preclude UNICEF from opening the bid envelopes.

M. Handling and Safekeeping of Bids. During the opening date of bids, the rest of the unopened

envelopes shall be kept safe and confidential by UNICEF, until their proper date of opening. After all envelopes have been opened, it shall remain in UNICEF’s custody. The bids will only be seen and reviewed by the UN Bid Review Committee members simultaneously during the date/s of evaluation, but remaining under close supervision of UNICEF.

No original or copy of the bids received by UNICEF shall be released to any party at any time during or after the bidding, not even the UN Bid Review Committee or the Bid Review Committee members for their safekeeping or other purposes.

N. Comparison and Evaluation of Bids. The evaluation of the eligibility shall be based mainly on the

completeness and degree of compliance to the eligibility requirements and other criteria defined in the TOR. Insufficient documents and failure to satisfy the above requirements shall automatically mean disqualification of bidder.

Bidders who belong to firms partly owned by, or whose Board/Management is participated with key officials from the UN Bid Review Committee or their immediate relatives shall be automatically disqualified from the bidding.

UNICEF shall not render additional credits or merit points to technical offer or specifications beyond the requirements of the TOR, unless the impact of the deviation significantly improves the overall result of the project and the bidder’s bid price remains within the budget.

It is the policy of UNICEF that only technical proposals whose final rating reached the 70% cut-off or higher will be considered technically compliant and will be qualified for the opening of financial envelopes.

In making the selection of the most advantageous bid, however, UNICEF is not obliged to award the contract to a bidder submitting the lowest bid offer, but shall also take into account the technical soundness of the offer vis-à-vis the project requirements, the capability of the bidder as an organization, and other significant factors that may affect the bidder’s offer, in the performance of the project.

Information and documents relating to the evaluation and comparison of bids and leading to the final decision shall not be disclosed to any bidder or any other person not officially concerned with the process and decision-making.

O. Notification of Successful Bidder. Notice of award shall be made in writing, which shall be transmitted both by fax and by courier to the successful bidder on or before 30 August 2015.

Unsuccessful bidders shall also be notified that an award has been made.

If a bidder has been disqualified in the prequalification or technical evaluation stage, he/she shall be requested to retrieve from UNICEF the unopened financial envelope. Failure to do so shall cause UNICEF to open the financial envelope, if no claims are made against it.

P. Pre-Bid Conference. All participants and their representatives are encouraged to participate in

the pre-bid conference which will be held on 01 July 2015, 1:30 PM at the UNICEF Conference Room, 31/F Yuchengco Tower, RCBC Plaza, Ayala Avenue, Makati City.

Q. Effectivity of the Contract. The contract to be awarded to the successful bidder shall be

considered in force upon:

1) signature of the contract by the authorized representative and signatory of the bidding firm and UNICEF; and

2) issuance of a Notice to Proceed by UNICEF.

R. Notices and Communications. All official communications to the bidders shall only originate from

UNICEF, through the UN Courier Administrator (CA). Any other communications received or noted by the bidders, which are not officially transmitted by UNICEF and CA, are considered invalid and unofficial. In the event of conflict between the official UNICEF transmission and other information available publicly or from other third parties, the contents of the officially- transmitted UNICEF communication shall govern.

All inquiries, clarifications, appeals, or other communications originating from the bidders relative to this bidding activity shall also be sent officially to UNICEF only. Bidders are restrained from communicating, verbally or in writing, with the UN Bid Review Committee without the knowledge and approval of UNICEF. Violation of this rule, if rightfully justified, may result to indefinite disqualification of the bidder in this project and future UNICEF bidding activities.

III. RESPONSIBILITIES OF THE PARTIES

A. Responsibility of the Bidder. The bidder shall bear all costs associated with the preparation and

submission of his/her bid. The bidder shall be responsible for having taken steps to carefully examine and interpret the contents of this set of Bidding Documents, including their detailed ramifications and implications. Failure to do so, and any consequence arising from such failure, shall be at the bidders’ risk and responsibility.

It shall be the sole responsibility of the bidders to determine and to satisfy themselves, as they consider necessary or desirable in reviewing and examining their proposal and the extent of their compliance to the detailed requirements of this bidding.

No verbal agreement or conversation with any official or employee of UNICEF and the UN Bid Review Committee, either before or after the awarding and execution of the contract, shall affect or modify any of the rules, procedures, and conditions of this bidding.

Submission of the bidder of a proposal conclusively and unqualifiedly makes him fully responsible to undertake and comply with all necessary requirements, conditions and result of this bidding activity, as well as all the other consequence of such act of submission.

B. Responsibility of UNICEF. UNICEF reserves the right to reject any bid, when the facts, as to

business and technical organization, financial resources, experience on similar types of undertaking, and other factors which, in the opinion of the UNICEF, will justify rejection.

UNICEF reserves the right to further examine the competence and background of a bidder at any time before or after the awarding of the contract, either by verification of the bidder’s qualification or by any other means, as it deems necessary.

UNICEF shall have no liability whatsoever for any failure on the part of the bidder, or any error the bidder may commit in complying with or interpreting the Bidding Documents, or for the rejection of the bid on account of such failure, error or other cause.

UNICEF assumes no obligation or responsibility whatsoever to compensate or indemnify the bidders for any expenses or losses that might be incurred in the preparation of their bids regardless of the outcome, nor does the UNICEF guarantee that an award will be made under this bidding.

UNICEF is not obliged to debrief unsuccessful bidders unless the contract is considered high valued, highly technical and of complex nature. In which case, the scope of debriefing need not go beyond the identification of the technical deficiencies or weaknesses of the inquiring bidder. UNICEF is not in any way obliged to discuss financial/cost or any other technical information of neither other bidders nor the evaluation scoring/rating of the Bid Review Committee.
