2.1 Before submitting their Tenders, Tenderers are urged to familiarize themselves with the contents of the Tender Package (including the information contained herein) and more particularly the Description of Service.

2.2 By submitting its bid, the tenderer acknowledges that
C.P.C. shall have no liability for any cost incurred by the tenderer in preparing its bid and that the preparing of its bid is undertaken entirely at its risk and on the understanding that no contract will arise out of the submission of any tender, or from any negotiation subsequent to it, but will arise only upon execution of a written agreement by both parties.

2.3 The number of items, trips and kilometres referred to in
this Tender Package, is only an estimate and Canada Post shall not in any way be held liable for any representation as to the actual number of items, trips and kilometres referred to herein.

2.4 Tenderers must either submit a rate to be applicable for
the duration of the Agreement or submit different rates for different periods within the duration of the Agreement. Tenderers must clearly indicate the rate and the period each rate is to cover.

2.5 Tenderers will complete the Tender Form (Schedule
“B”) and return one complete copy with its bid. The Tender Form will form part of the Agreement, unless the Agreement otherwise provides. Failure to provide all information required on the Tender Form and to complete the Tender Form may render the Tender liable to rejection by Canada Post.

agreement being formed between Canada Post and the tenderer.

2.9 From the tenders submitted, Canada Post may select
one or more tenderers for further negotiations (each such tenderer being a "Negotiating Tenderer").

2.10 Canada Post shall not be bound to select the lowest or
any tenderer as a Negotiating Tenderer.

2.11 If a tenderer is selected by Canada Post as a
Negotiating Tenderer, such selection shall not result in an agreement being formed between Canada Post and the Negotiating Tenderer.

2.12 Canada Post may, at any time and without liability,
terminate its intention to award the Contract or change the scope of services to be provided in connection with the Contract.

2.13 Canada Post may, at any time and without liability,
withdraw from negotiations with any Negotiating Tenderer.

2.14 Canada Post may, at it's option, enter into negotiations
with any tenderer or tenderers for the award of the Contract, and/or, may reject any or all tenders at its sole discretion.

3.0 Firm and Irrevocable Offer

3.1 The Tender is an offer by the Tenderer that is firm and irrevocable and is open for acceptance by Canada Post for a period of ninety (90) days from the stipulated time and date for the receipt of the Tender or for such longer period as the Tenderer and Canada Post may agree.

3.2 Where Negotiating Tenderers have been selected,
notwithstanding the foregoing rights of Canada Post or any negotiations that Canada Post has commenced with any party, a Negotiating Tenderer shall (if and only if required by Canada Post) enter into a written agreement based on its tender (and such other terms and conditions as Canada Post and the Negotiating Tenderer agree to) prior to expiration of the sixty (60) day period immediately following the date on which Canada Post informs the tenderer that the tenderer has been selected as a Negotiating Tenderer.

4.0 Tender Closing Time

4.1 It shall be the Tenderer's sole responsibility to ensure that the Tender is received by Canada Post, Transportation Contracting Service Office at the designated address on or before the stipulated time and date for the receipt of Tenders. Tenders not so received will be returned to the Tenderer unopened.

4.3 Canada Post’s right to amend, supplement and

� Alter any dates in the Invitation to Tender, as they
relate to the Invitation to Tender Process, at any time prior to or after the Closing Date and Time;

� Cancel this Invitation to Tender at any time, whether prior to or after the Closing Date and Time, and the Corporation may, but need not, at its sole discretion, issue a new Invitation to Tender;

5.0 Evaluation Process
5.0 Processus d’évaluation
5.1 Review of Mandatory requirements (Stage 1): 1-Proposals must be received at the address identified
on or before the Closing Date and Time, unless otherwise deemed to have been delayed.
2- The Tender Form must be signed. 3 – Schedule B Pricing must be submitted. 5.2 Pre-Qualification of Proposers (Stage 2):
Proposers’ responses from the Tender questionnaire will be evaluated on the extent to which they meet the rated requirements. Proposers’ Proposals should therefore contain detailed responses and references to any attached substantiating documentation. A minimum threshold of 75% on rated requirements is required to move on to the reverse auction. This stage may include due diligence and clarification if required. Opening bid prices requested are for information purposes and will not affect the pre-qualification process.
5.3 Reverse Auction (Stage 3): For each Proposer that has been pre-qualified and has progressed to the reverse auction the Proposer will be informed how to register on the website and instructions will be provided in advance.
The Proposer must participate in the reverse auction session in order to be included in the pricing analysis and final selection. Bid pricing with the lowest price will not necessarily be recommended for contract award. Canada Post reserves the right to award contracts to a maximum of five contractors. If Canada Post exercises this right, it will select the least total cost solution. In the event that the auction process does not result in any bids being received for one or more services, Canada Post may seek bids for such services at a later time under a different bid solicitation, which could result in an additional contractor being selected.

Les réponses au questionnaire d'appel d'offres des soumissionnaires seront évaluées en fonction des exigences cotées. Les propositions des soumissionnaires doivent donc contenir des réponses détaillées et les références aux pièces justificatives jointes. Un seuil minimum de 75 % sur les exigences cotées est nécessaire pour passer à l'étape de l’enchère inversée. Cette étape peut inclure une vérification diligente et des précisions si nécessaire. Les tarifs d’ouverture demandés n'affecteront pas le processus de pré-qualification.
5.3 Enchère renversée (Étape 3): Chaque soumissionnaire qui a été qualifié et a progressé vers l'enchère renversée, sera informé comment s'inscrire sur le site web de l’enchère renversée et des instructions seront fournies à l'avance. Le soumissionnaire doit participer à la session d'enchères renversée afin d'être inclus dans l’analyse des prix et la sélection finale. Les tarifs proposés ayant le plus bas cout par service ne seront pas nécessairement recommandés. Si plus de cinq soumissionnaires résultent de cette recommandation, alors Postes Canada se réserve le droit d'attribuer un maximum de cinq contrats. Si Postes Canada exerce ce droit, il choisira la solution totale moins de couteuse. Dans l'éventualité que le processus d'enchères renversée n'entraîne pas de propositions tarifaires reçues pour un ou plusieurs services, Postes Canada peuvent demander des soumissions pour de tels services à une date ultérieure en vertu d'un appel d’offres différent qui pourrait entraîner un entrepreneur additionnel.
6.0 Insurance

6.1 Without limiting the generality of the provisions of the Agreement the Contractor shall be required to provide and maintain, the insurance coverages at the levels indicated in Schedule “B”.

7.0 Security Clearance

7.1 Without limiting the generality of the provisions of the Agreement, the Contractor shall be required to ensure that the Contractor, its employees, subcontractors or other persons engaged in the performance of the Service are security screened in accordance with Canada Post security screening requirements as specified in the Schedule “C”.
7.2 The Contractor shall keep confidential and not divulge, or
use without the written consent of the Corporation, any personal information about an identifiable individual (including, but not limited to, the name and address of an individual) provided to the Contractor by the Corporation or obtained by the Contractor from any other source, except as required by the Contractor in order to carry out its obligations under this Agreement. For the purposes of handling such information, the Contractor shall govern itself as if directly subject to the requirements of the Privacy Act, R.S.C. 1985 c.P-21, as amended, and any other applicable legislation. The Contractor shall not destroy any information about an identifiable individual unless expressly instructed to do so in writing by an authorized representative of the Corporation.

7.2 L’Entrepreneur devra protéger la confidentialité et ne
pas divulguer ou utiliser sans le consentement écrit de la Société, tout renseignement personnel concernant une personne identifiable (y compris mais de façon non limitative, le nom et l’adresse d’une personne) fourni à l’Entrepreneur par la Société ou obtenu par l’Entrepreneur de toute autre source, sous réserve des dispositions de l’Entrepreneur en vue de répondre à ses obligations en vertu de la présente entente. Aux fins de la gestion de tels renseignements, l’Entrepreneur devra lui-même se gouverner comme s’il était directement assujetti aux exigences de la Loi sur la protection des renseignements personnels (L.R., 1985, ch. P-21), dans ses nouveaux termes, et à toute autre loi applicable. L’Entrepreneur ne devra détruire aucun renseignement concernant une personne identifiable à moins qu’un représentant autorisé de la Société ne lui ait expressément demandé par écrit de le faire.
8.0 Contract Security

8.1 Upon request at the time of the signing of the Agreement, the successful Tenderer shall deliver to Canada Post the following documents:
(a) A certificate or certificates, as the case may be, of
insurance stating that the insurance coverages required are in effect, and the contractual liability assumed by the Contractor under the Agreement is covered.
And in no event shall Canada Post have any obligation to make any payment to the Contractor under the Agreement until such documents have been delivered by the Contractor as required herein.
8.1 Le soumissionnaire dont Postes Canada aura retenu les services devra remettre à celle-ci, au moment de la signature de la convention, ce qui suit :
a) Selon le cas, un ou plusieurs certificats
d’assurance attestant ceci : les garanties d’assurance requises sont en vigueur; la responsabilité contractuelle qui incombe à l’entrepreneur aux termes de la convention est assurée.
De plus, en aucun cas Postes Canada ne sera tenue de
payer à l’entrepreneur quelque montant que ce soit aux termes de la convention tant que celui-ci ne lui aura pas remis en bonne et due forme le certificat ou les certificats prescrits.
9.0 Acknowledgement

9.1 By submitting its tender, the tenderer expressly acknowledges that it has read and understands the
foregoing procedures.

4.1 EQUIPMENT 4.1 MATÉRIEL All equipment must be licensed for the maximum legal G.V.W. All equipment must meet Federal, provincial and municipal regulations governing the use and condition of such equipment

Straight trucks and trailers must have ICC bars in order to accommodate the Dock Lock systems at Canada Post mail processing facilities.

If, for any reason, the contractor has to provide a substitute or replacement for the vehicle contracted for Schedule “A”, the substitute vehicle must meet or exceed the contract specifications.

All vehicle doors are to be furnished with a lock or locking mechanism in order to affix Canada Post seals if required. The Contractor must ensure that the vehicles and the keys for vehicles remain secure at all times.

When requested by Canada Post, the Contractor shall separate by product line on the vehicle all mail picked up on the mail collection trip.

4.3 MOTORIZED MATERIAL HANDLING EQUIPMENT (MMHE) TRAINING

The Contractor may have to use Industrial low lift trucks or Motorized Material Handling Equipment (MMHE) to perform the service on certain services. Refer to table “other mandatory requirements “to know if the driver(s) need a certification to use a MMHE. If there is no need to use an industrial low lift truck or a MMHE equipment, then the Contractor acknowledges that in the performance of the work, the operation of manual and mechanized equipment may be required. Accordingly, in the event the Contractor uses or is required to use Canada Post equipment for loading and/or unloading of the mail, the Contractor shall make such use at its own risk and shall indemnify and hold Canada Post harmless pursuant to the indemnification provisions set forth in this agreement, with respect to any liability arising from such use.

4.4 COMMUNICATIONS 4.4 COMMUNICATIONS Contractor must provide 24-hour communication access to supervisory staff and provide 24-hour access to a fax machine.

If indicated, the contractor must provide a working cellular telephone, 2-way radio or pager in the vehicle at all times while on duty.

4.5 SERVICE IRREGULARITIES 4.5 IRRÉGULARITÉS DU SERVICE Any service irregularities, problem or delays (breakdowns, weather, facility delays, etc) must be reported to the Area Performance Centre (APC) (1-800-387-0737) within 10 minutes of occurrence.

4.6 CANADA POST KEYS 4.6 CLÉS DE POSTES CANADA CPC Keys must be kept secure at all times. Loss of keys must be reported to Regional Control Centre. The contractor is liable for any costs due to the lost of keys.

4.7 DOCK PROCEDURES 4.7 PROCÉDURES RELATIVES AUX QUAIS It is the responsibility of highway service contractors to ensure their drivers familiarize themselves and follow dock procedures at all times. Dock procedures are posted on the dock at all Canada Post mail processing plants.
