WELCOMING REMARKS The Law Society of Kenya (LSK) Chairman called the meeting to order at 11.06 am and invited the outgoing Council Members to the podium before requesting Ms. Mercy Ndeche to lead in prayer. The Chairman recognized representatives from Bar Associations in the region including Uganda, Tanganyika, Zanzibar and Burundi. The Chairman also recognized the Registrar of Kigali International Arbitration Centre, CEO of Pan African Lawyers Union (PALU), Former Vice President Kalonzo Musyoka, National Assembly Speaker Kenneth Marende, Senior Counsel and Members. MIN. AGM 01/2014: READING OF THE NOTICE The Secretary read the Notice dated 25th January 2014 convening the AGM and the Agenda which had been sent to members both via electronic mail and post office addresses. MIN. AGM 02/2014: ADOPTION OF THE AGENDA The Chairman requested Members to amend the Agenda for Agenda number 8 (eight) to include Election of LSK Representatives to the Senior Counsel Committee. The amendment was proposed by Mr. Evans Gaturu and Mr. Kalonzo Musyoka seconded. Ms. Nyambura Musymi proposed and Mr. Patrick J. Otieno seconded, the Agenda was adopted.

MIN. AGM 03/2014: SILENCE IN TRIBUTE TO DEPARTED MEMBERS The Chairman referred members to page 52 of the Annual Report 2013 containing names of 39 departed Members in the year 2013/2014 after inclusion of the name of Senior Counsel Mr. Mutula Kilonzo. The Chairman requested members to stand up and observe a minute of silence in tribute. Presentation by Representative of The Burundi Bar Association The Chairman invited Burundi Bar Association Representative Mr. Onesime Kabayabaya to brief members on legal developments in their country. He made a presentation as follows:

The Battonaire (President) of Burundi Bar Association Mr. Isidore Rufyikiri was struck off the Roll of Advocates for allegedly criticizing the Executive and Judiciary.

The Burundi Bar Association appreciates messages of sympathy and solidarity from LSK and the East Africa Law Society (EALS) following their stalemate with the Government.

Burundi is facing a real challenge as the Government is cracking down on lawyers for calling for respect for the Rule of Law.

The Burundi Bar Association calls for more support from Bar Associations in the region as the case involving their Battonaire pends before the East African Court of Justice in Arusha.

The Government in Burundi does not support the Rule of Law but embroiled in corruption and contravening human rights.

The LSK Chairman requested members to make the necessary resolution under the agenda item Any Other Business. MIN. AGM 04/2014: CONFIRMATION OF MINUTES OF ORDINARY GENERAL MEETING

HELD ON SATURDAY 16TH MARCH 2013 The Chairman informed the meeting that the said Minutes were circulated by the Secretary via post office addresses, email and also distributed to members at the meeting. The Chairman invited members to point out any errors or omissions. Mr Steven Adere proposed and Ms. Muniafu Nangalwe seconded the adoption of the Minutes. The Minutes were adopted. MIN. MIN. AGM 06/2014: REPORT OF THE COUNCIL PUSUANT TO SECTION 26 OF THE LAW SOCIETY OF KENYA ACT

The Report of the Council of the Law Society of Kenya was presented by Council Member Mr. Godfrey Kitiwa. The Report that was circulated to members contained detailed activities of the Society and the following were highlighted:

a) The Council has been engaging with the Chief Justice over the increasing case backlog countrywide and was instrumental to the addition of 40 High Court Judges – the Judges are waiting to be sworn by the President.

b) The Director of Public Prosecution appointed two officers to deal with complaints of harassment of members by police.

c) The Branch Grants were increased to KSh.750,000 up from KShs. 600,000 from 2012. The Council took note of the increasing number of members in the Kisii sub-branch who were also advances KShs.300,000.

d) The Council drew the attention of the Chief Justice and Chief Registrar to the need of case management in addition to recruitment of judicial officers. It also highlighted the tendency of cases being removed from the cause list on account of judicial officers attending workshops.

e) The Chief Justice has forwarded to the Attorney General for formatting and Gazettment the reviewed Advocates Remuneration Order following active engagement of the Council.

f) The Advocates’ (Marketing & Advertising) Rules were formulated and the draft circulated to members for input and comments.

The Chairman requested members to adopt the Report before discussions. Prof. Ben Sihanya proposed and Ms. Praxedes Tororey seconded the proposal for adoption of the report. The report was adopted.

Mr. Donald Deya, CEO- Pan African Lawyers Union (PALU) commended the work of the Council and Secretariat saying that LSK is one of the best managed Bar Associations in the region. He appealed to members to join PALU as it is also currently in talks with the Attorney General towards holding a continental conference in Nairobi in May 2014.

Mr. Evans Gaturu referred to pages 26 and 28 of the Annual Report on the editorial error of numbering of Ms. Florence Mwangangi as member of the Judicial Service Commission and on decentralization of the Court of Appeal sittings in Malindi respectively. He observed that the Environment and Land Court has been treated as a High Court. Mr. Kevin McCourt referred to page 19 for correction of the description of Justice Kathurima M’inoti.

Ms. Edith Muriu observed that the Court of Appeal in Nairobi is in crisis as some cases have no hearing dates due to lack of judicial officers. Mr Jeff Kimata proposed that a work plan should be included in the Annual Report for the expected activities of the council.

Ms. Lucy Wang’ombe sought clarification on the moratorium of insurance companies. Mr. Hunter Josiah raised concerns over the ever increasing fees at the Kenya School of Law (Advocates Training Programme) and expressed fear that the fee would in the near future rise to KShs.500,000. Mr. Josiah also said that student numbers also keep increasing. Mr. Josiah also sought the names of the said two officers from the office of the Director of Public Prosecutions dealing with cases of harassment of Advocates. Mr. Charles Khamala sought clarifications on an Advocate who went missing from State House recently. Mr. Khamala said that the Advocate may have been killed and also raised concerns that there is no Habeas Corpus to force his production. He proposed that the Council should move to court to compel the production of his body. Mr. Wilfred Nderitu said there was an omission in the Report as Hon. Mutula Kilonzo, SC was not included in the list of departed lawyers. Mr. Nderitu also proposed that The Lawyers Search engine in the LSK Website should include email addresses of members. Mr. Ken Akide, SC congratulated the Council on the good Annual Report. He proposed the formation of a Regional Affairs Committee towards improving legal practice in East Africa. Mr. Akide congratulated Mr. Charles Rachimbura for being elected Chairman of Tanganyika Law Society. Mr. Akide underscored the need to promote cross border legal practice in the East Africa region.

Mr. Evans Ondieki proposed that lawyers offering pro bono services should be paid at least KShs.30,000 per matter. He also proposed that advocates who complete pro bono matters be awarded free Continuing Legal Education (CLE) points. Mr Ondieki proposed that the Council should start mobilizing funds towards construction of the LSK International Arbitration Centre.

Mr. Nzamba Kitonga, SC encouraged the Council to act on the resurgence of case back log stalling hearings at the High Court. Mr. Kitonga raised concerns that many cases at the Milimani Law Courts are taken out of the cause list over alleged shortage of Judges. Mr. Kitonga proposed that the Judiciary should give a notice of at least two weeks before taking out matters rom the cause list.

Mr. Matete Muchai concurred with Mr. Kitonga that backlog of cases is serious. Mr. Muchai said that some Judges are not good at case management as they adjourn several matters. Muchai also said that judicial officers spend a lot of time attending meetings and colloquiums.

In response, the Chairman explained that the Judiciary treats the Court of Appeal sitting in Malindi as being in Mombasa. He explained that the sitting in Malindi is temporary as Mombasa undergoes renovation. The Chairman said that there is a Court of Appeal Registry in Mombasa to file documents.

The Chairman said that the issue of the Environment and Land Court (ELC) Judges is controversial as it relates to interpretations of the constitution – whether the ELC Judge is of the same status as a Judge of the High Court. However, the Chairman explained that - according to the Judicial Service Commission - there are no special qualifications for an ELC and a High Court Judge. The Chairman explained that the Court of Appeal in Nairobi was experiencing challenges arising out of the number of cases filed – many appeals were filed when the courts were attending to election petitions and some parties were requested to fix other hearing dates. However, the Chairman said that the matter was raised by the Court Users Committee and there are plans to improve on the service delivery. The Chairman said that the Council of Legal Education publishes in the newspapers the qualifications the law graduates must meet before admission to the Kenya School of Law. The Chairman agreed with Mr. Hunter Josiah that the fees charged at the Kenya School of Law was ever increasing and explained that the Council has suggested to the National Assembly to amend the Higher Education Loans Board (HELB) Act to enable HELB sponsor post graduate students. The Chairman reported that the Advocates Benevolent Association awarded sponsored eight students Scholarship to the Kenya School of Law in 2014 and assured that the new Council will look into possibilities of encouraging law firms to also sponsor students. The Chairman informed the meeting that the Director of Public Prosecutions has designated two Prosecution Counsel in his office to address complaints of harassment of members by police officers. The Chairman observed that the matter of Mr Albert Muriuki, Advocate who at the time of his disappearance was the Deputy Director, Constitutional and Legislative Affairs based in State House is complicated. The Chairman however, said that the Council has requested asked for a report on him from the Criminal Investigation Department (CID). The Chairman said that the name of the late Mr. Mutula Kilonzo, SC will be included in the list of departed lawyers in the year 2013. The Chairman assured that the new Council will engage the Chief Justice on case management towards reducing case back log. The Chairman assured that the Society is committed to ensuring cross border legal practice is a success. Mr. Paul Kamau proposed and Mr. Mugambi Nandi seconded the adoption of the Report of the Council. The Report was adopted.

MIN. AGM 07/2014: PRESENTATION BY THE COUNCIL OF THE ACCOUNTS AND BALANCE SHEET FOR THE YEAR ENDED 31ST DECEMBER 2013 PURSUANT TO SECTION 25(2) OF THE LAW SOCIEY OF KENYA ACT AND APPOINTMENT OF AUDITORS PKF Kenya (Auditors) partner designate Mr. Asif Chaudhry reported that the financial statements give a true and fair view of the state of financial position of the LSK as at 31st December 2013 and of its financial performance and cash flows in accordance with International Financial Reporting Standards. Mr. Chaudhry referred members to page 57 of the Annual Report that entailed their (Auditors) Report. Ms. Faith Basiye proposed and Mr Wilberforce Khalwale seconded the adoption of the audited accounts. Members observations on the audited accounts as follows: Mr. Bernard Milewa enquired on the possible reasons behind the increase of Supporting Access to Justice for Children and Youth in East Africa (SAJCEA) expenses from KSHs. 7 million to KShs. 17 million as detailed on page 74 of the Annual Report. Mr. Evans Gaturu raised concerns over the expenditure of the Justice Cup Tournament. He referred to page 58 of the Annual Report seeking justification on why the expenditure was more than the income. Mr. Kevin Mc’Court sought clarifications on the disparities between the amount spent on staff medication (KShs2.2 million) and members’ cocktail (KShs.2.7 million) on page 73 of the Annual Report. Mr. McCourt also said that conference expenses as detailed on page 75 had also increased compared to the previous year. He proposed caution on conference expenditure. Ms. Jemimah Keli was highlighted the increase on the consultancy and administrative expenses on page 73 of the report. Prof Tom Ojienda congratulated the Chairman and Council and encouraged Chairman to be bold in approach during his last term in office. Prof. Ojienda proposed that the Council should remit more money to Branches. In response, the Chairman said SAJCEA expenses were lower in 2012 compared to 2013 as it was hosted in Tanganyika. The LSK Secretariat in Lavington currently hosts the programme. Mr. Charles Kanjama LSK Treasurer said that in the past there was substantial deficit in Justice Cup Tournament. Currently, the Council strives to ensure it breaks even but there is a general parity as the Justice Cup Tournament is also Corporate Social Responsibility (CSR) activity and the expenditure should not be a problem as long as it is within the required budget.

The Chairman clarified that the Commonwealth Law Conference expenses include the money paid by members through the LSK and remitted to the Commonwealth Law Association. The Chairman reported that Council travels reduced as there were no Branch visits in 2013. The Chairman said that the staff medical expenses are slightly lower compared to cocktail expenses because Secretariat has a staff of 26 compared to 800 members who attend the cocktail served with drinks and snacks. While at AGM members are also served with tea. The Chairman explained that the cocktails are an AGM resolution to mentor young lawyers. Mr. Asif Chaudhry explained that the consultancy services were in relation to the LSK International Arbitration Centre professional services. Prof. Tom Ojienda proposed adoption of the accounts and Mr. Evans Ondieki seconded. The Audited Accounts was adopted. Appointment of Auditors The Chairman reported that the LSK has worked well with PKF (Auditors) and sought insights from members whether to change (Auditors) or continue working with them. Prof. Ben Sihanya requested the PKF auditors to walk out of the hall as members decide whether to retain them. Mr. Moses Kurgat proposed and Justice Lee Muthoga seconded proposal to retain the auditors. PKF was appointed to continue as auditors. MIN. AGM 08/2014: ELECTION OF SOCIETY’S REPRESENTATIVES ON THE SENIOR COUNSEL AND RULES COMMITTEE PURSUANT TO REGULATION 46 OF THE REGULATIONS AND THE SENOIR COUNSEL COMMITTEE The Chairman informed the meeting that the position in the Rules Committee was open to both male and female gender as it was one while the two positions in the Senior Counsel Committee was for a male and female member for purposes of good practice. The Chairman requested members to proposed names of Representatives in the Rules Committee. Mr. Paul Wamae, SC proposed and Ms. Jennifer Shamallah seconded Mr. Kevin Mc’Court as the Representative in the Rules Committee. Mr Kevin Mc’Court was unanimously elected unopposed. The Chairman requested members to propose names to the two positions in the Senior Counsel Committee. Mr. Nzamba Kitonga, SC proposed and Mr. Eric Nyongesa seconded, Mr. Matete Muchai as member of the Senior Counsel Committee. Mr. M.J Okumu proposed and Mr. Wilfred Nderitu seconded Prof Ben Sihanya. Ms. Scola Nduku Munyao proposed and Prof. Ben Sihanya seconded Dr. Winnie Kamau. Members voted by acclamation for Prof. Ben Sihanya and Dr. Winnie Kamau as the representatives to the Senior Counsel Committee.

MIN. AGM 09/2014: THE DEVELOPMENT OF THE LSK INTERNATIONAL ARBITRATION CENTRE AND DEVOLUTION FUND

The Chairman reported that the meeting would not deliberate on the Devolution Fund as it is provide for in the LSK Bill which is currently in the Third Reading in the National Assembly. The Chairman invited Dr. Lawrence Mbugua of Mwanzoni Ltd (Project Managers) to make a presentation on the LSK International Arbitration Centre. Dr. Mbugua made a PowerPoint presentation and indicated that the total cost of construction and fittings for the building is estimated at KShs.1.2 billion. Mr. Charles Khamala enquired whether the location of the project is fixed in South C or whether the Society can buy another parcel of land and put up the Arbitration Centre. Mr. Jumah Okumu proposed that the new Council should ensure that the project papers and designs are seen by professionals from the University of Nairobi School Of Architecture and the Jomo Kenyatta University of Agriculture and Technology. In response, Dr. Mbugua said buying land elsewhere in areas like Kilimani and Milimani would be more expensive and land where the Secretariat sits (Gitanga Road, Lavington) will be good for future use. The Chairman said that the Council will call a Special General Meeting in due course to discuss the financing of the project. The Chairman reported that five AGMs had made resolutions that LSK develops its land in South C. Mr. Mugambi Nandi proposed and Ms. Jemimah Keli seconded the adoption of the report. The Report was adopted by the plenary. MIN. AGM 10/2014: NOTICE OF MOTIONS BY MEMBERS GIVEN TO THE SECRETARY

(IF ANY) The LSK Secretary reported that there was no written notice presented to him at least twenty-one days before the date of the AGM in line with Paragraph 31(1) of the LSK (General) Regulations. MIN. AGM 11/2014: THE CHAIRMAN TO DECLARE DULY ELECTED MEMBERS OF COUNCIL AND THE DISCIPLINARY COMMITTEE PURSUANT TO REGULATION 14 AND 19 OF THE LSK (GENERAL) REGULATIONS, 1962 The Chairman requested the outgoing Council to leave the podium and invited the incoming Council. Justice Lee Muthoga swore in the new Council in turns. Justice Muthoga said that the swearing in is a feasible commitment to endear the Council members to service.

MIN. AGM 12/2014: ANY OTHER BUSINESS (AOB) Mr. Paul Wamae, SC commended the outgoing Council for a job well done especially on the development of the LSK International Arbitration Centre. Mr. Wamae appealed to members to support the project and proposed that the funds to be borrowed should be minimal since the membership can support the construction through individually. Mr. Wamae pleaded with the new Council to ensure the project succeeds. Prof. Tom Ojienda congratulated previous Council and members who voted for him as the LSK Representative in the Judicial Service Commission. Prof. Ojienda concurred with Justice Lee Muthoga on the importance of swearing in Council Members as it would hold them accountable. Mr. Laban Osoro supported an earlier proposal by Mr. Wilfred Nderitu that the LSK supports the Bar in Burundi. Mr. Osoro said that Governments in the region must not be allowed to interfere with Bar Associations. The LSK Chairman proposed that the Council be mandated to take any necessary measures in solidarity with the President of Burundi Bar Association who has been struck off the Roll of Advocates for allegedly criticizing the Government for disobeying the Rule of Law. Mr Wilfred Nderitu further proposed that the Bar Associations in the region should issue a joint communique and send a delegation to Burundi in solidarity. Mr. Laban Osoro proposed the adoption of the resolution and Mr. Charles Khamala seconded. Members unanimous mandated the Council as proposed by the Chairman and Mr. Wilfred Nderitu. There being no other business to be transacted which may be admitted in line with provisions of Regulation 35, the Chairman declared the meeting officially closed at 2.12pm and encouraged members to attend the Annual Dinner and Dance later in the evening at the same venue.
