Just a reminder that, per mandatorysections of the bylaws, a local PTA/PTSA must
1) Adhere to the purposes and basic policies of the PTA
2) Be incorporated (http://sdatcert3.resiusa.org/ucc-
charter/CharterSearchJ.asp)
3) Remit liability and bonding insurance premiums by the date designated;
4) Remit national and state dues to the Maryland PTA office by dates
designated;
5) Submit the name and address of the local president to the Maryland PTA
office by the date designated;
6) Submit a copy of the treasurer's annual report to the Maryland PTA office;7) Have an Employer Identification Number from the Internal Revenue Servic
8) File appropriate tax forms with the IRS;
9) Have two signatures on ALL checks (the treasurer and one other officer)
10) Have bylaws approved every three years

1. T h i s is the bylaws format for use by local PTA/PTSAs in Mar yland . Addi t ional cop ies may be obtained f rom th e
Maryland PT A Office at 5 Central Avenue, Glen Bumie, Mary land , 21061 or from the M a r y l a n d PTA websi te ;
" members on ly" sect ion . Char tered and new ly fo rmed PTA/P TSAs may reproduce th is fo rm withou t permission . Do
not retype tbe entire form. If additional space is required for changes, a page(s) may be added as an a t t ach m en t to t h i s
fo rm. The attached page(s) should include the local PTA/PTSA name, date of the meet ing at w h ich ch an g es w ere

2 . This form consists basically of two parts:

must be approved by the general membersh ip o f that local PTA/PTSA as per Art ic le XVI.

A r t i c l e XII - If your county has a council, the number of delegates is determined in the counci l by laws. As a m em b er
of a council, each local PTA/PTSAs has full voting rights and representation and the support o f the counci l .
4. When submit t ing by laws for review, even if changes are made on ly wi th amendments , include the en t i r e o r ig in a l
completed by law fo rm, two photocop ies (for a total of th ree complete sets) , and the minutes f rom th e general
mem bersh ip m eet ing when they were appr oved . By laws are requ ired to b e su b m i t t ed ev ery th r ee y ea r s w i th or withou t
rev is ions . The general member sh ip must vo te to approve the by laws even i f no rev is ions are made. Do not r e t y p e or
scan the fo rm or co n v er t the .pdf to a w o r d d o c u m e n t . All that is requ ired is to fill in the blanks and /o r add any
specific information.
5 . Upon appr oval, the original form will be re tu rned to the l o ca l P T A /P T S A to be re ta ined by the s e c r e t a r y to h a v e
available at all meetings and to make cop ies as needed . One photocopy wil l be placed on file in the Mary lan d PTA
office and the other photocopy w ill be sent to the appropriate council if applicable.
6 . Mem ber sh ip and Dues:
a. Mem b ersh ip in PTA/PTSA shal l be made avai lab le to any ind iv idual who subscr ibes to the p u r p o s e s
and basic policies of National PTA upon payment of d u es to a l o ca l P T A /P T S A (See A r t i c l e V).
Studen ts of Paren t Teacher S tuden t Associat ions may have legal res t r ic t ions but may not be den ied
otherwise equal participation as a member o f the o rgan izat ion .
b. Mem b ersh ip in National PTA is on an individual ba sis. M ar yland PTA and its char tered local
PTA/PTSAs are requ ired to concur with this policy. Fa milies are encouraged to join the P T A / P T S A ;
however , each m ember of the family to whom membersh ip app l ies must be issued a m e m b e r s h i p ca r d
an d the organization must remit state and national dues for E A C H I N D I V I D U A L (See A rt i c l e V).

d . To b r ing in to closer re la t ion the hom e and the schoo l , that par en ts and teachers may coopera te in te l l igen t ly in the
educat ion o f ch i ld ren and you th , and
e. To dev elop betw een edu cator s and the general pu blic such united efforts as will secur e for all childr en and youth
the h ighest advan tages in physical , men tal , social , and sp ir i tual edu cat ion .
Sect ion 2 . The pur poses o f Nat ional PTA, Mar y land PT A, and th is local PTA /PTSA are p r omoted th r ough an ad vocacy and
educat ional p rogram d irected toward paren ts , teachers , and the general pub l ic ; are developed th rough conferences , commit tees ,
p ro jects , and p rogra ms; ar e governed and q ual i fied by th e basic po l ic ies set for th in Ar t ic le ID.
Sect ion 3 . The o rgan izat ion is organ ized exclusively for the char i tab le , scien t i f ic , l iterar y , o r educat ional pur poses wi th in the
mean ing o f Sect ion 501(e)(3 ) o f the In ternal Revenue Code o r correspond ing sect ion o f any fu tu re federal lax code (hereinaf ter
referred to as " In ternal R evenue Code" ) .

the legal responsib i l i ty to make decis ions has been delegated by the peop le to the boards o f educat ion , s ta te
educat ion au th or i t ies , and local educat ion au thor i t ies .
c . The o rgan izat ion shal l work to p r omote the heal th and welfare o f ch ild ren and you th and shal l seek to p r omote
co llaborat ion b etween par en ts , schoo ls , and the commun ity a t large.
d . No par t o f the net ear n ings o f the o rgan izat ion shal l inure to the benefi t o f, o r be d is t r ibu tab le to , i t s mem ber s ,
d i recto rs , t rustees , o ff icers , o r o ther p r ivate persons excep t that the o rgan izat ion shal l be au thor ized and
empower ed to pa y reasonab le comp ensat ion fo r serv ices rendered and to make paym ents and d is t r ibu t ions in
fu r therance o f the pur poses set fo r th in Ar t ic le I I hereof.
e. Notwithstan d ing a ny o ther p rov ision o f these ar t ic les , the o rgan izat ion shal l no t carr y on any other act iv i t ies not
perm it ted to be carr ied on
i . by an o rgan izat ion exempt f rom federal incom e tax under Sect ion 501(c)(3 ) o f the
In ternal Revenue Code o r
ii . by an o rgan izat ion , con tr ibu t ions to which are deduct ib le under Sect ion 170(c)(2 ) o f the
In ternal Revenue Code.
f. Upon th e dissolution of this orga nization, after paying or adequa tely pr oviding for the debts and obliga tion s of
the o rgan izat ion , the remain ing assets shal l be d is t r ibu ted to one o r more nonprof i t funds, foundat ions, o r
o rgan izat ions that have es tab l ished thei r tax -exempt s ta tus under Sect ion 501(c)(3 ) o f the In ternal Revenue
Code and wh ose pur poses are in accordance wi th th ose of Nat ional PTA.
g. The or ganizat ion or mem ber s in their official capa cities shall not, directly or indirectly, par ticipate or inter vene
( in any wa y , includ ing the pub l ish ing o r d ist r ibu t ing o f s ta tement s) in any po l i t ical cam paign on beha lf of , o r in
opposi t ion to , any cand idate fo r pub l ic o ff ice; o r devo te more than an insubstan t ia l par t o f i t s act iv i t ies to
attem pting to influen ce legislation by pr opagand a or otherw ise.

Sect ion 1 . Th is local PT A/PT SA shal l be o rgan ized and char tered under the au thor ity o f Ma ry land P TA in the area in which th is
local PT A/PT SA funct ions , in conform ity wi th such ru les and regu lat ions , no t in conf l ic t wi th Nat ional PT A by la ws, as Ma ry land
PTA may in it s by laws p rescr ibe. Mar y land PT A shal l i ssue to th is local PT A/PT SA an appropr iate char ter ev id en cing the due
organization and good standing of this local PTA/PTSA.
A local PTA/PTSA in good standing is one that:
a . adher es to the pur poses and basic po l ic ies o f the PT A;
b. rem its the nat ional and s ta te dues to the Mar y land P TA office by dates designated ;
c . ha s by laws appr oved every th ree (3 ) years accord ing to the p r ocedur es o f Mar y land PT A;
d. has a minimum of twen ty-f ive (25) members;
e . submits the name and addr ess o f the local p residen t to the Mar y land PT A office by the date designated ;
f. rem its l iab i li ty and bond ing insurance p remiums by the date designated ;
g . has an Em ployer Id en t i f icat ion Number (EIN) from the In ternal Revenu e Serv ice ( IRS) on f ile wi th M ar y land PT A;
h . ma in tains i t s s ta tus as a corporat ion ; and
i. files the app ropr iate tax forms with the IR S.
Section 2. This local PTA/PTSA shall be incorporated.
Sect ion 3 . The ar t ic les of o rgan izat ion o f th is local PTA/P TSA include:
a. the byla ws of such orga nization and
b. the cer t i f icate o f incorp orat ion o r ar t ic les o f incorpor at ion o f such o rgan izat ion .
Sect ion 4 . Th is local PT A/PT SA shal l adop t such by laws fo r the governm ent o f the o rgan izat ion as ma y be appr oved by
Mar y land PT A. Such b y laws shal l no t be in conf l ic t wi th Nat ional PTA by law s o r the by laws o f Mar y land PT A.
Sect ion 5 . By laws o f th is local PTA/P TSA sha l l include an ar t ic le on am endm ents .
Section 6. Bylaw s of this local PTA/P TSA shall include a pr ov is ion es tab l ish ing a quorum .
Sect ion 7 . Each o ff icer o r board memb er o f th is local PT A/PT SA shal l be a m em b er o f t h i s l oca l P T A /P T S A .
Sect ion 8 . The by law s o f th is local PT A/PT SA shal l p roh ib i t vo t ing by p r oxy , ma i l ( includ ing elect r on ic comm un icat ions) , orabsen tee.
Sect ion 9 . A PTA m ember shal l not serve as a vo t ing mem ber o f th is local PTA /PT SA' s board wh i le serv ing as a pa id em ployeeof, or under con tract to , th is local PT A/PTSA.
Sect ion 10 . Only mem ber s o f th is local PTA/P TSA w ho have paid dues for the curren t mem ber sh ip year m ay par t ic ipate in the
business o f th is local PT A/PT SA. ' . -
Sect ion 11 . Th is local PT A/PT SA shal l co l lect dues f rom i ts mem bers and shal l remit a p o r t io n o f su ch d u es t o Ma ry lan d P T A as
prov ided in Art ic le V hereof.
Sect ion 12 . The memb ers o f the nominat ing commit tee for o ff icers o f th is local PT A/PT SA shal l be e lected b y the general
mem ber sh ip o r board o f d i rectors (Art ic le VI Sect ion 3a) .
Sect ion .13. This local PT A/PT SA shal l ha ve bond ing and liab i l i ty insur ance.
Sect ion 14 . Th is local P TA/P TSA shal l keep such perm anen t books o f accoun t and records as shal l be su ff ic ien t to es tab l ish the
i tems o f g ross income, receip ts , and d isbursements o f the o rgan izat ion , includ ing , specifical ly , the num ber o f i t s m em ber s , the
dues co llected f rom i ts mem ber s , and the amount o f dues rem it ted to Ma ry land PT A. Such books o f accoun t an d record s shal l a t
a l l reasonab le t imes be open to inspect ion by an au thor ized represen tat ive o f Mary land PTA or by a du ly au thor ized
repr esen tat ive o f Nat ional PT A wh en requested by the comm it tee on s ta te , counci l , and local r e la t ionsh ips .

Section IS. In the event this local PTA/PTSA votes to dissolve and terminate its affairs, i t shall be done as follows:
a . The board o f d irecto rs (or o ther body that , under i t s by laws, man ages the affairs o f the const i tuen t o rgan izat ion) shal l
adop t a reso lu t ion r ecommend ing that th is local PTA /PTSA be d isso lved and d irect ing that the qu est ion o f such
d isso lu t ion b e submit ted to a vote at a special meet ing o f mem ber s hav ing vo t ing r igh ts . Wr i t ten o r p r in ted no t ice s ta t ing
that the pur pose o f such meet in g is to consider the adv isab i li ty o f d isso lv ing th is local PTA/P TSA shal l b e g iven to each
mem ber en t i t led to vo te a t such m eet ing at least th i r ty (30) days p r io r to the date o f such m eet ing .
b . Writ ten no t ice o f the adop t ion o f such reso lu t ion , accompanied by a copy o f the no t ice o f the special meet ing o fmembers , shal l be g iven to the p residen t o f the Mary land PTA at least twen ty (20) days before the date f ixed fo r such
special m eet in g o f the mem bers . On ly those per sons who were mem ber s in good stan d ing o f th is local PT A/PT SA on
the date o f adop t ion o f the reso lu t ion and who con t inue to be members in good s tand ing on the date o f the special
m eetin g shall be entitled to vote on the question of dissolut ion. App roval of dissolution of this local PT A/P TS A sha ll
requ ire the aff irm at ive vo te o f a t least two th i rds (2 /3 ) of the mem ber s p resen t and en t i t led to vo te a t th e special meet ing ,
a quorum being p resen t .
Sect ion 16 . In the even t o f a l leged v io lat ions by th is local PT A/PT SA of the by laws o f the Nat iona l PTA, the M ar y land PT A, or
said local P TA/P TSA, o r o ther p ract ices or act iv it ies o f th is PT A/PT SA that may tend to. defeat the purposes and basic po l ic ies o f
the Nat ional and M ar y land PT A, the p r ocess for involun tar y d isso lu t ion shal l be as fo l lows:
a . Ther e shal l be a commit tee on s ta te , counci l , and local re la t ionsh ips o f f ive (5) memb ers , no two (2 ) from the same
count y /counci l , appo in ted by the incoming s ta te p residen t with in th i r ty (30) days o f assum ing o ff ice . Th e comm it tee
shal l consist o f a t least th ree (3 ) mem ber s o f the board o f d irecto rs , and the term of comm it tee m emb ers shal l be two (2 )
y e a r s .b. The commit tee on s ta te , counci l , and local re la t ionsh ips , upon receiv ing the wri t ten request o f any member o f th is local
PT A/PT SA, any council member , or member o f the Mar y land Board o f Directo r s , shal l r ev iew the al leged by law s
v io lat ions o r o ther p r act ices or act iv i t ies o f th is local P TA/P TSA, an d shal l p r ov ide a wri t ten repor t to the Mar y land PT A
Execu t ive Comm it tee o f the resu l ts o f the comm it tee ' s f ind ings and i ts r ecomm enda t ions, i f any , for act ion . A copy o f
the repor t shal l be sen t to th is local PT A/PT SA and th e person who submit ted the o r iginal r equest .
c . After g iv ing due considerat ion to the repor t o f the comm it tee , and act ion is deemed n ecessar y , the execu t ive com mit t ee
shal l p rov ide an opportun i ty fo r the said PTA/PTSA to be heard and to respond in wri t ing wi th in twen ty-one (21) days
from the date of the report.
d . I f, upon such considerat ion and hear ing , the execu t ive comm it tee f inds a v io lat ion by th is local PT A/P TS A, i t may , by a
two-th i rds (2 /3 ) vo te o f a l l i t s members then in o ff ice , requ ire th is local PTA/PTSA to take appropr iate act ion wi th in a
per iod o f t ime s t ipu lated by the execu t ive commit tee . When such a requ ir ement has been m ad e by the execu t ive
