• A hybrid of debt and equity financing that is typically used to finance the expansion of existing companies.•Mezzanine debt capital generally refers to that layer of financing between a company's senior debt and equity , filling the gap between the two.

•Structurally, it is subordinate in priority of payment to senior debt, but senior in rank to common stock or equity.

•mezzanine debt may take the form of convertible debt, senior subordinated debt or private "mezzanine" securities (debt with warrants or preferred equity).

•Also known as a "subordinated loan" or "junior loan".

Structure (coupon payment Terms)

•Cash interest — A periodic payment of cash based on a percentage of theoutstanding balance of the mezzanine financing. •PIK interest — Payable in kind interest is a periodic form of payment in whichthe interest payment is not paid in cash but rather by increasing the principalamount of the security in the amount of the interest•Ownership — Along with the typical interest payment associated with debt,mezzanine capital will often include an equity stake in the form of attachedwarrants or a conversion feature, similar to that of a convertible bond. Theownership component in mezzanine securities is almost always accompanied byeither cash interest or PIK interest and in many cases by both.

•Participation payout — Instead of equity, the lender may take an equity-likereturn in the form of a percentage of the company’s performance, as measured by total sales, or EBITDA as a measure of cash flow, or profits.
