Menjadi Peritel Telekomunikasi Terbesar di Indonesia
PT Trikomsel Oke Tbk (TRIO) didirikan di Jakarta pada tahun 1996. TRIO merupakan distributor dan peritel untuk merek ponsel global, aksesoris dan produk operator telekomunikasi serta distributor untuk merek netbook dan laptop terkemuka. TRIO merupakan distributor resmi untuk merek Nokia, Sony Erickson, Blackberry, Samsung, iPhone, HTC, Hewlett-Packard (HP) dan Lenovo. Sebagai peritel terkemuka, TRIO telah memposisikan merek "Okeshop" secara strategis sebagai toko dalam toko, di mall terkemuka, jalan utama dan lokasi strategis lainnya, dengan menggunakan berbagai format yang bervariasi – mulai dari stan hingga dalam bentuk toko dengan layanan penuh – di 860 lokasi. Pada 1H12, TRIO mengakuisisi 80% saham PT Global Teleshop (PTGT) senilai USD 100 juta. Akuisisi ini akan memperkuat bisnis ritel TRIO karena PTGT mengoperasikan 313 outlet di
seluruh Indonesia (tahun 2011). Saat ini TRIO memiliki dua anak perusahaan, yaitu (1) Trikomsel Pte Ltd, distributor ponsel di Singapura, dan (2) PT Okeshop, perusahaan yang fokus pada bisnis ritel dan juga memiliki afiliasi dengan PT Mobile World Indonesia (distributor resmi Nokia di Indonesia). Sekitar 84,2% dari total penjualan TRIO pada tahun 2011 berasal dari penjualan ponsel dan sisanya dari penjualan computer, voucher, konten seluler dan lainnya. Setelah akuisisi, outlet TRIO akan meluas hingga ke 175 kota tersebar di 33 provinsi di Indonesia dengan jumlah outlet mencapai 1.173 (berdasarkan data akhir Desember 2011).

Penyesuaian Target Harga Kami melakukan beberapa penyesuaian terhadap proyeksi kami sebelumnya dan
menyesuaikan target harga ke kisaran Rp 1.230 - Rp 1.410 per saham, berdasarkan pertimbangan-pertimbangan berikut: Pada 1Q12 ekonomi Indonesia bertumbuh 6,3% YoY meskipun krisis global masih
terjadi. Konsumsi domestik masih bertumbuh dengan kuat diindikasikan dengan peningkatan indeks penjualan ritel sebesar 12,8% YoY pada bulan Maret 2012. Pada tahun 2011, penjualan ponsel di Indonesia mencapai 41,4 juta unit (tumbuh 19,3% YoY) dan pada tahun 2012 diperkirakan akan melonjak 34% YoY menjadi 55,6 juta unit. Penjualan ponsel pintar telah meningkat dengan tajam di pasar domestik. Pertumbuhan ponsel pintar pada tahun 2011 mencapai 56,5% YoY dan diperkirakan bertumbuh lebih dari 100% pada tahun 2012 dengan estimasi volume penjualan sebanyak 15,3 juta unit. Sementara itu, penjualan komputer domestik diperkirakan bertumbuh 44,4% YoY mencapai 6,5 juta unit.
Pada tahun 2011 TRIO telah memperluas bisnis ritel OkeShop menjadi 860 outlet sedangkan pada tahun 2010 hanya terdapat 808 outlet. Outlet ritel tersebut juga diperkuat oleh 313 ritel outlet hasil dari aliansi strategis dengan Global Teleshop. TRIO juga memperluas rantai distribusinya menjadi 15.163 peritel, meningkat 27,5% YoY dibandingkan dengan 11.892 peritel pada tahun 2010. TRIO telah meningkatkan ragam bauran produk dengan masuknya merek Hewlett-Packard (HP), Lenovo dan HTC ke dalam portofolio produk mereka. Kondisi ini akan memberikan keleluasaan untuk menghadapi perubahan permintaan pasar yang cepat.
TRIO mengakuisisi 80% saham PT Global Teleshop (PTGT) dengan nilai akuisisi sebesar USD 100 juta. Akuisisi tersebut akan membuat TRIO berekspansi ke segmen pasar yang lebih luas, terutama dalam bisnis ritel mereka. Untuk
membiayai akuisisi PTGT, TRIO melakukan penawaran saham baru dalam right issue dan juga mengeluarkan obligasi konversi yang berpotensi memperoleh dana sekitar Rp 1 triliun.
Penjualan TRIO pada tahun 2011 mencapai Rp 7,11 triliun atau bertumbuh 29.0% YoY. Hal ini sejalan dengan estimasi kami sebelumnya. Pada 1Q12, penjualan TRIO bahkan bertumbuh lebih tinggi yaitu 34,5% YoY menjadi 1,98 triliun. Kami memperkirakan penjualan di tahun 2012 akan mencapai Rp 10,2 triliun atau bertumbuh 43,0% YoY sebagai efek konsolidasi penjualan Global Teleshop dan bertumbuhnya bisnis TRIO saat ini. TRIO mencetak laba kotor, laba operasi, dan laba bersih pada tahun 2011 yang juga konsisten dengan konsisten dengan estimasi kami. Pada 1Q12, marjin laba kotor, laba operasi, dan laba bersih TRIO
meningkat menjadi 13,5%, 8,1%, dan 4,1% dari sebelumnya 12,6%, 7,3%, dan 3,8% di 1Q11. Kami percaya pada tahun 2012 masih ada ruang yang luas bagi marjin laba TRIO untuk meningkat. Terlebih, setelah akuisisi, TRIO akan memiliki kapasitas yang lebih besar untuk meningkatkan profitabilitas mereka di masa depan.
Asumsi risk free rate, risk premium, dan beta adalah berturut-turut sebesar 6,4%; 7,8%; dan 0,7.
Prospek Bisnis Penjualan ponsel di Indonesia telah bertumbuh lebih dari 20% rata-rata per tahunnya selama periode tahun 2008-2011, dan pada tahun 2012 diperkirakan tumbuh lebih dari 34% YoY. Di lain pihak, penjualan ponsel pintar telah bertumbuh lebih dari 140%
rata-rata per tahunnya selama periode tahun 2008-2011. Hal ini menunjukkan meningkatnya preferensi pasar pada ponsel pintar yang didorong oleh perubahan gaya hidup. Pada tahun 2011, penjualan ponsel pintar mencapai 17% dari total penjualan ponsel dan diharapkan mencapai 27% pada tahun 2012. Pasar komputer domestik juga bertumbuh pesat dengan perkiraan pertumbuhan 44,4% YoY di tahun 2012. Kami percaya kondisi ekonomi Indonesia akan tetap kuat dan konsumsi domestik akan terus menjadi tulang punggung pertumbuhan ekonomi dan inflasi akan masih berada pada tingkat yang masih bisa dikelola. Mempertimbangkan semua kondisi yang menguntungkan tersebut dan didukung oleh jaringan distribusi yang luas, operasional yang efisien, dan strategi yang terimplementasi dengan baik, kami percaya TRIO memiliki prospek yang cerah di masa depan. Terlebih, setelah akuisisi, TRIO akan menjadi perusahaan ritel telekomunikasi terbesar di Indonesia. Oleh
karenanya, kami memperkirakan pendapatan TRIO akan bertumbuh dengan CAGR sebesar 25,8% selama periode 2011-2016.

Growth-Value Map memberikan gambaran akan ekspektasi pasar untuk perusahaan-perusahaan yang tercatat di BEI. Metrik Current Performance (“CP”), sumbu horisontal, adalah bagian dari nilai pasar saham saat ini yang dapat dihubungkan dengan nilai perpetuitas dari kinerja profitabilitas perusahaan. Metrik Growth Expectations (“GE”), sumbu vertikal, merupakan perbedaan antara nilai pasar saham saat ini dengan nilai current performance. Kedua metrik tersebut dinormalisasikan dengan nilai buku perusahaan.
Growth-Value Map membagi perusahaan-perusahaan ke dalam empat kluster, yaitu:
Excellent value managers (“Q-1”) Pasar memiliki ekspektasi terhadap perusahaan-perusahaan di Q-1 melebih benchmark mereka dalam hal profitabilitas dan pertumbuhan.
Expectation builders (“Q-2”) Pasar memiliki ekspektasi yang relatif rendah terhadap profitabilitas perusahaan-perusahaan di Q-2 dalam jangka pendek, tetapi memiliki ekspektasi pertumbuhan yang melebihi benchmark.
Traditionalists (“Q-3”) Pasar memiliki ekspektasi yang rendah terhadap pertumbuhan perusahaan-perusahaan di Q-3, walaupun mereka menunjukkan profitabilitas yang baik dalam jangka pendek.

Kami mengklasifikasikan TRIO sebagai perusahaan Excellent Value Manager (Q1). Hal ini menunjukkan pasar memiliki ekspektasi yang melebihi benchmark terhadap profitabilitas dan pertumbuhan TRIO. Kemampuan TRIO dalam memelihara dan meningkatkan profitabilitas melalui strategi marketing yang efektif dan efisiensi biaya
telah meningkatkan pendapatan dan laba bersihnya pada tahun 2011 dan 1Q12. TRIO konsisten dalam memberikan dividen bagi para pemegang saham dengan payout ratio lebih dari 30% dan secara konsisten menyediakan informasi kepada publik tentang aktivitas bisnis, kinerja keuangan, dan informasi terkait lainnya yang membuat mereka menjadi menarik bagi investor.

Sukses dalam Merevitalisasi Outlet Ritel dan Meningkatkan Jumlah Peritel Pada tahun 2010 hanya terdapat 808 outlet OkeShop, TRIO mengelola dan mengoperasikan 860 outlet ritel OkeShop yang tersebar di 153 kota di seluruh
Indonesia pada tahun 2011. Penambahan outlet pada tahun 2011 terdiri dari 5 lifestyle outlet, 27 midi outlet, dan 28 kiosk outlet. Strategi TRIO tersebut telah menghasilkan peningkatan penjualan ritel sebesar 19,1% YoY pada tahun 2011 menjadi Rp 1.539,9 miliar. Pada tahun 2012 TRIO berencana membuka lebih dari 100 outlet. Pada bisnis distribusi, TRIO telah sukses memelihara hubungan baik dengan para peritelnya dan meningkatkan jumlah peritel. TRIO memiliki jaringan distribusi yang terdiri dari 15.163 peritel yang memiliki hubungan langsung dengan 108 distributor yang dimilikinya. Jumlah peritel meningkat 27,5% dibandingkan dengan tahun 2010 yang sebanyak 11.892 peritel. Oleh karenanya, penjualan bisnis distribusi meningkat 17,6% YoY dari Rp 3,2 triliun pada tahun 2010 menjadi Rp 3,8 triliun pada tahun 2011. TRIO memiliki kinerja yang baik pada tahun 2011 dan kami percaya hal ini akan
berlanjut pada tahun-tahun berikutnya.

Akuisisi Global Teleshop: Menjadi Perusahaan Peritel Telekomunikasi
Terbesar di Indonesia Pada 1H12, TRIO mengakuisisi 80% saham PT Global Teleshop (PTGT) senilai USD 100 juta. PTGT adalah sebuah perusahaan yang mengoperasikan jaringan ritel skala nasional dengan 313 outlet Global Teleshop yang tersebar di kota-kota besar di Indonesia. Akuisisi ini akan membuat TRIO sebagai perusahaan peritel telekomunikasi terbesar di Indonesia. Dari PTGT, TRIO akan mendapatkan 1.173 outlet yang tersebar di 175 kota di seluruh nusantara. Kekuatan PTGT adalah
adalah dominasinya pada segmen menengah atas. Untuk membiayai akuisisi PTGT, TRIO akan melakukan right issue untuk mendapatkan Rp 249-268 miliar dengan mengeluarkan 311,5 miliar saham baru, dan juga mengeluarkan obligasi
konversi senilai Rp 755-811 miliar. Dengan akuisisi PTGT, kami memperkirakan pendapatan TRIO pada tahun 2012 akan meningkat sebesar Rp 3,06 triliun menjadi Rp 10,16 triliun. Bertumbuhnya Penjualan Ponsel dan Komputer di Indonesia Ekonomi Indonesia bertumbuh 6,3% YoY selama 1Q12 meskipun krisis global masih berlangsung. Kondisi ekonomi di 1Q12 ditandai dengan inflasi yang masih terkendali sebesar 3,97% YoY dan meningkatnya indeks penjualan ritel sebesar 12.8% YoY yang mengindikasikan kuatnya pertumbuhan konsumsi domestik hingga kuartal pertama tahun 2012. Oleh karenanya kami percaya pasar ritel telekomunikasi akan bertumbuh dengan baik pada tahun 2012. Penjualan ponsel diperkirakan akan mencapai 55,6 juta unit pada tahun 2012 dibandingkan dengan 41,4 juta unit di tahun 2011 atau tumbuh 34% YoY, tumbuh lebih tinggi dibandingkan 19,3% YoY di tahun 2011. Sementara itu, sejalan dengan pertumbuhan pengguna ponsel pintar yang pesat, penjualan ponsel

pintar diperkirakan akan melonjak lebih dari 100% pada tahun 2012 (dari 7,2 juta unit menjadi 15,3 juta unit) dibandingkan dengan 56,5% YoY pada tahun 2011. Pertumbuhan penjualan ponsel juga didukung oleh lebih cepatnya periode penggantian ponsel dan penurunan harga-harga ponsel. Untuk pasar komputer, Apkomindo memperkirakan penjualan komputer di Indonesia akan mencapai 6,5 juta unit pada tahun 2012, naik 44,4% YoY dibandingkan penjualan pada tahun 2011 yang sebanyak 4,5 juta unit.

Meningkatnya Ragam Bauran Produk akan menciptakan Fleksibilitas Lebih
dalam Menghadapi Perubahan Permintaan Pasar yang Cepat Pada akhir tahun 2011 TRIO telah memperluas ragam bauran produk yang ditawarkan dengan masuknya merek komputer Hewlett-Packard (HP) dan Lenovo, dan merek ponsel pintar HTC. Dengan memiliki penambahan merek yang kuat tersebut, kami percaya hal itu akan meningkatkan diversifikasi produk dan daya tahan bisnis TRIO. HP dan Lenovo memiliki 12,4% dan 7,7% pangsa pasar di Indonesia. Pada tahun 2011, merek Blackberry dan Nokia merupakan kontributor terbesar bagi penjualan TRIO dengan kontribusi terhadap total penjualan sebesar 42,2% dan 31,4%.

Kinerja Penjualan yang Sangat Baik pada Tahun 2011 dan akan Berlanjut pada Tahun 2012 TRIO membukukan pertumbuhan penjualan 29,0% YoY pada tahun 2011. Penjualan
TRIO mencapai Rp 7,11 triliun dibandingkan dengan Rp 5,51 triliun pada tahun 2010, sejalan dengan estimasi kami. Pada 1Q12, penjualan TRIO bahkan bertumbuh lebih tinggi mencapai 34,8% YoY. Mereka membukukan penjualan Rp 1,98 triliun dari sebelumnya Rp 1,47 triliun di 1Q11. Pertumbuhan penjualan ponsel merupakan pendorong utama penjualan TRIO melonjak di 2011 dan 1Q12. Penjualan ponsel tumbuh 28,7% YoY pada tahun 2011 (termasuk penjualan anak perusahaan) dan 57,1% YoY pada 1Q12 (tidak termasuk penjualan anak perusahaan). Kami memperkirakan penjualan pada tahun 2012 akan menembus Rp 10,16 triliun atau tumbuh 43,0% YoY karena efek dari konsolidasi penjualan Global Teleshop dan juga pertumbuhan bisnis TRIO saat ini.

Peningkatan Marjin dan Pertumbuhan Profitabilitas yang Sangat Baik Laba kotor, laba operasi, dan laba bersih TRIO pada tahun 2011 meningkat menjadi 13,6%, 8,2%, dan 4,3% dari sebelumnya 12,9%, 7,0%, dan 3,27% pada tahun 2010. Marjin-marjin laba tersebut juga meningkat pada 1Q12 dibandingkan periode yang sama tahun sebelumnya. Marjin laba kotor meningkat dari 12,6% menjadi 13,5%, marjin laba operasi dari 7,3% menjadi 8,1%, dan marjin laba bersih dari 3,8% menjadi
4,1%. Selain marjin-marjin laba meningkat, laba TRIO juga tumbuh dengan sangat baik. Laba kotor, laba operasi, dan laba bersih TRIO tumbuh sebesar 36,0%, 52,5%, dan 48,3% YoY pada tahun 2011. Dalam rupiah, laba tersebut masing-masing bernilai Rp 964 miliar, Rp 585 miliar, dan 303 miliar, konsisten dengan estimasi kami. Pertumbuhan tersebut berlanjut di 1Q12. Laba-laba tersebut tumbuh 44,5%, 50,3%, dan 43,6% YoY. Kami percaya pada tahun 2012 masih terdapat ruang yang luas bagi peningkatan marjin laba TRIO dan berlanjutnya pertumbuhan laba pada tingkat yang sangat baik. Marjin dan ROE Tertinggi diantara Perusahaan Sejenis Dibandingkan dengan perusahaan sejenis, seperti ERAA, SKYB, dan TELE; TRIO unggul dalam hal marjin laba. Marjin laba TRIO secara konsisten mengungguli marjin laba perusahaan sejenis dihitung dari marjin laba kotor hingga marjin laba bersih. TRIO juga memiliki ROE yang sangat baik diantara perusahaan sejenis. ROE TRIO pada tahun
2011 adalah 27,7%, lebih tinggi dibandingkan rata-rata ROE TRIO dan perusahaan sejenis yaitu 20,4%. Pada 1Q12 annualized ROE TRIO adalah 27,4% dan kita dapat mengatakan bahwa TRIO memiliki ROE tertinggi diantara perusahaan sejenis. Kami percaya TRIO akan terus menjaga keunggulannya di masa depan. Tetap Membagikan Dividen dengan Payout Ratio Lebih Dari 30% TRIO melanjutkan membagikan dividen dengan payout ratio lebih dari 30% dari laba bersih pada tahun 2011. Perusahaan meningkatkan pembagian dividen untuk tahun
buku 2011 menjadi Rp 97,90 miliar (Rp 22/saham) dari Rp 66,75 miliar (Rp 15/saham) pada tahun sebelumnya atau meningkat Rp 46,7% YoY. Setidaknya, sejak tahun 2008, TRIO telah membagikan dividen dengan payout ratio lebih dari 30%. Kami melihat TRIO memiliki komitmen yang kuat untuk membagikan dividen dan hal ini akan berlanjut di masa depan.

Prospek Bisnis Pada 1Q12 ekonomi Indonesia masih tetap kuat dan dapat bertumbuh 6,3% YoY walaupun krisis global masih berlangsung. Pada bulan Maret 2012 indeks penjualan ritel telah meningkat 12,8% YoY yang mengindikasikan kuatnya pertumbuhan konsumsi domestik. Kami percaya kondisi ekonomi Indonesia yang baik akan berlanjut hingga keseluruhan tahun 2012. Pada tahun 2012 penjualan ponsel diperkirakan akan meningkat 34% YoY mencapai 55,6 juta unit. Ponsel pintar diperkirakan akan tumbuh lebih dari 100% dengan perkiraan volume penjualan 15,3 juta unit. Sementara itu, pasar komputer domestik diperkirakan akan tumbuh 44,4% YoY mencapai 6,5 juta unit. Ekspansi TRIO dalam jumlah outlet, jaringan distribusi, dan juga dalam bauran produk
yang ditawarkan telah membuat bisnisnya semakin kuat. Penjualan mereka telah meningkat dengan sangat baik pada tahun 2011 diiringi dengan peningkatan marjin laba. Kami beranggapan bahwa profitabilitas TRIO tertinggi diantara perusahaan sejenis. Kami percaya akuisisi PTGT akan membuat TRIO semakin kuat karena mereka akan memiliki segmen pasar yang lebih luas, jaringan yang luas, dan meningkatnya ragam bauran produk. PENILAIAN
Metodologi Penilaian
Kami mengaplikasikan pendekatan pendapatan menggunakan Discounted Cash Flows (DCF) sebagai metode penilaian utama dengan pertimbangan bahwa pertumbuhan pendapatan adalah merupakan faktor yang sangat mempengaruhi nilai (value driver) TRIO jika dibandingkan dengan
pertumbuhan aset. Selain itu, kami menggunakan metode Guideline company method (GCM) sebagai metode pembanding. Penilaian ini didasarkan pada Nilai 100% saham per tanggal 19 Juni 2012,
menggunakan laporan keuangan TRIO per tanggal 31 Maret 2012 sebagai dasar dilakukannya analisa fundamental.

Target harga saham untuk 12 bulan berdasarkan posisi penilaian pada tanggal 19 Juni 2012 adalah sebagai berikut:
Dengan menggunakan metode DCF dan asumsi tingkat diskonto 9,9%, adalah sebesar Rp 1.230 – Rp 1.410 per saham.
Dengan menggunakan metode GCM (PBV 2,2x and P/E 13,8x) adalah sebesar Rp 1.220- Rp 1.410 per saham.
Untuk mendapatkan nilai yang mewakili kedua indikasi nilai tersebut dilakukan
rekonsiliasi dengan dilakukan pembobotan terhadap kedua metode tersebut sebesar 70% untuk DCf dan 30% untuk metode GCM. Berdasarkan perhitungan di atas, maka Target Harga Saham TRIO untuk 12 bulan adalah Rp 1.230- Rp 1.410 per saham.

To Be the Biggest Telecommunication Retailer in Indonesia
PT Trikomsel Oke Tbk (TRIO) was established in Jakarta in 1996. It is engaged as a distributor and a retailer for global brands of mobile phones, accessories and telecommunications operator products as well as a selection of leading multimedia netbooks and laptop computers. TRIO is an authorized distributor for Nokia, Sony Erickson, Blackberry, Samsung, iPhone, HTC, Hewlett-Packard (HP) and Lenovo. As a leading retailer, TRIO has positioned the distinctive “OkeShop” brand strategically as a shop in shop in leading malls, main streets and other strategic locations, using a variety of different formats - from booths to full service stores – in 860
locations. In 1H12, TRIO acquired 80% of PT Global Teleshop (PTGT) share with value of USD 100 million. The acquisition will strengthen TRIO’s retail business since PTGT operates 313 retail outlets throughout Indonesia (2011). Currently, TRIO has two subsidiaries i.e. (1) Trikomsel Pte Ltd, a distributor of mobile phone in Singapore, and (2) PT Okeshop, a company that focus on retail business and also affiliated with PT Mobile World Indonesia (an authorized distributor of Nokia in Indonesia). About 84.2% of TRIO’s total sales in 2011 were from mobile phone’s sales and the rest was from the sales of personal computer, voucher, mobile content and others. After the acquisition, TRIO’s outlets will expand to 175 cities across 33 provinces in Indonesia with 1,173 outlets (based on end of December 2011 figure).

Target Price Adjustment We make several adjustments to our previous projections, and adjust our Target Price to a range of Rp 1,230 - Rp 1,410 per share, based on the following considerations:
In 1Q12, Indonesian economy grew by 6.3% YoY despite the continuing global
crisis. Domestic consumption remain grow strongly indicated by the increasing retail sales index of 12.8% YoY in March 2012. In 2011, mobile phone sales in Indonesia reached 41.4 million units (grew by 19.3% YoY) and in 2012 is estimated to soar by 34% YoY to 55.6 million units. Smartphone sales have been increasing sharply in domestic market. It has grown by 56.5% YoY in 2011 and it is estimated to grow more than 100% in 2012 with estimated sales volume of 15.3 million units. Meanwhile, domestic computer market is estimated to grow by 44.4% YoY to reach 6.5 million units.
In 2011 TRIO has expanded its OkeShop retail business to 860 outlets whereas there were only 808 outlets in 2010. These outlets were also strengthened by
313 retail outlets as a strategic alliance with Global Teleshop. TRIO also has expanded its distribution chain to 15,163 retailers, increased by 27.5% YoY compared to 11,892 retailers in 2010. TRIO has increased its product mix variety to include Hewlett-Packard (HP), Lenovo and HTC brands in their product portfolio. This will create more flexibility in facing fast changes of market demand.
TRIO acquired 80% shares of PT Global Teleshop (PTGT) with acquisition value of USD 100 million. The acquisition will make TRIO expands to wider market segments, particularly in their retail business. To finance PTGT acquisition, TRIO is offering new shares in a right issue and also issuing a convertible bond that potentially obtains funds of around Rp 1 trillion.
TRIO’s sales in 2011 reached Rp 7.11 trillion or grew by 29.0% YoY. It is in line
with our previous estimate. In 1Q12, TRIO’s sales grew even higher by 34.8% YoY to Rp 1.98 trillion. We estimate sales in 2012 will hit Rp 10.2 trillion or grow by 43.0% YoY as the effect Global Teleshop sales consolidation and the growing of current TRIO’s business as well. TRIO booked gross, operating, and net profit in 2011 which also consistent with our estimate. In 1Q12, TRIO’s gross, operating, and net margin were improved to 13.5%, 8.1%, 4.1% from previously 12.6%, 7.3%, 3.8% in 1Q11. We believe in 2012 there is still a wide room for TRIO’s margins to improve. Moreover, after the acquisition, TRIO will have more capacity to escalate their profitability in the future.
Risk free rate, equity premium, and beta assumption are 6.4%, 7.8%, and 0.7 respectively.
Business Prospects Mobile phone sales in Indonesia has grown by more than 20% CAGR for 2008-2011 period, and in 2012 is estimated to grow higher by 34% YoY. On the other hand, smartphone sales have grown by more than 140% CAGR during 2008-2011 period. This is indicating increasing market preference on smartphone driven by lifestyle changes. In 2011, smartphone sales accounted for about 17% of total mobile phone sales and expected to reach about 27% in 2012. Domestic computer market is also expanding robustly with 44.4% YoY estimated growth in 2012. We believe that Indonesian economic condition will remain strong and domestic consumption will continue to be the backbone of economic growth and inflation will be still in manageable level. Considering all the favorable conditions and supported by extensive

Success in Revitalizing Retail Outlets and Increasing Number of Retailers Whereas there were only 808 OkeShop outlets in 2010, TRIO managed and operated 860 OkeShop retail outlets spread over 153 cities throughout Indonesia in 2011. Those
additional outlets during 2011 consist of new 5 lifestyle outlets, 27 midi outlets, and 28 kiosk outlets. TRIO’s strategy has resulted in increasing retail sales by 19.1% YoY in 2011 to Rp 1,539.9 billion. In 2012 TRIO planned to open about 100 outlets. In distributor business, TRIO has been successful in maintaining good relationship with their retailers and increasing number of their retailers. TRIO has a distribution chain comprised of 15,163 retailers with direct relationship to its 108 distributors. Number of retailers has increased by 27.5% compared to 2010 of 11,892 retailers. In accordance, distribution business sales increased by 17.6% YoY from Rp 3.2 trillion in 2010 to Rp 3.8 trillion in 2011. TRIO has performed well in 2011 and we believe it will continue the years to come.

Global Teleshop Acquisition: To Be the Biggest Telecommunication Retailer in Indonesia In 1H12, TRIO acquired 80% shares of PT Global Teleshop (PTGT) worth of USD 100 million. PTGT is a company that operates nation-wide retail chain of 313 Global Teleshop outlets spread across major cities in Indonesia. This acquisition will make
TRIO as the biggest telecommunications retailer in Indonesia. From PTGT, TRIO’s outlets will expand to 1,173 outlets spread over 175 cities across this country. The strong point of PTGT is its domination in middle-up segment. To finance PTGT acquisition, TRIO will do a right issue to get Rp 249-268 billion by issuing 311.5 million new shares, and also issuing a convertible bond amounting Rp 755-811 billion. By acquisition of PTGT, we estimate revenue of TRIO in 2012 will increase by Rp 3.06 trillion to Rp 10.16 trillion.
The Growing of Mobile Phone and Computers Sales in Indonesia Indonesian economy grew 6.3% YoY during 1Q12 despite the continuing global crisis. Economic conditions in 1Q12 marked by remain manageable inflation of 3.97% YoY and increasing retail sales index by 12.8% YoY that indicates strong growth of domestic consumption up to first quarter in 2012. We therefore believe the telecommunication retail market will grow favorably in 2012. Mobile phone sales is estimated to hit 55.6 million units in 2012 compared to 41.4 million units in 2011 or grow 34% YoY, growing
higher than 19.3% YoY in 2011. Meanwhile, in line with rapid growth of smartphones user, smartphone sales is estimated to jump by more than 100% YoY in 2012 (from 7.2 million units to 15.3 million units) compared to 56.5% YoY growth in 2011. The growth of mobile phone sales also supported by faster period of mobile phone replacement and declining mobile phones prices. For computers market, Apkomindo estimates computer sales in Indonesia will reach 6.5 million units in 2012, rise by 44.4% YoY compared to sales in 2011 of 4.5 million units.

Increasing Variety of Product Mix will create More Flexibility in Facing the Fast Changes of Market Demand By the end of 2011 TRIO already expanded their product mix offered to include computer brand of Hewlett-Packard (HP) and Lenovo, and smartphone brand of HTC. By having such additional strong brand, we believe it will enhance TRIO’s diversification of products and its resiliency. HP and Lenovo have 12.4% and 7.7% market share in Indonesia. In 2011, Blackberry and Nokia brand are the largest contributors to TRIO’s sales with 42.2% and 31.4% contribution to the total sales.

Superb Sales Performance in 2011 and will Continue in 2012
TRIO booked a sales growth of 29.0% YoY in 2011. TRIO’s sales reached Rp 7.11 trillion compared to Rp 5.51 trillion in 2010, in line with our estimate. In 1Q12, TRIO’s sales grew even higher to 34.8% YoY. They booked sales of Rp 1.98 trillion from previously Rp 1.47 trillion in 1Q11. Mobile phone sales growth was the main driver of TRIO’s sales to soar in 2011 and 1Q12. Mobile phones sales grew by 28.7% YoY in 2011 (including subsidiary’s sales) and 57.1% YoY in 1Q12 (excluding subsidiary’s sales). We estimate sales in 2012 will hit Rp 10.2 trillion or grow by 43.0% YoY as the effect Global Teleshop sales consolidation and the growing TRIO’s business currently as well.

Improved Margins and Excellent Growth Rate of Profitability TRIO’s gross, operating, and net margin in 2011 were improved to 13.6%, 8.2%, and
4.3% from previously 12.9%, 7.0%, and 3.7% in 2010. Those margins also increased in 1Q12 compared to the same period in previous year. Gross margin improved from 12.6% to 13.5%, operating margin from 7.3% to 8.1%, and net margin from 3.8% to 4.1%. Beside margins improvement, TRIO’s profits were growing excellently. TRIO’s gross, operating, and net profit grew by 36.0%, 52.5%, and 48.3% YoY in 2011. In value, those profits were amounted to Rp 964 billion, Rp 585 billion, and Rp 303 billion respectively, which is consistent with our estimate. The growth continued in 1Q12. The profits grew by 44.5%, 50.3%, and 43.6% YoY respectively. We believe in 2012 there is still a wide room for TRIO’s margins to improve and the profits should continue to record excellent growth rate. Moreover, after the acquisition, TRIO will have more capacity to escalate their profitability in the future.

Highest Margins and ROE among Its Peers Compared to its peers, such as ERAA, SKYB, and TELE; TRIO is superior in term of profit margins. TRIO’s margins were consistently superior to its peers’ margins calculated from gross to net margin. TRIO also has excellent ROE among its peers. TRIO’s ROE in 2011 was 27.7% higher than average ROE of TRIO and its peers of 20.4%. In 1Q12 TRIO’s annualized ROE was 27.4%, and we can say that TRIO has the highest ROE among its peers in 1Q12. Continue to Pay Dividend of More Than 30% Payout Ratio TRIO continues to distribute dividend of more than 30% payout ratio from its net income in 2011. The company increase dividend payment for 2011 financial year to Rp 97.90 billion (Rp 22 per share) from Rp 66.75 billion (Rp 15 per share) in the previous year or increase by 46.7% YoY. At least since 2008, TRIO has delivered dividend payment of more than 30% payout ratio. We see that TRIO has a strong commitment to pay dividend and it will continue in the future.

Business Prospects In 1Q12 Indonesian economy remain strong and still growing 6.3% YoY despite the continuing global crisis. In March 2012 retail sales index has increased 12.8% YoY that
indicate strong growth of domestic consumption. We believe the favorable Indonesian economic condition will continue for the full year of 2012. In 2012 mobile phones sales is estimated to soar by 34% YoY to 55.6 million units. Smartphone is estimated to grow more than 100% in 2012 with estimated sales volume of 15.3 million units. Meanwhile, domestic computer market is estimated to grow 44.4% YoY to reach 6.5 million units. TRIO expansion in number of outlets, distributor chain and also in its product mix offered has made the business stronger. Their sales has increased superbly in 2011 accompanied by improved margins. We acknowledge that TRIO’s profitability is the highest among their peers. We believe acquisition of PTGT will make TRIO even stronger since they will have wider market segments, more extensive network and increasing variety of product mix. We estimate that TRIO’s revenue should grow by a CAGR of 25.8% for the period of 2011-2016.

Methodology We apply Discounted Cash Flow (DCF) method as the main valuation approach considering the income growth is a value driver in TRIO instead of asset growth. Furthermore, we also apply Guideline Company Method (GCM) as comparison method. This valuation is based on 100% shares price as of June 19th, 2012, using TRIO’s financial report as of March 31st, 2012, for our fundamental analysis.
