5. Two-BidSystem:TechnicalBidwouldbeopenedandthetendersfoundeligiblewillgoforopeningofCommercialBidonthesamedayorthedayasdecidedbythecompetentauthorityandcommercialbidsofIneligibletenderswillnotbeopened.

6. ClarificationRegardingContentsoftheTENDER:AprospectivebidderwhorequiresclarificationregardingthecontentsofthebiddingdocumentsshallnotifytotheBuyerinwritingabouttheclarificationssoughtasperthedategiveninthefrontpageofthetender.Clarificationifanyshallbenotifiedonthewebsiteintheform ofCorrigendum andnoseparatepaperpublicationshallbemade.

7. RejectionofBids:CanvassingbytheBidderinanyform,unsolicitedletterandpost-tendercorrectionmayinvokesummaryrejectionwithforfeitureof

EMD.Conditionaltenderswillberejected.

8. ValidityofBids:TheBidsshouldremainvalidtill90daysfrom thedateofopeningofthecommercialbid.

9. Earnest Money Deposit: Bidders are required to submitEarnestMoneyDeposit

11. Eligibility Criteria:Firm/bidders blacklisted atany stage orby anyState/CentralUniversities,NITs/IITs/IIITs,Central/StateGovernmentbody/PSUsetc.neednottoapply.

(a) ThebiddershouldbeanIndianregisteredcompanyengagedinrespectiveareaofworks.ThebiddershouldhavesufficientInfrastructure,technicalexpertiseandfinancialstrengthtoundertakethecontract.

(b) Minimum AVERAGEANNUALTURNOVER ofRs.10lakhsinthelast3financialyears.(Balancesheet/CA certificatetobeenclosed,dulysupportedbytheincometaxreturnforfinancialyears2015-16,2016-17,2017-18).

(c) The bidder should have experience of similar work with reputedorganization.Thenatureofcompletedworkshouldbesupply&satisfactorycompletionof projectin various GovernmentInstitutes/Reputed Firms/PSUs.[NOTE:ThedocumentaryproofofPurchaseordersinrespectofworksmentionedinbidmustbesubmittedalongwiththebid.]

(d) Tenderershould submitdocuments in supportofminimum eligibilitycriteriaalongwiththetender/bid.NOdocumentinsupportofminimum eligibilitycriteriawillbeaccepted/entertainedafteropeningoftender.

PARTIII–StandardConditionsofTenderEnquiry

1. TheFirm isrequiredtogiveconfirmationoftheiracceptanceoftheStandardConditionsofthecontractswhichwillautomaticallybeconsideredaspartoftheContractconcludedwiththesuccessfulFirm (i.e.SellerintheContract)asselectedbytheClient.FailuretodosomayresultinrejectionofthesubmittedBid.Thestandardconditionsofthecontractmaybeperusedintheofficeoftendererpriortosubmissionofquotation.

2. Law.TheContractshallbeconsideredandmadeinaccordancewiththelawsoftheRepublicofIndia.TheContractshallbegovernedbyandinterpretedinaccordancewiththelawsoftheRepublicofIndia.

3. Arbitration.Alldisputesordifferencesarisingoutoforinconnectionwiththetendershallbesettledbybilateraldiscussions.Anydispute,disagreementorquestionarisingoutoforrelatingtotheSupply/Installation/performance,whichcannotbe settled amicably,may be resolved through arbitration.In case ofarbitrationwiththefirm andthisunitonanyissuethefinaldecisionwouldbeofTheHead,DepartmentofPhysics,UNIVERSITY OFKASHMIR.Thearbitrationwillbegovernedbyfollowing:-

Alldisputesordifferencesarising outoforinconnectionwiththepresentcontractincludingtheoneconnectedwiththevalidityofthepresentcontractoranypartthereofshouldbesettledbybilateraldiscussions.

Anydispute,disagreementofquestionarisingoutoforrelatingtothiscontractorrelatingtoconstructionorperformance(exceptastoanymatterthedecisionordeterminationwhereofisprovidedforbytheseconditions),whichcannotbesettledamicably,shallwithinsixty(60)daysorsuchlongerperiodasmaybemutuallyagreedupon,from thedateonwhicheitherpartyinformstheotherinwritingbyanoticethatsuchdispute,disagreementorquestionexists,willbereferredtoasoleArbitrator.

Withinsixty(60)daysofthereceiptofthesaidnotice,anarbitratorshallbenominatedinwritingbytheauthorityagreeduponbytheparties.

ThesoleArbitratorshallhaveitsseatinSrinagarorsuchotherplaceinIndiaasmaybemutuallyagreedtobetweentheparties.

ThearbitrationproceedingsshallbeconductedundertheIndianArbitrationandConciliation Act,1996 and the award ofsuch Arbitration TribunalshallbeenforceableinIndianCourtsonly.

Eachpartyshallhavetobearitsowncostofpreparingandpresentingitscase.Thecostofarbitrationincludingthefeesandexpensesshallbesharedequallybytheparties,unlessotherwiseawardedbythesolearbitrator.

Thepartiesshallcontinuetoperform theirrespectiveobligationsunderthiscontractduringthependencyofthearbitrationproceedingsexceptinsofarassuchobligationsarethesubjectmatterofthesaidarbitrationproceedings.

(Note:Intheeventofthepartiesdecidingtoreferthedispute/sforadjudicationtoanArbitralTribunalthenonearbitratoreachwillbeappointedbyeachpartyandthecase

willbereferredtotheIndianCouncilofArbitration(ICADR)fornominationofthethirdarbitrator.Thefeesofthearbitratorappointedbythepartiesshallbebornebyeachpartyandthefeesofthethirdarbitrator,ifappointed,shallbeequallysharedbythebuyerandseller).

ThedeliveryofmaterialisdelayedduetocausesofForceMajeurebymorethan(02months)providedForceMajeureclauseisincludedincontract.

The customerhas noticed thatthe FIRM has utilized the services ofanyIndian/Foreignagentingettingthiscontractandpaidanycommissiontosuchindividual/companyetc.

AsperdecisionoftheArbitrationTribunal.

4. PenaltyforuseofUndueInfluence.TheFirm undertakesbybiddingfortheTenderEnquiry,thathehasnotgiven,offeredorpromisedtogive,directlyorindirectly, any gift, consideration, reward, commission, fees, brokerage orinducementtoanypersoninserviceof theBUYERorotherwiseinprocuringtheContractsorforbearingto do or for havingdone orforbornetodoanyactinrelationtotheobtainingorexecutionofthepresentContractoranyotherContractwiththeGovernmentofIndiaforshowingorforbearingtoshowfavorordisfavortoanyperson in relation to the presentContractoranyotherContractwith theGovernmentofIndia.AnybreachoftheaforesaidundertakingbytheFirm oranyoneemployedbyhim oractingonhisbehalf(whetherwithorwithouttheknowledgeoftheFirm)orthecommissionofanyoffersbytheFirm oranyoneemployedbyhim oractingonhisbehalf,asdefinedinChapterIXoftheIndianPenalCode,1860orthePreventionofCorruptionAct,1986oranyotherActenactedforthepreventionofcorruptionshallentitletheClienttocancelthecontractandalloranyothercontractswiththeFirm andrecoverfrom theFirm theamountofanylossarisingfrom suchcancellation.AdecisionoftheClientorhisnomineetotheeffectthatabreachoftheundertakinghadbeencommittedshallbefinalandbindingontheFirm.Givingorofferingofanygift,bribeorinducementoranyattemptatanysuchactonbehalfoftheFirm towardsanyofficer/employeeoftheClientortoanyotherpersoninapositiontoinfluenceanyofficer/employeeoftheClientforshowinganyfavorinrelationtothisoranyothercontract,shallrendertheFirm tosuchliability/penaltyastheClientmaydeem proper,includingbutnotOPENtoterminationofthecontract,impositionofpenaldamages,forfeitureoftheBankGuaranteeandrefundoftheamountspaidbytheClient.

5. AccesstoBooksofAccountsIncaseitisfoundtothesatisfactionoftheDepartmentofPhysics,UNIVERSITYOFKASHMIRthatthesellerhasengagedanagentorpaid commission orinfluenced anyperson to obtain thecontractasdescribedinclausesrelatingtoagents/agencycommissionandpenaltyforuseofundueinfluence,theSeller,onaspecificrequestoftheDepartmentofPhysics,UNIVERSITYOFKASHMIR,shallprovidenecessaryinformation/inspectionoftherelevantfinancialdocuments/information.

6. Liquidated Damages.In theeventoftheFirm‘sfailureto provideservicesandmaintaintheagreeduptimeetc.asspecifiedinthiscontract,theClientmay,athisdiscretion,withholdanypaymentuntilthecompletionofthecontract.TheClientmayalsodeductfrom theFirm asagreed,liquidateddamagestothesum of0.5% ofthecontractpriceofthedelayed/undeliveredstores/servicesmentionedaboveforeveryweekofdelayorpartofaweek,subjecttothemaximum valueoftheLiquidatedDamagesbeingnothigherthan10%ofthevalueofpayableamountasperthescheduledtermsofpayment.

7. Non-disclosure ofContractDocuments.Exceptwith the writtenconsentofoneparty,theotherpartyshallnotdisclosethecontractoranyprovision,specification,plan,design,pattern,sampleorinformationthereoftoanythirdparty.

8. Notices.AnynoticerequiredorpermittedbythecontractshallbewrittenintheEnglishlanguageandmaybedeliveredpersonallyormaybesentbyFAX oremailorregistered pre-paid mail/airmail,addressed to the lastknownaddressofthepartytowhom itissent.

9. PrematureTerminationofContract.Acontractmaybeterminatedinthefollowingcircumstances:-

WhentheFIRM failstohonoranypartofthecontractincludingfailuretodeliverthecontractedstores/renderservicesintime.

WhentheFIRM isfoundtohavemadeanyfalseorfraudulentdeclarationorstatementtogetthecontractorheisfoundtobeindulginginunethicalorunfairtradepractices.

Whenbothpartiesmutuallyagreetoterminatethecontract. Whentheitem offeredbytheFIRM repeatedlyfailsintheinspectionand/orthe

supplierisnotinapositiontoeitherrectifythedefectsorofferitemsconformingtothecontractedqualitystandards.

Anyspecialcircumstances,whichmustberecordedtojustifythecancellationorterminationofacontract.

Thedeliveryofthematerialisdelayedforcausesnotattributableto ForceMajeureformorethan(01month)afterthescheduleddateofdelivery.

TheFirm isdeclaredbankruptorbecomesinsolvent.

10. TransferandSub-letting.Thesellerhasnorighttogive,bargain,sell,assignorsubletorotherwisedisposeofthecontractoranypartthereof,aswellastogiveortoletathirdpartytakebenefitoradvantageofthepresentcontractoranypart thereof without prior consent in written from Department of Physics,UNIVERSITYOFKASHMIR.

TheFIRM maysubcontractanypartofScopeofWorkonmutualagreementwiththeCUSTOMER.TheFIRM canundernocircumstancesub-contractthecompleteScopeofWorktoaThirdParty.

TheFIRM wouldbeentirelyresponsibleforquality/standardandtimelyexecutionofthesub-contractedwork.TheFIRM istodrawupasuitableQualityAssurance(QA)PlanwiththeSub-FIRM andacopyofthesamealongwithRecordofInspection in accordance with such QA Plan shallbe submitted to theCUSTOMER.

Thesupervisionofworkforthesub-contractedjobsistobedonebytheFIRM.TheFIRM isnotpermittedtoseekanyextensionofCompletionDatecitingdelayonthepartofSub-FIRMsorreworkarisingoutofSub-Contractedwork.

11. PatentsandotherIndustrialPropertyRights.ThepricesstatedinthepresentContractshallbedeemedtoincludeallamountspayablefortheuseofpatents,copyrights,registeredcharges,trademarksandpaymentsforanyotherindustrialpropertyrights.TheSellershallindemnifytheDepartmentofPhysics,UNIVERSITY OFKASHMIR againstallclaimsfrom athirdpartyatanytimeonaccountoftheinfringementofanyoralltherightsmentionedinthepreviousparagraphs,whethersuchclaimsariseinrespectofmanufactureoruse.TheSellershallberesponsibleforthecompletionofthesuppliesincludingspares,tools,technicalliteratureandtrainingaggregatesirrespectiveofthefactofinfringementofthe supplies,irrespective ofthe factofinfringementofanyorallthe rightsmentionedabove.

12. Amendments.NoprovisionofpresentContractshallbechangedormodifiedinanyway(includingthisprovision)eitherinwholeorinpartexceptbyaninstrumentinwritingmadeafterthedateofthisContractandsignedonbehalfofboththepartiesandwhichexpresslystatestoamendthepresentContract.

13. TaxesandDuties.AlltheratesquotedshouldbeinclusiveofalltaxesincludingtheGST.

14. TransportationandMaterialHandling.TheFIRM (supplier)willarrangenecessarytransportandlaboratowncostforloadingandunloadingtheitems.

PARTIV– SpecialConditions

1. OptionClause.ThiscontracthasanOptionClause,whereinthe Clientcanexerciseanoptiontoprocureanadditionalquantityofitemsinaccordancewiththesameterms& conditionsofthepresentcontract.Thiswillbeapplicablewithinthecurrencyofcontract.ItwillbeentirelythediscretionoftheClienttoexercisethisoptionornot.

2. RepeatOrderClause.ThiscontracthasaRepeatOrderClause,whereintheClientcanorderasdesiredquantityoftheitems/servicesunderthepresentcontractwithinsixmonthsfrom thedateofsuccessfulcompletionofthiscontract,cost,terms&conditionsremainingthesame.ItwillbeentirelythediscretionofClienttoplacetheRepeatorderornot.

3. ToleranceClause.To takecareofanychangeintherequirementduring the period starting from issue ofTenderEnquirytillplacementofthesupply/workorder,Clientreservestherighttoincreaseordecreasethequantityoftherequiredgoods/serviceswithoutanychangeintheterms& conditionsandpricesquotedbytheFirm.Whileawardingthecontract,thequantity/servicesorderedhasbeenincreasedordecreasedbytheClientwithinthistolerancelimit.

4. PaymentTerms.ItwillbemandatoryfortheBidderstoindicatetheirbankaccountnumbersandotherrelevante-paymentdetailssothatpaymentscouldbe made through ECS/NEFT/RTGS mechanism instead of Payment throughcheques.No Advance paymentwillbe Made.100% paymentwillbe done onsatisfactorycompletionofwork.

5. Paying Authority.The paymentofbills willbe made by Head,DepartmentofPhysics,UNIVERSITYOFKASHMIRwithin60daysofsubmissionofthefollowingdocumentsbytheSELLERtothePayingAuthority:

(a) 02ink-signedcopiesofCommercialinvoice/SELLERsbill.(b) AworkcompletioncertificatepostSupply/Installation/UserSatisfaction

certificatefrom Head,DepartmentofPhysics,UniversityofKashmir.(c) PhotocopyofPerformanceBankguarantee.(d) Detailsforelectronicpaymentviz.Accountholder‘sname,Bankname,Branch

6. Risk&ExpenseClause.Shouldtheservicesoranyinstallmentthereofnotbedeliveredwiththetimeortimespecifiedinthecontractdocuments,orifunsatisfactorydeliveryaremadeinrespectoftheservicesoranyinstallmentthereof,theBUYERshallaftergranting theSELLER60daystocurethebreach,beatliberty,withoutprejudicetotherighttorecoverliquidateddamagesasaremedyforbreachofcontract,todeclarethecontractascancelledeitherwhollyortotheextentofsuchdefault.

7. ForceMajeureClause.Neitherpartyshallbearresponsibilityforthecompleteorpartialnonperformanceofanyofitsobligations(exceptfailuretopayanysum whichhasbecomedueonaccountofreceiptofgoodsundertheprovisions

ofthepresentcontract),ifthenon-performanceresultsfrom suchForceMajeurecircumstancesasflood,fire,earthquakeandotheractsofGodaswellasothercircumstancesbeyondthepartiescontrolthathavearisenaftertheconclusionofthepresentContract.

(a) In such circumstances,the time stipulated forthe performance ofanobligationunderthepresentcontractisextendedcorrespondinglyfortheperiodoftimeactionofthesecircumstancesandtheirconsequences.

(b) ThepartyforwhichitbecomesimpossibletomeetobligationsunderthiscontractduetoForceMajeureconditions,istonotifyinwrittenform totheotherpartyofthe beginning and cessation ofthe above circumstancesimmediately,butinanycase,notlaterthan10(ten)daysfrom themomentoftheirbeginning.

(c) CertificateofaChamberofCommerce(CommerceandIndustry)orothercompetentauthorityororganizationoftherespectivecountryshallbeasufficientproofofcommencementandcessationoftheabovecircumstances.

(d) Iftheimpossibilityofcompleteorpartialperformanceofanobligationlastsformore that06 (six)months,eitherpartyhereto reservesthe righttoterminatethecontracttotallyorpartiallyupongivingpriorwrittennoticeof30(thirty)daystotheotherparty oftheintentiontoterminatewithoutanyliabilityotherthanreimbursementonthetermsprovidedintheagreementforthegoodsreceived.

8. QualityAssurance.Assuranceofqualityistheresponsibilityofthefirmandfirmsare toindicateexclusivelyandsubmitproofsofqualityassurancenormsbeingfollowed.

9. Inspection.Theinspectionofdelivereditemswouldbecarriedoutbytherepresentative/softheDEPARTMENTOFPhysics,UNIVERSITYOFKASHMIR.

10. PeriodofContract.Thecontractshallbevalidforaperiodof12months,from thedateofissueofPurchaseOrder.

11. ExtensionClause.Thecontractagreementmaybeextendedfurtherforaperiodmutuallyagreedbetweenthebuyer&seller,withoutanychangesinratesquoted,and,on same terms and conditions mentioned in the extanttenderdocument.However,chargesintaxes/Governmentleviesincorporatedfrom timetotimewouldbecateredinconcludingextensionincontract.Anysuchextensionwouldbeprocessedonlyaftersubmissionofacertificatebythesellermentioning―NoDownwardtrendinpriceandwiththeapprovalofthecompetentfinancialauthority.
