1.0 Introduction: Under Tele-Education (TE) programme, ISRO had implemented Satellite based Tele-

Education Networks across the country, at various State departments/Institutes/User

agencies/ Universities. As a part of this programme, ISRO had established Tele Education

networks in North East states, which include deployment of Ku band Hub, Teaching End &

remote Satellite Interactive Terminal (SITs).

This RFP is for awarding recommissioning of Hubs, Teaching ends & SITs; on-site Annual Maintenance Contract (AMC) for Hubs, Teaching ends and Comprehensive Annual Maintenance Contract (CAMC) for SITs and operation of hubs, which are installed & commissioned in the Tele-Education Networks in North East Region. The TE networks of Arunachal, Meghalaya, Tripura, Sikkim, Assam were under CAMC till April 2015 and the Mizoram TE Hub was under CAMC till June 2016. SITs of Nagaland Tele-Education network are yet to be migrated. At present all the 7 TE networks are not under CAMC. The Tele-Education Networks consist following:

2.0 Scope of Work

Hub

2.1 Hub commissioning

Upfront visit and carry out repairs including:

Install new batteries and UPS.

Install new LMS server with software and video capture PC.

In case any hub is found to be irreparable, suitable way forward will be taken after mutual consultation.

VoIP gateway shall be installed and configured, if specifically permitted by NESAC. In such case, vendor shall be required to demonstrate the VoIP system as a part of technical evaluation of the bid.

2.2 Operation of Hub

Provide hub operation and routine and minor maintenance. Detailed activities are listed in Annexure-5

Operation will be given for a state, if specifically identified by NESAC during the course of contract.

Quarterly payments will be made.

Operation to be undertaken by vendor if suitable manpower is arranged and state is identified by NESAC.

2.3 Hub maintenance

(AMC)

Applicable to all 7 NE networks: After the hub is operational, Vendor to take AMC of all equipment of Hub & Teaching end.

Vendor to indicate minimum number of critical spares of Hubs and include in the optional quotation, excluding GCU, to NESAC, for carrying out AMC

Preventive maintenance to be carried out two times in a year. However, if any additional visit is required by NESAC, charges should be quoted in the optional price list. (Annexure - 2/Table no - 3)

Vendor has to attend and resolve the breakdown complaints (using the spares inventory at NESAC or through repair of faulty equipment)

Test VRC Hub and other spare equipment at ISTRAC, if found working, arrange safe transport of equipment from ISTRAC to NESAC for maintaining spare inventory at NESAC.

Packaging, Transportation cost etc. to be paid as actuals (Please refer clause 3.27) for this on production of documentary proof (original LR receipt/challan etc).

After the Hub is operational, any spare transportation due to a breakdown will be at Vendor’s cost (part of AMC).

Any Hub equipment getting faulty to be replaced by NESAC supplied spare and repair cost of the faulty equipment to be paid as per actuals (after the cost of repair approved by

Focal person) excluding transportation cost. The repaired equipment should be brought back to NESAC.

2.4 SIT commissioning

Applicable to all 7 NE networks. All SITs should be supplied with the new peripherals

New LMS client software to be installed.

In case of problem with new LMS, old Trainnet software should be preserved to keep alive the option to revert back to Trainnet on new PC.

Vendor to change faulty VSAT items (LNBC/BUC/RCST) by either NESAC supplied or their own spares.

Provide electrical earthing.

If Hub is not operational at the time of SIT commissioning, functionality to be tested with other NE working hub.

Alternate frequency plan to be loaded in SIT modem, if feasible

In case any SIT is not commissioned due to unforeseen reasons, the material may be either brought back (with permission of NESAC) to hub of respective network and placed in safe custody of state hub coordinator or placed in safe custody of SIT coordinator.

Upfront visit may be taken up with permission of NESAC. This shall be counted as Additional site visit.

Additional site visit charges shall be payable with justification from vendor.

Repairable faulty items to be repaired. Repair charges to be paid at actuals (after the cost of repair approved by Focal person) including transportation.

Replacement items by vendor will be paid as per rates provided by vendor.

SIT to be considered functional after testing with Hub.

The specifications of items to be replaced are in Annexure - 7

The transportation of new peripherals from respective hubs to SIT sites is expected to be carried out by the state government. However, in case vendor is tasked for this, the transportation cost shall be paid as per actuals. (Please refer clause 3.27)

Additional transportation charges incurred for any shifting of materials shall be paid on actuals. (Please refer clause 3.27)

VoIP Phones shall be added at the SITs, shall be installed and configured (along with compatible 8-port 100/1000Mbps LAN switch), if specifically permitted by NESAC. In such case, vendor shall

be required to demonstrate the VoIP system as a part of technical evaluation of the bid.

2.5 SIT CAMC After the SIT is commissioned, vendor to take CAMC of all peripherals of SIT supplied and VSAT equipment.

Fault repair visit as and when needed.

Fault to be attended maximum within 15 days.

Preventive maintenance to be carried out two times in a year. However, if any additional visit is required by NESAC charges should be quoted in the optional price list. (Annexure - 2/Table no - 3). Any such visits shall be with the approval of NESAC.

Help desk numbers to be provided.

Vendor should factor in the standard warranty on all the supplied items while quoting for CAMC. This aspect will be examined by NESAC during tender evaluation. Appropriate information shall be included in the technical bid.

2.6 Number of SITs to be

commissioned and time line

Vendor shall initially make around 180 SITs operational in 4 states (Assam, Meghalaya, Tripura & Sikkim) within 4 months of PO.

The remaining SITs out of 350 shall be made operational/revived after giving go ahead from NESAC. (The go ahead shall be subject to only revival of Hubs in the 3 states of Mizoram, Nagaland and Arunachal Pradesh)

(The execution of activities are subject to availability of road permits/inner line permits from respective state nodal agencies)

List with details of SITs will be provided at the time of PO.

Equipment retrieval transport charges to be paid as per actuals.

Migration of SITs in Nagaland (and any specific site in other NE state) to INSAT-4CR to be carried out as part of installation and commissioning. The activities to be carried out during migration is listed in Annexure – 6

2.7 Installation and Commissioning of New SITs

In case SITs are to be established at new locations (including Manipur), the same shall be carried out by the contractor as instructed by NESAC. Installation charges for the same shall be paid as in (Annexure - 2/Table no - 3)

Timeline for New SIT: Within 3 months of arrangement of VSAT hardware at NESAC and after intimation from NESAC.

The transportation charges incurred for materials shall be paid on actuals. (Please refer clause 3.27)

2.8 Dismantling & Re-

commissioning of SIT

If required by NESAC, contractor will have to undertake relocation of existing SITs from one location to another, within North Eastern Networks. Price to be indicated in optional price list.

Dismantling & Recommissioning charges per site to be quoted by vendor in (Annexure - 2/Table no - 3)

Transportation charges shall be paid on actuals against documentary proof.

3.0 Terms & Conditions:

3.1 Vendors to provide documents of

authorization from the OEM M/s ViaSat

for carrying out maintenance support

activity and shall have minimum 2 years’

experience in handling similar work.

3.2 The part/items replaced (with prior permission of NESAC) shall be with same, equivalent or higher specifications.

Vendor shall provide the list of consumables (cables, connectors, adaptors, batteries etc.,) which are not covered under AMC along with price.

3.3 Vendor shall submit AMC certificates

along with maintenance service reports

for each maintenance activity carried out

for Hubs, Teaching ends & SITs duly

certified by Tele-Education Coordinator of

network.

The format of AMC certificates are

given in Annexure-3.

Hub Operations

3.4 It is desirable that the Hub engineer

should have BE/B.Tech degree in

Electronics & Communications /Computer

Science/ Tele Communications with

relevant field experience.

If the personnel with BE/B.Tech degree are not available, Diploma engineers with relevant experience in Satcom field may also be deputed. However, NESAC’s decision in this matter shall be final and binding.

Vendor should ensure that services of Hub Engineer shall be available in times of exigencies within a short notice at any given point of time throughout the contract period.

3.5 The engineer deputed at Hub should be

available on mobile phone.

The phone number details shall be provided to hub coordinator and NESAC.

Mobile phone bill will be borne by vendor.

3.6 An attendance register shall be

maintained at each Hub site.

Hub engineer shall sign in the register/attendance sheet indicating in/out time.

3.7 Hub engineer deployed shall attend

duties using their own transport

arrangement.

No conveyance charge shall be paid.

3.8 Biodata and two copies of photograph

along with Police Verification Report of

the Hub engineer to be deployed, shall be

sent to Hub in-charge for arranging

necessary entry pass.

Hub engineer shall not be changed

without prior concurrence of nodal

agency/Hub coordinator.

CAMC of SITs

3.9 Sites visits should be properly planned by the vendor with necessary coordination with SIT Coordinator as well as Hub Coordinator.

However, on reaching remote site, if SIT coordinator is not available even on prior intimation and SIT could not be attended due to reason attributable to nodal agency, visit charges will be admissible on submission of necessary document (photograph of SIT or signature of an authority at SIT/Hub or any other admissible documentation).

General

3.10 NESAC reserves the right to accept or reject the offers received against this tender.

3.11 A pre-bid meeting shall be held at NESAC/DECU.

Detail is given in Annexure 8.

3.12 AMC of Hub, CAMC of SITs and Hub operations shall be awarded initially for a period of one year.

It is understood that Hubs and SITs may get operational at different times.

One year (for Hub AMC and operation) will be counted from the date of commissioning and takeover of the Hub operations by the Vendor and will last for one year.

For SITs, the number of SITs successfully commissioned on the first date of a given month, will be taken as start of CAMC and will last for one year.

The contract may be extended for another two years on yearly basis, if required by NESAC.

Operations contract shall be given as per requirement in states (may not be given for all states).

3.13 The persons engaged by vendor for

carrying out operations or maintenance

work will not have any right or claim for

regular employment in any of the

NESAC/ISRO/DOS or respective nodal

agency of network.

3.14 Vendor shall coordinate with respective

nodal agency of network for maintenance

of network during CAMC period.

3.15 Vendor has to arrange their own tools

and test equipment for testing all the

systems/items.

3.16 Vendor has to make its own arrangement

for lodging, boarding and travel during

these activities.

3.17 Vendor shall indemnify NESAC (not hold

NESAC responsible) in the event of any

damages, injury or loss to men or

material due to negligence or natural

calamities/accidents, if any.

3.18 Vendor shall be responsible to ensure the

safety and security of materials during

transit/transportation handed over to

them. In case of any damage to the

equipment/materials while in Contractors

custody, the contractor shall be liable to

restore such materials to working

condition/replace the damaged materials /

equipment at their own cost and risk.

3.19 Help Desk: Vendor maintain Help Desk to

attend breakdown calls, reported during

this contract. A single focal point shall be

identified from vendor’s side to coordinate

and communicate to all concerned.

Help desk shall be equipped with landline and mobile phones, email/fax etc.

Should be available: Monday to Saturday (9:00Hrs-17:30Hrs)

Issue docket/compliant number to user and maintain logbook.

3.20 NESAC will nominate a focal person from

NESAC for this contract for the purpose

of matters related to this AMC/CAMC.

All correspondence shall be marked in

Focal Person’s name after release of

Purchase order.

3.21 Vendor should confirm compliance to all

paras/points/clauses of the RFP along

with supporting documents, wherever

necessary

Commercial

3.22 Vendor should submit the quotation in

two parts (Part-1) Techno-commercial bid

and (Part-2) Price bid in two separate

sealed envelopes super scribing the

purchase reference/Tender number and

due date for submission.

Format for submitting quotations as in

Annexure-2

Techno-commercial (part-1) bid

should also contain every paper which

is there in price bid but the prices

should be masked (price should not

be there).

3.23 Validity of offers: Offers should be valid

for atleast 180 days from the date of

opening of the Part-1 Techno-commercial

bid.

3.24 Vendor shall quote price of all Hub,

3.25 Performance Bank Guarantee (PBG):

Successful Vendor will have to submit

performance bank guarantee for an

amount calculated on the basis of first

year value of 7 Hubs AMC plus 7 Hubs

Operation plus CAMC of 180 SITs.

PBG shall be valid for the entire duration

of the contract. Including extension if any

PBG shall be returned without interest on

successful completion of the contract.

3.26 Vendor shall coordinate with concerned

Nodal person of the state for Road Permit

/ Way Bills for movement of material to

and from sites of NE States

The road Permit / Way Bills for

movement of material shall be

arranged by concerned Nodal person

of state and handed over to vendor.

3.27 Reimbursement of transportation charges Actual transportation charges to be paid, subject to reasonability of prices as per the market rates. Decision of NESAC will be final in this respect.

3.28 Taxes and duties to be reimbursed extra

as applicable (including any entry tax etc

for states)

Vendor shall clearly indicate the rate (%) of taxes and duties applicable on the date of submission of bid. Customs duty on imports by vendor (only for initial recommissioning) shall reimbursed as actual.

3.29 NESAC reserves the right to exclude any

one or more items/subsystems from the

items mentioned in the RFP

4.0 Payment Terms & Conditions:

4.5 The payment for supply and installation of UPS, LED TV, Webcam, Microphone, PCs, lightning arrestor & Electrical earthing etc will be paid on pro-rata basis on submission of Invoice and user certified installation report.

4.6 The payment for site visit charges will be paid on pro-rata basis on submission of site visit proof.

4.7 Payments shall be made within 30 days after submission of claim.

4.8 The new equipment for the Hubs and the peripherals of SITs of respective state should be delivered at the Hub. The vendor will be entitled for 80% payment against delivery and 20% on successful installation and commissioning on prorata basis.

5.0 Penalty Clauses:

5.1 Penalty Clause: (Hub & Teaching end)

The down time is 15 (Fifteen) working days for the Hub & Teaching End of respective networks.

The faults reported/lodged from the user must be attended and repaired within 15 (Fifteen) working days from the date of lodging of complaint.

For each subsequent day of delay after 15 (Fifteen) working days from the date of lodging the complaint, 0.2% of quarterly AMC value per day will be recovered from the bill with ceiling of 10% of quarterly AMC value of respective hub and teaching end.

If the delay is due to unforeseen circumstances or on the part of Nodal agency’s side, penalty clause will not be applied.

5.2 Penalty Clause (SITs):

The down time is 15 (Fifteen) working days for SITs.

The faults reported/lodged from the user must be attended and repaired within 15 (Fifteen) working days from the date of lodging of complaint.

For each subsequent day of delay after 15 (Fifteen) working days from the date of lodging the complaint, 0.2 % of quarterly CAMC value per day will be recovered from the bill with ceiling of 10 % of quarterly CAMC value of respective hub and teaching end.

6.0 Force Majeure:

Should a part or whole of the services covered in this contract be delayed due to reasons of force majeure (in the respective networks for sites identified by NESAC/ISRO) which shall include Lock-outs, strikes, riots, civil commotion, fire accidents, acts of God, war, stoppage of deliveries by Government, the schedules referred in the clause 2.3 & 2.5 shall be extended by a period(s) not in excess of duration of such force majeure event. Each party undertakes to advise the other as soon as it becomes aware of the circumstances of such force majeure event. So that actions under the provisions of those orders can be mutually reviewed and agreed upon between vendor and NESAC.

If the force Majeure conditions extend over a period of six months both the parties of the order shall mutually discuss and arrive at an agreement for continuation or termination of the contract for the particular sites at which the events have affected performance of the AMC/CAMC.

In such case penalty clause will not be applicable.

7.0 Arbitration:

Disputes, if any, shall be settled mutually, failing which it shall be referred to a one man Arbitrator appointed by Director, NESAC, Shillong in accordance with Indian Arbitration and Conciliation Act 1996, whose decision shall be final and binding on both the parties.

Applicable Law: The contract shall be governed by Indian Law, and Jurisdiction shall lie in the courts at Shillong.

8.0 Termination of Contract:

NESAC reserves the right to terminate the contract in full or part by giving one month’s notice in writing without any financial implications on either side.

9.0 Addition/Deletion of Hub, TE and SITs during of tenure of the AMC/CAMC:

NESAC reserves the right to add or delete any Hub, TE and SITs on pro-rata cost basis during tenure of the AMC/CAMC. The Hub, TE and SITs which are in working order, shall be added/deleted to the AMC/CAMC at the discretion of NESAC.

Any deletion / addition of Hub, TE and SITs from the AMC/CAMC will be effective at the beginning of month. NESAC shall notify vendor addition or deletion of sites, if any.

Migration Activities

Following activities are to be carried out during migration of SITs in Nagaland (and any specific site in other NE state):

Vendor has to carry out reorientation, pointing & optimization of antenna of SIT to INSAT-4CR Satellite (or any other satellite as directed by NESAC/DECU) to get maximum signal strength and also adjust polarization of antenna in coordination with Hub.

Reconfiguration of parameters in IDU (RCST) at each remote SIT.

The following parameters are to be taken/recorded after the reconfiguration of IDU (RCST) and re-orientation of antenna: o Eb/No o Ping response to the Hub server o Log in status of the SIT in the NMS o TrainNet login status

Annexure – 8 INSTRUCTIONS TO TENDERERS

1. EMD at the rate of `5,00,000/- (Rupees Five lakhs only) shall be submitted in form of

Demand Draft from any of the commercial banks in favour of Director, NESAC payable at

SBI Umiam (Branch Code 2010), failing which the Tender will not be considered.

2. Tenders should be sent in sealed envelopes super scribing the relevant Tender No, and the due date of opening. Only one tender should be sent in each envelope.

3. Late tenders and delayed tenders will not be considered. 4. Sales Tax and/or other duties/levies legally leviable and intended to be claimed should be

distinctly shown separately in the tender.

5. As a Government of India Department, this office is exempted from payment of Octroi and

similar local levies. Tenderers shall ensure that necessary Exemption Certificates are obtained

by them from the Purchase Officer concerned to avoid any payment of such levies.

6. a) Your quotation should be valid for 180 days from the date of opening of the

tender.

b) Prices are required to be quoted according to the units indicated in the annexed tender form.

When quotations are given in terms of units other than those specified in the tender form, relationship between the two sets of units must be furnished.

literature and samples, wherever necessary, along with the quotations. Test Certificates, wherever necessary, should be forwarded along with supplies. Wherever options have been called for in our specifications, the tenderer should address all such options. 8. The purchaser shall be under no obligation to accept the lowest or any tender and reserves the

10. The tenderer should supply along with his tender, the name of his bankers as well as the latest Income-Tax clearance certificate duly countersigned by the Income-Tax Officer of the Circle concerned under the seal of his office, if required by the Purchaser.

11. The Purchaser reserves the right to place order on the successful tenderer for additional

quantity up to 25% of the quantity offered by them at the rates quoted.

12. The authority of the person signing the tender, if called for, should be produced.

13. A Pre-bid meeting with the vendors may be held tentatively on 05

th October, Wednesday at 3 PM

at NESAC. If there will change, it will be informed through NESAC website. TERMS & CONDITIONS OF TENDER

1. DEFINITIONS:

a) The term ‘Purchaser’ shall mean Director, North Eastern Space Applications Centre.

b) The term ‘Contractor’ shall mean, the person, firm or company with whom or with which

the order for the supply of stores is placed and shall be deemed to include the

Contractor's successors, representative, heirs, executors and administrators unless excluded

by the Contract.

c) The term ‘Stores’ shall mean what the Contractor agrees to supply under the Contract as

specified in the Purchase Order including erection of plants & machinery and subsequent

testing, should such a condition is included in the Purchase Order.

d) The term ‘Purchase Order’ shall mean the communication signed on behalf of the Purchaser

by an Officer duly authorised intimating the acceptance on behalf of the Purchaser on

the terms and conditions mentioned or referred to in the said communication accepting

the tender or offer of the Contractor for supply of stores or plant, machinery or equipment

or part thereof.

2. PRICES: Tender offering firm prices will be preferred. Where a price variation clause is insisted upon by a

tenderer, quotation with a reasonable ceiling should be submitted. Such offers should invariably be supported by the base price taken into account at the time of tendering and also the

formula for any such variation/s.

3. GUARANTEE/WARRANTY & REPLACEMENT:

(a) The Contractor shall guarantee/warranty that the stores supplied shall comply fully with the

specifications laid down, for material, workmanship and performance.

(b) For a period of twelve months after the acceptance of the stores, if any defects are

discovered therein or any defects therein found to have developed under proper use, arising from faulty stores design or workmanship, the Contractor shall remedy such defects at his own cost provided he is called upon to do so within a period of 14 months from the date of acceptance thereof by the purchaser who shall state in writing in what respect the stores or any part thereof are faulty.

(c) If, in the opinion of the purchaser, it becomes necessary to replace or renew any defective

stores such replacement or renewal shall be made by the Contractor free of all costs to the purchaser, provided the notice informing the Contractor of the defect is given by the purchaser in this regard within the said period of 14 months from the date of acceptance

thereof.

(d) Should the Contractor fail to rectify the defects, the purchaser shall have the right to reject

or repair or replace at the cost of the Contractor the whole or any portion of the defective stores.

(e) The decision of the purchaser notwithstanding any prior approval or acceptance or inspection

thereof on behalf of the purchaser, as to whether or not the stores supplied by the Contractor are defective or any defect has developed within the said period of 12 months or as to whether the nature of the defects requires renewal or replacement, shall be final, conclusive and binding on the Contractor.

(f) To fulfill guarantee/warranty conditions outlined in clause 4 (a) to (e) above, the Contractor

shall, at the option of the purchaser, furnish a Bank Guarantee (as prescribed by the

purchaser) from a Bank approved by the purchaser for an amount equivalent to 10% of the value of the Contract (ref to Sl No.3.25 of Appendix A).

(g) All the replacement stores shall also be guaranteed/warranted for a period of 12 months from

the date of arrival of the stores at purchaser's site.

(h) Even while the 12 months guarantee/warranty applies to all stores, in case where a greater

period is called for by our specifications then such a specification shall apply in such cases the period of 14 months referred to in para 4 (b) & (c) shall be the ‘asked for’ guarantee/warranty period plus two months.

4. PACKING FORWARDING & INSURANCE:

The Contractor will be held responsible for the stores being sufficiently and properly packed for transport by rail, road, sea or air to withstand transit hazards and ensure safe arrival at the destination. The packing and marking of packages shall be done by and at the expense of the Contractor. The purchaser will not pay separately for transit insurance, all risks in transit being exclusively of the Contractor and the Purchaser shall pay only for such stores as are actually received in good condition in accordance with the Contract.

5. TEST CERTIFICATE:

Wherever required, test certificates should be sent along with the despatch documents. 6. EXTENSION OF TIME:

As soon as it is apparent that the Contract dates cannot be adhered to, an application shall be sent

by the Contractor to the purchaser. If failure, on the part of the Contractor, to deliver the stores in

proper time shall have arisen from any cause which the purchaser may admit as reasonable

ground for an extension of the time (and his decision shall be final) he may allow such additional

time as he considers it to be justified by circumstances, of the case without prejudice to the

purchaser's right to recover liquidated damages under clause 10 thereof.

7. INDEMNITY: The Contractor shall warrant and be deemed to have warranted that all stores supplied against this Contract are free and clean of infringement of any Patent, Copyright or Trademark, and shall at all times indemnify the purchaser against all claims which may be made in respect of the stores for infringement of any right protected by Patent Registration of design or Trade mark and shall take all risk of accidents or damage which may cause a failure of the supply from whatever cause arising and the entire responsibility for sufficiency of all means used by him for the fulfilment of the contact.

8. ARBITRATION: In the event of any question, dispute or difference arising under these conditions or any conditions contained in the Purchase Order or in connection with this Contract (except as to any matter the decision of which is specially provided for by these conditions), the same shall be referred to the sole arbitration of the Head of the Purchase office or some other person appointed by him. It will be no objection that the arbitrator is a Government servant that he had to deal with matter to which the Contract relates or that in the course of his duties as Government servant he has expressed views on all or any other matters in dispute or difference. The award of the arbitrator shall be final and binding on the parties of this Contract. If the arbitrator be the Head of the Centre/Unit –

(i) In the event of his being transferred or vacating his office by resignation or otherwise, it shall be lawful for his successor-in-office either to proceed with reference himself, or to appoint another person as arbitrator, or

(ii) In the event of his being unwilling or unable to act for any reason, it shall be lawful for

the Head of the Centre/Unit to appoint another person as arbitrator.

If the arbitrator be a person appointed by the Head of the Purchase Office – In the event of his dying, neglecting or refusing to act or resigning or being unable to act, for any reason, it shall be lawful for the Head of the Centre/Unit either to proceed with the reference himself or appoint another person as arbitrator in place of the outgoing arbitrator.

Subject as aforesaid the Arbitration & Conciliation Act 1996 and the rules thereunder and any statutory modifications thereof for the time being in force shall be deemed to apply to the arbitration proceedings under this Clause. The Arbitrator shall have the power to extend with the consent of the purchaser and the Contractor the time for making and publishing the award. The venue of arbitration shall be the place as purchaser in his absolute discretion may determine. Work under the Contract shall, if reasonably possible, continue during arbitration proceedings.

In the event of any dispute or difference relating to the interpretation and application for the provisions of the Contracts, such dispute or difference shall be referred by either party to Arbitration of one of the Arbitrations in the Department of Public Enterprises. The Arbitration Act 1996 shall not be applicable to arbitration under this clause. The award of the Arbitrator shall be binding upon the parties to the dispute provided however any party aggrieved by such award may make a further reference for setting aside or revision of the award to the Law Secretary, Department of Legal Affairs. Ministry of Law & Justice, Govt. of India. The parties to the dispute will share equally, the cost of arbitration as intimated by Arbitrator.

9. COUNTER TERMS AND CONDITION OF SUPPLIERS:

Where counter terms and conditions printed or cyclostyled conditions have been offered by the supplier, the same shall not be deemed to have been accepted by the Purchaser, unless specific written acceptance thereof is obtained.
