िविनमय बोड (हामीदार) िविनयम 1993 भारतीय ितभित और िविनमय बोड (िडबचर यासी) िविनयम 1993

2014 का और सशोधन करन क िलए िन िलिखत िविनयम बनाता ह अथात-

सि नाम

1 इन िविनयम को भारतीय ितभित और िविनमय बोड [कछ म यव तय (इटरमीिडयरीज़) क रिज ीकरण क

शत म प रवतन] (सशोधन) िविनयम 2016 कहा जा सकगा

ग उप-िविनयम (2) क िलए िन िलिखत ित थािपत हो जाएगा अथात-

(2) उप-िविनयम (1) क अधीन दान कया गया रिज ीकरण माणप तब तक िविधमा य रहगा

जब तक क उस बोड ारा िनलिबत या र न कर दया जाए

घ उप-िविनयम (3) क िलए िन िलिखत ित थािपत हो जाएगा अथात-

(3) िजस मचट बककार को बोड ारा पहल ही भारतीय ितभित और िविनमय बोड [कछ

म यव तय (इटरमीिडयरीज़) क रिज ीकरण क शत म प रवतन] (सशोधन) िविनयम 2016 क

ारभ स पव रिज ीकरण माणप दान कया जा चका हो उस मचट बककार क बार म यह

समझा जाएगा क उस उप-िविनयम (1) क अनसार रिज ीकरण माणप दान कया गया ह

ङ उप-िविनयम (4) म श द आरिभक का लोप हो जाएगा

iv िविनयम 8क का लोप हो जाएगा

v िविनयम 9क म उप-िविनयम (1) म-

क श द और अक ldquoिविनयम 8 क अधीन दान कया गया कोई आरिभक रिज ीकरण या िविनयम 8क

क अधीन दान कया गया कोई थायी रिज ीकरणrdquo क िलए श द और अक ldquoिविनयम 8 क अधीन

दान कया गया रिज ीकरणrdquo ित थािपत हो जाएग

ख खड (ख) क िलए िन िलिखत ित थािपत हो जाएगा अथात-

ldquo(ख) यह रिज ीकरण क िलए फ स उसी कार अदा करगा जसा इन िविनयम म दया गया हrdquo

ग खड (घ) म श द ldquoआरिभक रिज ीकरण या थायीrdquo का लोप हो जाएगा

घ खड (ङ) क प ात िन िलिखत खड अत थािपत कया जाएगा अथात-

ldquo(च) यह उस जानकारी म ए प रवतन क यौर बोड को तरत सिचत करगा जो रिज ीकरण क

माग करत समय तत क गई थी rdquo

vi िविनयम 10 म-

क उप-िविनयम (1) क िलए िन िलिखत ित थािपत हो जाएगा अथात-

ldquo(1) जहा िविनयम 3 क अधीन रिज ीकरण माणप दान कए जान क िलए कया गया आवदन

िविनयम 6 म दए ए मानदड को परा नह करता वहा बोड सन जान का अवसर दन क प ात

आवदन नामजर करगा rdquo

ख उप-िविनयम (2) क िलए िन िलिखत ित थािपत हो जाएगा अथात-

ldquo(2) रिज ीकरण दान करन स इनकार कए जान क सचना बोड ारा इस कार इनकार कए

जान क तीस दन क भीतर आवदक को दी जाएगी िजसक अतगत आवदन को नामजर कए जान क

आधार का उ लख होगा rdquo

vii िविनयम 11 का लोप हो जाएगा

तारीख स छठ वष स यक तीन वष हत नौ लाख पय क फ स अदा करगा rdquo

घ परा 3 म खड (कक) का लोप हो जाएगा

ङ परा 3 म खड (ख) िन िलिखत स ित थािपत हो जाएगा अथात-

ldquo(ख) परा 2 म उि लिखत फ स मचट बककार ारा उस लॉक क समा होन स तीन महीन पव अदा

क जाएगी िजस लॉक क िलए फ स अदा क जा चक होrdquo

च परा 3क म श द िच न और अक ldquoया िविनयम 8क क उप-िविनयम (1) या उप-िविनयम (2) क

अधीन थायी रिज ीकरण क िलए आवदनrdquo का लोप हो जाएगा

िविनमय बोड [कछ म यव तय (इटरमीिडयरीज़) क रिज ीकरण क शत म प रवतन] (सशोधन) िविनयम 2016 क ारभ स पव रिज ीकरण माणप दान कया जा चका हो उस िनगम

रिज ार या शयर अतरण अिभकता क बार म यह समझा जाएगा क उस उप-िविनयम (1) क अनसार

रिज ीकरण माणप दान कया गया ह




क श द और अक िविनयम 8 क अधीन दान कया गया कोई आरिभक रिज ीकरण या िविनयम 8क क

अधीन दान कया गया कोई थायी रिज ीकरण श द और अक िविनयम 8 क अधीन दान कया

गया रिज ीकरण स ित थािपत हो जाएग

ख खड (ग) क िलए िन िलिखत ित थािपत हो जाएगा अथात-

ldquo(ग) यह रिज ीकरण क िलए फ स उसी कार अदा करगा जसा इन िविनयम म दया गया ह

ग खड (घ) म श द आरिभक रिज ीकरण या थायीrdquo का लोप हो जाएगा

घ खड (च) क प ात िन िलिखत खड अत थािपत कया जाएगा अथात-

(छ) यह उस जानकारी म ए प रवतन क यौर बोड को तरत सिचत करगा जो रिज ीकरण क माग

करत समय तत क गई थी




िविनयम 6 म दए ए मानदड को परा नह करता वहा बोड सन जान का अवसर दन क प ात आवदन

नामजर करगाrdquo


ldquo(2) रिज ीकरण दान करन स इनकार कए जान क सचना बोड ारा इस कार इनकार कए जान

क तीस दन क भीतर आवदक को दी जाएगी िजसक अतगत आवदन को नामजर कए जान क आधार

का उ लख होगा rdquo

3 यह रिज ीकरण माणप तब तक िविधमा य रहगा जब तक क इस बोड ारा िनलिबत

2 िडबचर यासी िजस रिज ीकरण माणप दान कया गया हो अपना रिज ीकरण व रखन

क िलए यथाि थित रिज ीकरण माणप दान कए जान क तारीख स या भारतीय ितभित और


स यक तीन वष हत नौ लाख पय क फ स अदा करगा


ङ परा 3 म खड (ख) क िलए िन िलिखत ित थािपत हो जाएगा अथात-

(ख) परा 2 म उि लिखत फ स िडबचर यासी ारा उस लॉक क समा होन स तीन महीन पव अदा क

जाएगी िजस लॉक क िलए फ स अदा क जा चक हो

च परा 3क क िलए िन िलिखत ित थािपत हो जाएगा अथात-

3क िविनयम 3 क उप-िविनयम (1क) क अधीन रिज ीकरण हत कए जान वाल आवदन क साथ अदा

क जान वाली अ ितदय फ स पचास हजार पय होगी

छ परा 4 म अक अ र और िच न 1क का लोप हो जाएगा

भारतीय ितभित और िविनमय बोड [सिवभाग (पोटफोिलयो) बधक] िविनयम 1993 म सशोधन 7 भारतीय ितभित और िविनमय बोड [सिवभाग (पोटफोिलयो) बधक] िविनयम 1993 म-

i िविनयम 8 क िलए िन िलिखत ित थािपत हो जाएगा अथात-

ldquo8 रिज ीकरण क िलए या - (1) बोड यह समाधान होन पर क आवदक िविनयम 6 म िनधा रत

अप ा को परा करता ह आवदक को सचना भजगा और अनसची-2 क खड (1क) म यथा िनधा रत

रिज ीकरण फ स का भगतान ा हो जान पर प ख म माणप दान करगा

(2) िजस सिवभाग (पोटफोिलयो) बधक को बोड ारा पहल ही भारतीय ितभित और िविनमय

बोड [कछ म यव तय (इटरमीिडयरीज़) क रिज ीकरण क शत म प रवतन] (सशोधन) िविनयम 2016

क ारभ स पव रिज ीकरण माणप दान कया जा चका हो उस सिवभाग (पोटफोिलयो) बधक क

बार म यह समझा जाएगा क उस उप-िविनयम (1) क अनसार रिज ीकरण माणप दान कया गया

ह

ii िविनयम 9 का लोप हो जाएगा iii िविनयम 9क म उप-िविनयम 1 म-


क श द और अक या िविनयम 9 क अधीन दान कया गया कोई नवीकरण का लोप हो जाएगा

ख खड (ख) म श द और िच न या नवीकरण यथाि थित का लोप हो जाएगा

ग खड (घ) म श द उसक माणप या नवीकरण क िलए श द माणप ित थािपत हो जाएगा

iv िविनयम 9ख क िलए िन िलिखत ित थािपत हो जाएगा अथात- 9ख िविनयम 8 क अधीन दान कया गया रिज ीकरण माणप तब तक िविधमा य रहगा जब तक

क उस बोड ारा िनलिबत या र न कर दया जाए

v िविनयम 10 म उप-िविनयम (1) म श द और अक या िविनयम 9 क अधीन नवीकरण का लोप हो

जाएगा vi अनसची-1 म

I प क म श द और िच न माणप दए जान माणप क नवीकरण क िलए आवदन श द

रिज ीकरण माणप दान कए जान क िलए आवदन स ित थािपत हो जाएग

II प ख म परा III क िलए िन िलिखत ित थािपत हो जाएगा-

III यह रिज ीकरण माणप तब तक िविधमा य रहगा जब तक क इस बोड ारा िनलिबत या

र न कर दए जाए

क परा 1 म श द या क नवीकरण का लोप हो जाएगा

स या भारतीय ितभित और िविनमय बोड [कछ म यव तय (इटरमीिडयरीज़) क रिज ीकरण क शत म प रवतन] (सशोधन) िविनयम 2016 क ारभ स पव दान कए गए रिज ीकरण

माणप क तारीख स यक तीन वष हत पाच लाख पय क फ स उस लॉक क अविध क

समा होन स पव तीन महीन क भीतर अदा करगा िजसक िलए फ स अदा क जा चक हो rdquo

ग परा 3 म-

i खड (क) क िलए िन िलिखत ित थािपत हो जाएगा अथात-

(क) परा (1क) म उि लिखत फ स का भगतान सिवभाग (पोटफोिलयो) बधक ारा बोड क

ओर स िविनयम 8 क अधीन सचना ा होन क तारीख स प ह दन क भीतर lsquoभारतीय

ितभित और िविनमय बोडrsquo क प म िलख गए माग ा ट (िडमाड ा ट) [जो मबई म

अथवा सबिधत ादिशक या थानीय कायालय म दय हो] क मा यम स या बक खात म

No SEBILAD-NROGN2016-17023mdashIn exercise of the powers conferred by section 30 of the Securities and Exchange Board of India Act 1992 (15 of 1992) read with section 25 of the Depositories Act 1996 (22 of 1996) the Board hereby makes the following Regulations to further amend the Securities and Exchange Board of India (Merchant Bankers) Regulations 1992 Securities and Exchange Board of India (Registrars to an Issue and Share Transfer Agents) Regulations 1993 Securities and Exchange Board of India (Underwriters) Regulations 1993Securities and Exchange Board of India (Debenture Trustees) Regulations 1993 Securities and Exchange Board of India (Portfolio Managers) Regulations 1993 Securities and Exchange Board of India (Bankers to an Issue) Regulations 1994 Securities and Exchange Board of India (Depositories and Participants) Regulations 1996 Securities and Exchange Board of India (Credit Rating Agencies) Regulations 1999 Securities and Exchange Board of India KYC (Know Your Client) Registration Agency Regulations 2011 Securities and Exchange Board of India (Investment Advisers) Regulations 2013 and Securities and Exchange Board of India (Research Analysts) Regulations 2014 namely-

Short title 1 These regulations may be called the Securities and Exchange Board of India (Change in Conditions of Registration

of Certain Intermediaries) (Amendment) Regulations 2016

Commencement 2 They shall come into force on the date of their publication in the Official Gazette

Amendment to the Securities and Exchange Board of India (Merchant Bankers) Regulations 1992

3 In the Securities and Exchange Board of India (Merchant Bankers) Regulations 1992-

i in regulation 2 in clause (ab) the words ldquoinitial or permanentrdquo shall be omitted

ii in regulation 3 -

a in the heading the word ldquoinitialrdquo shall be omitted


b in sub-regulation (1) the word ldquoinitialrdquo shall be omitted

iii in regulation 8 -



c for sub-regulation (2) the following shall be substituted namely ndash

ldquo(2) The certificate of registration granted under sub-regulation (1) shall be valid unless it is suspended or cancelled by the Boardrdquo

d for sub-regulation (3) the following shall be substituted namely ndash

ldquo(3) The merchant banker who has already been granted certificate of registration by the Board prior to the commencement of the Securities and Exchange Board of India (Change in Conditions of Registration of Certain Intermediaries) (Amendment) Regulations 2016 shall be deemed to have been granted a certificate of registration in terms of sub-regulation (1)rdquo

e in sub-regulation (4) the word ldquoinitialrdquo shall be omitted

v in regulation 9A in sub-regulation (1) -

a for the words symbols and figures Any initial registration granted under regulation 8 or any permanent registration granted under regulation 8A the words Registration granted under regulation 8 shall be substituted

b for clause (b) the following shall be substituted namely ndash

ldquo(b) it shall pay the fees for registration in the manner provided in these regulationsrdquo

c in clause (d) the words ldquoinitial registration or permanentrdquo shall be omitted

d after sub-regulation (e) the following sub-regulation shall be inserted namely ndash

ldquo(f) it shall immediately intimate the Board details of changes that have taken place in the information that was submitted while seeking registrationrdquo

vi in regulation 10 -

a for sub-regulation (1) the following shall be substituted namely ndash

ldquo(1) Where an application for grant of a certificate of registration under regulation 3 does not satisfy the criteria set out in regulation 6 the Board shall reject the application after giving an opportunity of being heardrdquo

b for sub-regulation (2) the following shall be substituted namely ndash

ldquo(2) The refusal to grant registration shall be communicated by the Board within thirty days of such refusal to the applicant stating therein the grounds on which the application has been rejectedrdquo

c for Paragraph no3 the following shall be substituted namely - ldquo3 A Research Analyst who has been granted a certificate of registration to keep its registration in force shall pay fee prescribed at paragraph 2 above every five years from the date of grant of certificate of registration or from the date of grant of certificate of registration granted prior to the commencement of the Securities and Exchange Board of India (Change in Conditions of Registration of Certain Intermediaries) (Amendment) Regulations 2016 as the case may be within three months before expiry of the period for which fee has been paidrdquo

d for Paragraph no4 the following shall be substituted namely - ldquo4 The fee referred to in paragraph 2 shall be paid by the applicant within fifteen days from the date of receipt of intimation from the Board by way of demand draft in favour of Securities and Exchange Board of India payable at Mumbai or at respective regional or local office or by way of by way of direct credit in the bank account through NEFTRTGSIMPS or any other mode allowed by RBIrdquo
