FINANCING AGREEMENT

AGREEMENT dated as of the Signature Date between REPUBLIC OF GHANA("Recipient") and INTERNATIONAL DEVELOPMENT ASSOCIATION("Association"). The Recipient and the Association hereby agree as follows:

ARTICLE I - GENERAL CONDITIONS; DEFINITIONS

1.01. The General Conditions (as defined in the Appendix to this Agreement) apply to

and form part of this Agreement.

1.02. Unless the context requires otherwise, the capitalized terins used in this Agreementhave the meanings ascribed to them in the General Conditions or in the Appendixto this Agreement.

ARTICLE 11 - FINANCING

2.01. The Association agrees to extend to the Recipient a credit, deemed by theAssociation to be on concessional terms, as set forth or referred to in thisAgreement, in the amount of twenty-seven million nine hundred thousand SpecialDrawing Rights (SDR 27,900,000) to assist in financing the project described inSchedule I to this Agreement ("Project").

2.02. The Recipient may withdraw the proceeds of the Credit in accordance withSection III of Schedule 2 to this Agreement.

2.03. The Maximum Commitment Charge Rate payable by the Recipient on theUnwithdrawn Financing Balance shall be one-half of one percent (1/2 of 1%) perannum.

2.04. The Service Charge payable by the Recipient on the Withdrawn Credit Balanceshall be equal to three-fourths of one percent (33/4 of I%) per annum.

2.05. The Payment Dates are April I and October I in each year.

2.06. The Interest Charge is one and a quarter percent (1.25%) per annum on theWithdrawn Credit Balance.

2.07. The principal amount of the Credit shall be repaid in accordance with Schedule 3to this Agreement.

2.08. The Payment Currency is Dollar.

ARTICLE III - PROJECT

3.01. The Recipient declares its commitment to the objective of the Project. To this end,the Recipient shall carry out the Project through its Ministry of Tourism, Arts andCulture in accordance with the provisions of Article V of the General Conditionsand Schedule 2 to this Agreement.

ARTICLE IV- EFFECTIVENESS; TERMINATION

4.01. The Additional Condition of Effectiveness consist of the following:

(a) The Recipient through MoTAC shall establish a Project Coordination Unitwith staffing and resources satisfactory to the Association.

(b) The Recipient has prepared a Project Implementation Manual (PIM) inform and substance satisfactory to the Association.

4.02. The Effectiveness Deadline is the date ninety (90) days after the Signature Date.

4.03. For purposes of Section 10.05 (b) of the General Conditions, the date on which theobligations of the Recipient under this Agreement (other than those providing forpayment obligations) shall terminate is twenty years after the Signature Date.

SCHEDULE1

Project Description

The objective of the Project is to improve the performance of tourism in targeteddestinations in the Recipient's territory.

The Project consists of the following parts:

Part A: Strengtheninp Tourism Enabling Environment

1. Promote tourism skills development by upgrading an existing or establishing ahigh-quality sustainable tourism and hospitality training center, and developingand implementing the necessary curriculum, standards, assessments, accreditationprocesses and training of a cohort of teachers to deliver quality training.

2. Supporting the Recipient's aviation promotion and visa policy reform by:

(a) providing technical assistance to: (i) Ministry of Aviation to attractdomestic and international air operators; and (ii) implementing identifiedaviation reforms; and

(b) reviewing the existing entry-visa policy and systems and the revenuesgenerated from visa sales, and investigating the best practices such ase-visa platform, training of immigration officials and streamliningprocedures with a view to reducing costs.

3. Carry out activities to promote the Recipient's territory as a tourism destinationincluding developing and implementing a tourism strategy and marketing plan, anda forward looking digital marketing strategy which will involve upgrading theexisting online platforms using search engine optimization, digital and webanalytics, content creation strategies, optimization of social media accounts andtraining relevant staff.

Part B: Developing Tourism Sites and Destinations

1. Promote the identification and upgrading of the most promising tourismdestination areas by:

(a) developing detailed destination and management plans for at least fivepublic-owned destination areas selected based on agreed criteria; and

(b) establish a tourism site upgrade program by: (i) carrying out activities inselected public owned sites to provide quality upgrades, make them safe,accessible and attractive for investments; and provision of training on themaintenance of these areas and on marketing strategies; and (ii) provideMatching Grants to eligible beneficiaries to implement activities forupgrading non-publicly-owned sites

Part C: Tourism Enterprise Support Program

1. Providing technical support on tourism to SMEs by: (a) mentoring and training themon preparation of business plans/proposals on tourism related businesses;(b) carrying out competition among SMEs/enterprises on the best tourism relatedbusiness plans; and (c) selecting and providing a one-time Grant, technical adviceand mentoring to SMEs to launch their proposed businesses.

2. Providing Matching Grants to SMEs with viable businesses and well-developedbusiness plans on tourism related businesses.

3. Providing technical advisory services to SMEs with new business ideas and less-well developed business plans including: (a) business advisory and mentoringservices; (b) technical skills development; (c) expanded access to finance optionsfor leisure tourism businesses; (d) women's entrepreneurship; (e) access to marketand market linkages; and (f) commercialization program for cultural institutes andco-ops involved in the production of cultural merchandise.

Part D: Project Management and Institutional Strengthening

1 . Carrying out activities to strengthen MoTAC's capacity to manage and coordinatethe project including: (a) developing a three (3) year strategic action plan;(b) providing training and technical advisory services to MoTAC's staff on tourismpolicy and planning, fiduciary aspects, environmental and social safeguardsmanagement, and monitoring and evaluation; and (c) financing of its OperatingCosts.

2. Conducting a capacity assessment study on MoTAC, its departments and agenciesand other public entities which support MoTAC such as the Ghana ImmigrationService, Ministry of Foreign Affairs and Regional Integration, Ministry ofAviation and the Forestry Commission, and providing them with the relevanttraining.

3. Providing technical assistance for improving: (a) the existing statistical andinformation systems; and (b) GTA tourism satellite account process including thecollection of baseline information on visitor demographics for project monitoring.

SCHEDULE2

Project Execution

Section I. Implementation Arran2ements

A. Institutional Arrangements.

1. MoTAC

(a) The MoTAC, with assistance from the Participating Agencies shall haveoverall responsibility for implementation.

(b) The Recipient shall ensure that throughout project implementation,MoTAC has adequate resources and staff with experience satisfactory tothe Association.

2. National Steering Committee ("NSC")

(a) Without limitation upon the provisions of paragraph I of thisSection I.A, the Recipient shall no later than three (3) months afterthe Effectiveness Date establish and thereafter maintain throughoutProject implementation, a National Steering Committee ("NSC")with a composition, mandate, terms of reference and resourcessatisfactory to the Association. The NSC shall be chaired by theMinister of MoTAC or a designated representative, and shallinclude, inter alia, representative of MoFARI, MoF, Mol, MoA,MoLNR, MoTI and at least two representatives from the financialsector and private sector.

(b) The Recipient shall ensure that: (i) all NSC participants enter into aMemorandum of Understanding with MoTAC committing toparticipating on the NSC; (ii) NSC meet at least twice a year; and isresponsible for: (A) facilitating project execution by providingstrategic advice, and overseeing project progress; (B) ensuring thatMoTAC sets up and provides the required support to assure a fullyfunctioning Project Coordination Unit (PCU) within MoTAC;(C) ensuring proper and professional management of the MatchingGrants; and (D) clearance of the annual work program; and,(iii) ensuring that the necessary structures are in place to assure thatall the appropriate safeguards requirements are strictly adhered to.

3. Project Technical Committee.

(a) The Recipient through MoTAC shall not later than three (3) months fromthe Effectiveness Date, establish and thereafter maintain throughoutproject implementation, a Project technical committee (Project TechnicalCommittee or PTC) comprising of the Participating Agencies and chairedby the Chief Director, responsible for resolution of technical andimplementation challenges.

(b) The Recipient through MoTAC shall ensure that the PTC meets at leastquarterly and has adequate resources, adequate staffing with skills andexperience and under terms of reference satisfactory to the Association.

4. Project Coordination Unit (PCU)

(a) Without limitation upon the provisions of paragraphs 1, 2 and 3 of thisSection LA, the Recipient shall establish and thereafter maintain, at alltimes during the implementation of the Project, a Project CoordinationUnit (PCU), with functions, staffing and resources satisfactory to theAssociation for ensuring prompt and efficient overall coordination, day today implementation of, and communication relating to Project activitiesand results. To this end, the Recipient shall appoint staff (including, interalia, a Project coordinator, safeguards specialists, a procurement expert, acommunications specialist, a finance/accounting expert and a monitoringand evaluation specialist all with qualifications, experience and terms ofreference satisfactory to the Association.

(b) The PCU shall be responsible for: (i) ensuring compliance withenvironmental and social safeguards; (ii) preparing the proposed annualwork plans and budgets for onward transmission to the NSC;(iii) organizing the NSC meetings; (iv) consolidating periodic progressreports for onward submission to the NSC; (v) monitoring and evaluationof Project activities; (vi) liaising with the Participating Agencies on theirrelevant technical aspects of their activities of Project implementation inaccordance with the PIM; (vii) providing all necessary information onproject performance and monitoring to the NSC and the Association; and(viii) developing and implementing the overall project communicationpolicy, in addition to assisting with the implementation of all MoTACassigned activities under the Project.

B. Implementation Arrangements

1. Project Implementation Manual (PIM)

(a) The Recipient shall prepare, in accordance with terms of reference

acceptable to the Association, a PIM providing details of arrangementsand procedures for the implementation of the Project, including:(i) detailed project arrangements on the activities to be carried out by theParticipating Agencies; (ii) capacity building activities for sustainedachievement of the Project's objectives; (iii) institutional administration,coordination and day to day execution of Project activities; (iv) monitoringand evaluation, reporting, information, education and communication ofProject activities; and (v) such other technical and organizationalarrangements and procedures as shall be required for the Project,including: (A) procurement management; and (B) financial management,with the detailed policies and procedures for financial management anddisbursement under the Project.

(b) The Recipient shall afford the Association a reasonable opportunity toexchange views with the Recipient on said PIM, and thereafter, shall adoptsuch PIM, as shall have been approved by the Association.

(c) The Recipient shall ensure that the Project is carried out in accordancewith the PIM; provided, however, that in case of any conflict between theprovisions of the PIM and the provisions of this Agreement, the provisionsof this Agreement shall prevail.

(d) The Recipient shall not amend, abrogate or waive any provision of thePIM without the Association's prior written agreement, and in case of anyinconsistency between the PIM and the provisions of this Agreement, theprovisions of this Agreement shall prevail.

2. Subprojects

1. In implementing Parts B.1 (b) (ii) and C.2 of the Project, the Recipientthrough MoTAC shall:

(a) make Matching Grants to either a private sector entity/enterpriseor an SME selected in accordance with detailed criteria set forthin the Matching Grants Manual, including the requirement for theprivate sector to upgrade selected tourism sites and for SMEs toimplement their selected business plans on tourism relatedbusinesses (Subprojects);

(b) enter into an agreement (Grant Agreement) with an eligibleprivate sector entity or SME on terms and conditions acceptableto the Association, which shall include the following:

(i) Each Matching Grant shall finance the Subproject selected inaccordance with criteria in the Matching Grants Manual.

(ii) The Recipient through MoTAC shall obtain rights adequate toprotect its interests and those of the Association, including theright to:

(A) suspend or terminate the right of the correspondingprivate sector entity or SME to use the proceeds of theMatching Grant, or obtain a refund of all or any part ofthe amount of the Matching Grant upon the privatesector entity or SME's failure to perform any of itsobligations under the respective Grant Agreement;

(B) require either the private sector entity to make: (1) anin- kind contribution as defined in the Grants Manual ora financial contribution of a minimum of (25%) of theSubproject costs; (2) carry out the Subprojects with duediligence and efficiency and in accordance with soundtechnical, economic, financial, managerial,environmental and social standards and practicessatisfactory to the Association, including in accordancewith the provisions of the Anti-Corruption Guidelinesapplicable to recipients of loan proceeds other than theRecipient; (3) provide, promptly as needed, theresources required for the purpose; (4) procure thegoods, works and services for the implementation of theSub-projects and, to be financed by the Matching Grantin accordance with the Matching Grants Manual and theprovisions of this Agreement;

(C) maintain policies and procedures adequate to enable itto monitor and evaluate in accordance with indicatorsacceptable to the Association, the progress onimplementing the Subprojects and the achievement oftheir objectives;

(D) maintain a financial management system and preparefinancial statements in accordance with consistentlyapplied accounting standards acceptable to theAssociation, both in a manner adequate to reflect the

operations, resources and expenditures related to theSubprojects implementation;

(E) at the Association's or the Recipient's request, havesuch financial statements audited by independentauditors acceptable to the Association, in accordancewith consistently applied auditing standards acceptableto the Association, and promptly furnish the statementsas so audited to the Recipient and the Association;

(F) enable the Association to inspect the Subprojects, itsoperation and any relevant records and documents; and

(G) prepare and furnish to the Association, all suchinformation as the Association shall reasonably requestrelating to the foregoing.

2. The Recipient shall exercise its rights and carry out its obligations undereach Grant Agreement in such manner as to protect its interests and theAssociation and to accomplish the purposes of the Financing. Except asthe Association shall otherwise agree, the Recipient shall not assign,amend, abrogate, terminate, waive or fail to enforce any Grant Agreementor any of its provisions, and in case of any inconsistency between theprovisions of the Grant Agreement and this Agreement, the provisions ofthis Agreement shall prevail.

3. Annual Work Plan and Budget

(a) The Recipient shall prepare and furnish to the Association not later thanNovember 30 of each Fiscal Year during the implementation of theProject, a work plan and budget containing all activities proposed to beincluded in the Project during the following Fiscal Year (includingSafeguard Frameworks and Safeguard Instruments required for saidactivities prepared in accordance with the provisions of Section I.D of thisSchedule 2), and a proposed financing plan for expenditures required forsuch activities, setting forth the proposed amounts and sources offinancing.

(b) Each such proposed work plan and budget shall specify any trainingactivities that may be required under the Project, including: (i) the type oftraining; (ii) the purpose of the training; (iii) the personnel to be trained;(iv) the institution or individual who will conduct the training; (v) thelocation and duration of the training; and (vi) the cost of the training.

(c) The Recipient shall afford the Association a reasonable opportunity toexchange views with the Recipient on each such proposed work plan andbudget and shall thereafter ensure that the Project is implemented with duediligence during said following Fiscal Year in accordance with such workplan and budget as shall have been approved by the Association ("AnnualWork Plan and Budget").

(d) The Recipient shall not make or allow to be made any change to theapproved Annual Work Plan and Budget without prior approval in writingby the Association.

D. Safeguards.

1. The Recipient shall carry out the Project in accordance with the SafeguardInstruments including the ESMF and RPF.

2. To ensure compliance with the respective Safeguard Instruments, the Recipientshall take the following measures:

(a) if any activities included in a proposed Annual Work Plan and Budgetwould, pursuant to the ESMF, require the carrying out of an ESIA, no suchactivities shall be implemented unless:

(i) an ESIA for such activities has been: (A) prepared, in accordancewith the ESMF and furnished to the Association as part of theAnnual Work Plan and Budget; (B) disclosed locally as requiredby the ESMF; and (C) approved by the Association and publiclydisclosed; and

(ii) if said ESIA would require the preparation of an ESMP, suchESMP has been: (A) prepared in accordance with such ESIA andfurnished to the Association as part of the Annual Work Plan andBudget; (B) disclosed locally as required by the ESMF; and(C) approved by the Association and publicly disclosed.

(b) If any activities included in a proposed Annual Work Plan and Budgetwould, pursuant to the RPF, require the preparation of a RAP, no suchactivities shall be implemented unless and until:

(i) a RAP for such activities has been: (A) prepared in accordancewith the requirements of the RPF and furnished to the Associationas part of the proposed Annual Work Plan and Budget;(B) disclosed locally as required by the RPF; and (C) approved bythe Association and publicly disclosed; and

(ii) (A) all measures required to be taken under said RAP prior to theinitiation of said activities have been taken, including, withoutlimitation to the above, providing funds for resettlementcompensation when and if required under a RAP; (B) a report, inform and substance satisfactory to the Association, on the statusof compliance with the requirements of said RAP has beenprepared and furnished to the Association; and (C) the Associationhas confirmed that said activities may be commenced.

(c) The Recipient shall ensure that the relevant provisions of the ESIA, ESMPor RAP are appropriately included in each Grant Agreement and that theyare implemented in the carrying out of all activities under the Project.

3. (a) Without limitation upon its other reporting obligations under thisAgreement, the Recipient shall regularly collect, compile and submit tothe Association, in form and substance satisfactory to the Association, bi-annual reports on the status of compliance with the Safeguard Instruments,giving details of: (i) measures taken in furtherance of such SafeguardInstruments; (ii) conditions, if any, which interfere or threaten to interferewith the smooth implementation of such Safeguard Instruments; and(iii) remedial measures taken or required to be taken to address suchconditions.

(b) The Recipient shall afford the Association a reasonable opportunity toreview and exchange views with the Recipient on the reports preparedunder paragraph (a) immediately above, and thereafter, shall carry out, orcause to be carried out, with due diligence, all remedial measures agreedwith the Association to ensure the proper implementation of the Project inaccordance with the Safeguard Instruments.

4. The Recipient shall ensure that:

(a) no activities involving the use of land shall be carried out prior to thescreening of the legal status of the land in form and substance acceptableto the Association; and

(b) no activities shall be carried out involving land, for which there is legaluncertainty over ownership and use rights.

5. The Recipient shall not amend, suspend, abrogate or waive, or permit to beamended, suspended, abrogated or waived, the ESMF or RPF, or any provisionthereof without the prior written approval of the Association.

E. Midterm Review

The Recipient shall:

(a) carry out jointly with the Association, not later than 30 months after the EffectiveDate, or such other date as may be agreed with the Association, after the EffectiveDate, a midterm review to assess the status of project implementation. Such reviewshall include an assessment of the following: (i) overall progress inimplementation; (ii) results of monitoring and evaluation activities; (iii) progresson procurement and disbursement; (iv) implementation arrangements; and (v) theneed to make any adjustments to the operation and reallocate funds to improveperformance;

(b) to this end, prepare and furnish to the Association, no later than one (1) monthbefore such review, a report, in scope and detail satisfactory to the Association andintegrating the results of the monitoring and evaluation, on the progress achievedin the carrying out of the project during the period preceding the date of such reportand setting out the measures recommended to ensure the efficient carrying out ofthe project and the achievement of the objectives thereof during the periodfollowing such date; and

(c) thereafter take all measures required to ensure the efficient completion of theproject and the achievement of the objectives thereof, based on the conclusionsand recommendations of such report and the Association's views on the matter.

Section II. Project Monitoring, Reporting and Evaluation

The Recipient shall furnish to the Association each Project Report not later thanone month after the end of each quarter, covering the quarter.

Section III. Withdrawal of the Proceeds of the Credit

A. General

Without limitation upon the provisions of Article II of the General Conditions andin accordance with the Disbursement and Financial Information Letter, theRecipient may withdraw the proceeds of the Credit to: (a) finance EligibleExpenditures; (b) repay the Preparation Advance in the amount allocated and, ifapplicable, up to the percentage set forth against each Category in the followingtable:

B. Withdrawal Conditions; Withdrawal Period

1 . Notwithstanding the provisions of Part A above, no withdrawal shall be made:

(a) for payments made prior to the Signature Date except that withdrawals upto an aggregate amount not to exceed SDR 700,000 may be made forpayments made prior to this date but on or after September 1, 2018.

(b) under Category 2 unless the Recipient has submitted to the Association, aMatching Grants Manual satisfactory to the Association.

2. The Closing Date is September 30, 2023.

Section IV. Other Undertakines

A. Escrow Account

1. Except as the Recipient and the Association shall otherwise agree, the Recipientthrough MoTAC shall:

(a) not later than six (6) months from the Signature Date open an account inGhana Cedis ("Escrow Account") for the Project, in the Bank of Ghana onterms and conditions satisfactory to the Association;

(b) deposit into said Escrow Account: (i) an initial amount equivalent to ahundred thousand Dollars ($100,000); and (ii) thereafter, deposit on annualbasis throughout Project implementation an amount equivalent to ahundred thousand Dollars ($100,000); and

(c) ensure that funds deposited into the Escrow Account in accordance withparagraph (b) of this Section shall be used exclusively to financeexpenditures in connection with potential Resettlement Compensationwhich might arise as a result of implementing the civil works under Part B. I(b) of the Project.

2. Notwithstanding the provision of paragraph I above, should the amount requiredfor Resettlement Compensation exceed the amount set aside in the EscrowAccount, the Recipient shall ensure that the outstanding amount of saidcompensation is made available.

APPENDIX

Section I. Definitions

1. "Affected Person" means a person or entity who, on account of the executionof the Project and/or Subprojects, has experienced or would experience directeconomic and social impacts caused by: (i) the involuntary taking of landresulting in: (A) relocation or loss of shelter; (B) loss of assets or access toassets; or (C) loss of income sources or means of livelihood, whether or notsuch person must move to another location; or (ii) the involuntary restrictionof access to legally designated parks and protected areas, resulting in adverseimpacts on the livelihood of such person; and, "Affected Persons", means morethan one such Affected Person.

2. "Anti-Corruption Guidelines" means, for purposes of paragraph 5 of the Appendixto the General Conditions, the "Guidelines on Preventing and Combating Fraudand Corruption in Projects Financed by IBRD Loans and IDA Credits and Grants",dated October 15, 2006 and revised in January 2011 and as of July 1, 2016.

3. "Category" means a category set forth in the table in Section III.A of Schedule 2to this Agreement.

4. "Escrow Account" means the account referred to in Section IV.A of Schedule 2 tothis Agreement.

5. "ESIA" means, for a given activity included in the Project, the environmental andsocial impact assessment for said activity to be carried out in accordance with theESMF and pursuant to provisions of Section I.D of Schedule 2 to this Agreement.

6. "ESMF" means the environmental and social management framework dated May2018, adopted by the Recipient, and disclosed in the Recipient's territory on May11, 2018 and in the Association's Infoshop on May 14, 2018, which outlinesgeneral implementation procedures, mitigation measures and monitoringprocedures for environmental and social purposes under the Project, as saidframework may be amended from time to time with the Association's prior writtenapproval.

7. "ESMP" means an environmental and social management plan for the Project tobe prepared and implemented in accordance with the ESMF and pursuant to theprovisions of Section I.D of Schedule 2 to this Agreement.

8. "Fiscal Year" means the Recipient's calendar year of January I and endingDecember 31.

9. "Forestry Commission" means the Recipient's agency under Ministry of Lands

and Natural Resources, established and operating under the Forestry Commission

Act 1999 (Act 571) or its successor.

10. "General Conditions" means the "International Development Association General

Conditions for IDA Financing, Investment Project Financing", dated

July 14, 2017, (with the modifications set forth in Section II of this Appendix).

11. "Ghana Immigration Service" means the Recipient's agency under the Ministry of

Interior responsible for the effective implementation of laws and regulations

pertaining to immigration, established and operating pursuant to Immigration

Services Law, 1989 (PNDCL 226) and governed by the Immigration Act 200

(Act 573) or its successor.

12. "Ghana Museums and Monuments Board" means the Recipient's agency under

MoTAC responsible for the preservation of Ghana's material and cultural heritage,

established by the National Museum Decree, 1969 (NLCD 387) or its successor.

13. "Ghana Tourism Authority" or "GTA" means the Recipient's agency established

by Tourism Act 2011 (Act 817) as the main implementing body of the MoTAC or

its successor.

14. "Ghana Tourism Development Company" means the Recipient's Private Limited

Liability Company responsible for tourism infrastructural development,incorporated under the Companies Act, 1963 (Act 179) or its successor.

15. "Matching Grant" means the financial contribution provided by the Recipient to

eligible SMEs and private sector entities on a cost-sharing basis under

Parts B. 1 (c) and C.2 of the Project.

16. "Matching Grants Manual" means the manual to be developed by the Recipient,satisfactory to the Association setting forth the policies and procedures that apply

to the carrying out of Parts B.1 (b) (ii) and C.2 of the Project, as such manual may

be amended from time to time with the prior written approval of the Association.

17. "Memorandum of Understanding" means an agreement between MoTAC and the

NSC Members, outlining obligations of MoTAC's and NSC members' with

respect to the implementation of the Project.

18. "MoA" means the Recipient's Ministry of Aviation or its successor.

19. "MoF" means the Recipient's Ministry of Finance or its successor.

20. "MoFARI" means the Recipient's Ministry of Foreign Affairs and Regional

Integration or its successor.

21. "Mol' means the Recipient's Ministry of The Interior or its successor.

22. "MoLNR" means the Recipient Ministry of Lands and Natural Resources of itssuccessor.

23. "MoTAC" means the Recipient's Ministry of Tourism, Arts and Culture or itssuccessor.

24. "MoTI" means the Recipient's Ministry of Trade and Industry or its successor.

25. "National Board for Small Scale Industries" means the Recipient's apex body forthe promotion and development of the micro and small enterprises sector,established and operating pursuant to the National Board for Small-ScaleIndustries Act, 1981 (Act 434) or its successor.

26. "National Steering Committee" or "NSC" means the committee referred to inSection I A2 of Schedule 2 to this Agreement.

27. "Operating Costs" means the incremental expenses incurred on account of Projectimplementation, based on the Annual Work Plans and Budgets approved by theAssociation pursuant to Section I.B.3 of Schedule 2 to this Agreement, includingoffice equipment and supplies, office rental space, non-contractual staff, vehicleoperation and maintenance, communication costs, office administration costs,utilities, travel and per diem, excluding the salaries of the Recipient's civilservants.

28. "Participating Agencies" means the following Recipient's agencies, namely,Ghana Tourism Authority, Ghana Tourism Development Company, NationalBoard for Small Scale Industries, Forestry Commission and Ghana Museums andMonuments Board.

29. "Preparation Advance" means the advance referred to in Section 2.07 (a) of theGeneral Conditions, granted by the Association to the Recipient pursuant to theletter agreement signed on behalf of the Association on March 8, 2018, and onbehalf of the Recipient on April 2, 2018.

30. "Procurement Regulations" means, for purposes of paragraph 87 of the Appendixto the General Conditions, the "World Bank Procurement Regulations for IPFBorrowers", dated July 2016, revised November 2017.

31. "Project Technical Committee" means the committee as described in Schedule LA3(a) of Schedule 2 to this Agreement, comprising of the Participating Agenciesand chaired by the Chief Director, responsible for resolution of technical andimplementation challenges.

32. "Resettlement Action Plan" or "RAP" means the instrument to be prepared and

adopted by the Recipient, satisfactory to the Association, and disclosed on the

Association's website, which includes the principles, procedures, organizationalarrangements and budget to implement the resettlement related activities under the

Project, or under Parts of the Project, as said resettlement action plan may berevised from time to time with the prior written agreement of the Association; and"RAPs" means, collectively, all such RAP.

33. "Resettlement Compensation" means the expenditures incurred in financing thecost of compensating Affected Persons.

34. "RPF" means the Recipient's Resettlement Policy Framework datedMay 11, 2018 prepared and adopted by the Recipient, satisfactory to theAssociation and disclosed on the Association's website on May 14, 2018, which

sets out the resettlement principles, organizational arrangements (includingconsultation and budget), and design criteria to be applied to resettlementrelated Project and activities to be prepared during Project implementation, as

such framework may be amended from time to time with the prior writtenagreement of the Association, as the same may be amended from time to timewith the prior written approval of the Association.

35. "Safeguard Instruments" means, collectively, the ESMF and RPF, ESIA, ESMPand RAP and "Safeguard Instrument" means any of such Safeguard Instruments.

36. "Signature Date" means the later of the two dates on which the Recipient and theAssociation signed this Agreement and such definition applies to all references to"the date of the Financing Agreement" in the General Conditions.

37. "SMEs" means Small and Medium Enterprises.

38. "Training" means the cost associated with the training and workshops, based onthe Annual Work Plans and Budgets approved by the Association pursuant toSection I.B.3 of Schedule 2 to this Agreement, for reasonable expenditures (otherthan expenditures for consultants' services), including: (i) travel, room, board andper diem expenditures incurred by trainers and trainees in connection with theirtraining and by non-consultant training facilitators; (ii) course fees; (iii) trainingfacility rentals; (iv) training material preparation, acquisiti6n, reproduction anddistribution expenses; and (v) other costs directly related to training preparationand implementation.
