Proposal:

Everlite Mining & Smelting Co. propose a joint venture with Citinickel Corp, to install a pilot Reduction Sintering Processing Plant at Espanola, Palawan, for the purpose of primarily upgrading in pilot level, the Nickel ore of Citinickel at Narra, Espanola from the present 42% to 45% Fe to above 55% Fe and 0% of moisture, This pilot treatment by same process of laterite ore from Palawan and other sources likewise to provide added value to the nickel raw ore.

Upgrading the present Nickel/Iron assaying of Citinickel from 40% Fe to 60% will provide much higher revenue to the company.

9. Summary.

Process Description:

The process involves subjecting the bed of material (iron and laterite) to a reduction-sintering temperature environment with coal as reductant to fuse and transform the hematitic iron to magnetite in the case of the laterite followed by beneficiation using magnetic separation and heavy media separation in order to effectively discard the non-metallic in the ore and achieve a higher grade iron and nickel. In the case of magnetite concentrate, sintering and partial reduction of the magnetite is achieved and followed by beneficiation to produce 60% Fe final product.

All the material products will be exported to China and to other countries.

Project Description and facilities:

The project involves installation of 12 sintering boxes of standard specification complete with:

1. Complete Gas producer 2.0 meter diameter with 2 ignition heads, safety valves and sealing mechanism.2. Ignition fan for the gas ignition chamber3. Gas sealing mechanism the entire length of sintering boxes layout4. One sucking fan ( blower), 300 kw drive with 48 inch dia main ducts and 16 inch individual ducts complete

with cyclone precipitator, drive motor and control, scrubber and effluent column.5. Center loading conveyor with loading hopper6. One crusher, blender & agglomerator, motor and conveyors.7. Loading bin and conveyor8. Coal bin and proportionator9. Sintering breaker and cooling system10.Beneficiation equipment composed of crusher, hammer mill, ball mill, classifier, spiral and table, magnetic

separators.11. Environmental protection facilities, scrubbers and dust collectors12.Transportation system for sinter13.Admin and maintenance facilities14.90 tons of steel material15.Water supply facilities

Capital Cost:

The complete project to include plant equipment facilities and 6 months working capital cost will require about US$ 1.656,920.00 million.(1.66 millions). Not including housing of plant and Machine shop and dormitory for the worker, not including Option:A. Standard Power Generator 1000KvaB. Dryer for pre-heat wet nickel ore. Everlite Mining & Smelting Corp - 15%

Citinickel Mining & Dev. Corp - 85%

Citinickel will amortize the plant capital cost and working capital before the above equity sharing will take effect.

Prices of products for export will be based on the world metal price on thee metals

At the time of the shipment.

Responsibilities: Citinickel and Everlite

A. Citinickel Cons. Mining & Dev.Corp:

1. CitinickelCorp will provide the land for the plant on a lease agreement for 10 years renewable for another 10 years.

2. Citinickel to obtain the processing permit, environmental compliance certification and

other governmental requirement and export license, as well as corporate relationship with the LGU and City officials. Cost of permitting, environmental compliance and process plant permit is to be born by Citinickel Corp.

3. Citinickel to guarantee the security in the mine site for the technical engineers and staff

Everlite will be supervising the installation, operation and maintenance of the plant operation.

4. Everlite to provide operating personnel, employees for the operation of the plant.5. Citinickel to be responsible to make available power source from the grid, about 1000 kW.

for this pilot project.

B. Everlite Mining & Smelting Corp:

1. Everlite Mining & Smelting Corp should make available the Sintering Processing Facilities to achieve the pilot level purpose composed of initially 24 sinter boxes, non-moving type, with the ignition chambers moving from box to box and other facilities.

2. Citinickel will purchase all the equipment and operating supplies to operate the plant at the most efficient manner.

3. Everlite should bear the transportation of the equipment to Manila,

Organize the training of personnel for operation and maintenance and provide Chinese technical staff initially to install the process equipment.

4. Everlite to bear the salary and living allowances of the technicians from China during the installation, training and commissioning.

5. Everlite should complete one production line within 6 months from the start of the project or after permits are approved.

Both parties agree that the cooperation and contractual period is based on 10 years from the signing of the agreement with the option to extend another 10 years.
