Terms & ConditionsExhibition Terms

1. Venue terms and conditions – Exhibitors/Sponsors must at all times adhere to thevenue’s terms and conditions. A copy is available on request.

2. Stand bookings & contracting – No application will be considered valid until theexhibitor/sponsor has agreed by email to exhibit at the event. On completion andsubmission of the booking form and subsequent notification of acceptance by theorganisers, a binding contract arises. The organiser reserves the right to refuse anyapplication without assigning any reason.

3. Charges and payment – Stand rental charges are based on the cost to theorganiser of goods, materials, labour and transport, including the cost of conforming withobligations imposed by statute or government order ruling at the time when such priceswere quoted. While every effort will be made to contain costs, in the event of excessiveincreases in such costs before the commencement of the exhibition, the organiserreserves the right to make corresponding increases in charges. Payment is required infull upon booking and all payments must be received prior to the first day of theexhibition. Failure to settle the invoice within these terms will leave your booking liable tocancellation, so that the organiser has the opportunity to reassign the space to anotherparty. No organisation will be permitted to attend the exhibition as an exhibitor/sponsor ifthese terms are not fully adhered to.

4. Duration of exhibition – Exhibitors/Sponsors must refer to their exhibitor manual forconfirmed opening, set up and breakdown times.

5. Subletting and sharing of stands – Exhibitors/Sponsors shall neither share norsublet the whole or part of the stand allocated to them with another organisation withoutthe written consent of the organiser.

6. Amendment of exhibition venue – Whilst every endeavour is made to preserve thepublished location of the Venue, the organiser shall be entitled to change the venue if itis believed by the organiser to be in the general best interests of the exhibition, or forany reason beyond their control.

7. Exhibitor cancellation – An Exhibitor/Sponsor cancelling or reducing its bookingafter an official application has been accepted, will be liable for payment of the totalstand charges for the original booking.

8. Event postponement or abandonment – The organisers expressly exclude anyliability in respect of any actions, claims, losses (including without limitationconsequential losses), damages, costs or expenses whatsoever which may be brought,suffered or incurred by the exhibitor/sponsor or its employees, sub-contractors or agentsas a result of the prevention, postponement or cancellation of an exhibition or the venuebecoming wholly or partially unavailable for the running of the exhibition. The organisersmay, at their discretion, repay the monies paid or part thereof by an exhibitor/sponsor orpart thereof, but shall be under no obligation to do so and shall be under no liability tothe exhibitor/sponsor in respect of any actions, claims, losses (including consequentialloss), costs or expenses whatsoever which may be brought against or suffered orincurred by the exhibitor/sponsor as the result of the happening of any such events. If, atthe sole discretion of the organisers, rearrangement or postponement of the period ofthe exhibition, or by substitution of another hall or building or by any other reasonablemanner the exhibition can be carried out, this contract shall be binding upon the parties,except as to size and position of stands, as to which any modification, substitutions orrearrangement they consider necessary shall be determined by the organisers.

9. Indemnity – The exhibitor/sponsor hereby indemnifies the organisers against anyloss, damages or expenses incurred or suffered by the organisers (includingconsequential loss which shall include but not be limited to loss of profit, loss ofanticipated savings and other economic loss) as a direct result of an act or omission onthe part of the exhibitor/sponsor in relation to this agreement. Health and safety – It isthe responsibility of the exhibitor/sponsor to ensure that its contractors, employees andagents, comply with the latest legislation regarding the Health and Safety at Workrequirements.

10. Insurance and liability – The exhibitor/sponsor agrees and acknowledges that it isresponsible for safeguarding its possessions, materials and property during anexhibition. The exhibitor/sponsor shall be responsible and liable for all losses (includingdirect and consequential losses), damage, claims proceedings and demands arising outof injury to any person or damage to any property, materials or possessions by reason ofthe works, acts or omissions of the exhibitor/sponsor, its employees, servants or agentsand for any loss or damage (including without limitation consequential losses) caused tothe venue, fittings supplied within the cost of participation and to any third partieshowsoever arising as a result of the acts or omissions (or failure to act) of theexhibitor/sponsor, his employees, sub-contractors or agents. The organisers expresslydecline any responsibility for the safety of possessions, materials or property of theexhibitor/sponsor or their employees, contractors, suppliers and agents or any otherperson, for loss, damage, destruction by theft, fire or any other cause, save and exceptin all cases in this clause for any death or personal injury caused by the organiser’s

negligence or as otherwise unable to be excluded by law. The organiser and itscontractors exclude any liability by reason of a force majeure event including fire, storm,lightning, explosion, national emergency, war, terrorism, or threats of war or terrorism,labour disputes, strikes, lockouts, civil disturbance, inevitable accident, or for any othercause not within the control of the Organisers whether of the same kind or not. As theorganiser and its contractors will accept no responsibility for any of the foregoingmatters, exhibitors/sponsors should affect their own insurance against any risk of anyloss, damage, injury or liability relating thereto.

11. Advertising matter – All printed matter or advertisements of any kind intended fordistribution in the exhibition may only be distributed from the exhibitors/sponsors standand shall not be distributed in the neighbourhood of the entrance or exits.Exhibitors/Sponsors must not station any attendant in the gangways or place anything inor over them or upon any space other than that allocated to them. Attendants must notcirculate through the exhibition halls for advertising purposes or use audible means ofattracting the attention of visitors to the annoyance or inconvenience of other exhibitors.

Any advertising matter related to competitions, prizes, awards, gifts must first have beensubmitted to the organisers for approval. The organiser has the right to requestwithdrawal of any advertising material in any media should this cause disturbance orannoyance or is objected to on the grounds of legality, decency or honesty.

12. Special hazards – Any exhibit which may be regarded as constituting a special riskor hazard or dangers must be notified to the organiser at least one month in advance ofthe opening of the exhibition. The exhibitor/sponsor must at his or her own expensecomply with any conditions or safety precaution the organiser, venue licensor or localauthority may impose.

13. Exhibition build-up regulations – Under no circumstances mayexhibitors/sponsors alter or add to the external structure of the stands – when stands aresupplied. Further interior design, fittings, lighting, decorations may be added at theexhibitors/sponsors expense subject to the compliance with these regulations and anyrequirements of the local or other authority at the time. Exhibitors/Sponsors are deemedto have knowledge of such requirements and regulations and are bound thereby and arerequired to indemnify the organiser and its contractors against any claim, action, loss orliability occasioned by any breach thereof. The total enclosure of any stand shall not bepermitted. Exhibitors/Sponsors and their contractors may not interfere with the venuebuilding in anyway whatsoever and any damage caused by their acts will be theresponsibility of the exhibitor/sponsor, who will be required to indemnify the organiserand its contractors against any claim arising from such damage. In addition, all workcarried out by or on behalf of the exhibitor/sponsor, including stand interior, construction,stand fittings, electrical work and decoration must be members of the appropriate tradeunions in accordance with the construction and working rule or other property of anyexhibitor/sponsor or of any person, or for the agreements issued by and under theauthority of the National Joint Councils of the Exhibition Industry. Any exhibitor/sponsoror exhibitor/sponsor contractor who obstructs the organisers exhibition contractor will beliable to a fee of not less than the price of a 6sqm stand, and the Exhibitor/Sponsor willindemnify the organiser against any cost that may arise as a result of the exhibition buildup, and/or breakdown schedule. In all cases the exhibitor/sponsor reserves the right toremove any stand where the organiser becomes aware that it is a risk and theexhibitor/sponsor fails to adhere to its reasonable requests.

14. Early removal of stands – Exhibitors/Sponsors are not permitted to breakdownand/or remove their stand from the exhibition until the exhibition has closed to the publicon the final day. Any exhibitor/sponsor removing their stand before the official closingtime - without the prior permission of the organiser - will be liable to an early removal ofstand penalty of 25% of the total stand cost.

15. Security – Security will be provided at the absolute discretion of the organisers butthey cannot accept liability for any loss or damage that may occur. Exhibitor badgesmust be worn at all times by the exhibitor/sponsor and his staff whilst in the Venue andin all other areas within the full control of the Organisers for the duration of theexhibition.

16. Variations – Variations from any of these terms and conditions may be granted atthe organiser’s discretion. No variation will be effective unless it is given in writing.

17. Waiver – Failure or neglect by the organisers to enforce at any time any of theprovisions hereof shall not be construed nor shall it be deemed to be a waiver of theirrights hereunder nor in any way affect the validity of the whole or any part of the contractnor prejudice the organiser’s rights to take subsequent action.

18. Enforceability – If any term or provision in this Agreement shall in whole or in partbe held to any extent to be illegal or unenforceable under any enactment or rule of lawthat term or provision or part shall to that extent be deemed not to form part of thisAgreement and the enforceability of the remainder of this Agreement shall not beaffected.

19. Third parties – The parties agree that no third party shall be entitled to enforce anyrights under this agreement. Nothing in this agreement shall be deemed to constitute apartnership between the parties.

20. Governing Law – This Agreement and the rights of the parties hereunder shall begoverned and construed in accordance with the laws of Ireland, exclusive of conflict orchoice of law rules. Nothing in this section will preclude the parties from seekingprovisional remedies in aid of arbitration from a court of appropriate jurisdiction.
