Waiting on the Governor

The governor returned from his 9-day trip to Asia yesterday and faces about 770 bills that he must act on by the end of September. As I've previously reported, we have many bills awaiting his decision which I will report on the minute I hear anything. Oh, and there's absolutely NOTHING to report on the budget!

I am hearing, however, STRONG rumors that Senate Pro Tempore Darrell Steinberg may be voted out as the leader of the Senate. Among the reasons I'm hearing, it is due to his lack of leadership on the budget, his failure to help win the election for John Laird in the senate race in San Luis Obispo (the Republican Sam Blakeslee won) and dissatisfaction by several public workers' unions, including the Teachers over legislation he was carrying this session. The "word" I'm hearing is that Alex Padilla of Los Angeles has the votes and will likely make the change in December. The rumor is so strong that I'm already hearing various senators have been "pegged" as new committee chairs. Time will tell!

US Senate Approves $30 Billon Small Business Bill

The US Senate has passed a bill to create a $30 billion government fund to help open lending for credit-starved small businesses, cut their taxes and boost federal loan programs for them.

The 61-38 tally rewards President Barack Obama and his Democratic allies of Capitol Hill with a long-sought victory and sets the stage for a final vote in the House, which is likely to approve it for Obama's signature.

The new fund would help community banks increase lending to small businesses hurt by the recession and the 2008 Wall Street crisis. The bill would also provide about $12 billion in tax breaks over a decade to both large and small businesses and also boost the Small Business Administration's lending programs.

Passage of the measure, which blends a $30 billion government fund to help open up lending for credit-starved small businesses with bipartisan tax provisions, would give President Barack Obama and his besieged Democratic allies in Congress a much-sought - but relatively modest - political victory with less than seven weeks to go before Election Day.

"At a time when small business owners are still struggling to make payroll and they're still holding off hiring, we put together a plan that would give them some tax relief and make it easier for them to take out loans," Obama said Wednesday.

The new loan fund would be available to community banks to encourage lending to small businesses, and supporters say banks should be able to use the fund to leverage up to $300 billion in loans.

The loan fund is opposed, however, by most Republicans, who liken it to the 2008 bailout of the financial system. They warn it would encourage banks to make loans to borrowers who aren't good credit risks.

Democrats say the measure is needed to help small businesses cope with a credit crunch that worsened dramatically after the financial crisis two years ago.

This legislation would also aid lending by lowering Small Business Administration loan program fees and raising loan guarantee and lending limits.

"This small business jobs bill would give small businesses $12 billion in tax cuts. It would increase small business lending. It would help small business owners to get private capital to finance expansion and hire new workers," said Senate Finance Committee Chairman Max Baucus, D-Mont. "And all these things would help small businesses to create as many as a half a million jobs."

The measure had been delayed for months and was successfully filibustered by Republicans in July. But on Tuesday, Democrats cracked the filibuster with the help of two Republicans, Sens. George Voinovich of Ohio and George LeMieux of Florida. That set the stage for Thursday's vote.

After Senate passage, the bill would return the measure to the House, which is likely to approve it for Obama's signature.

The bill is advancing too late to help make a dent before Election Day in a 9.6 percent nationwide unemployment rate. It follows successful efforts this year to provide a temporary payroll tax holiday to companies that hire the jobless, and to extend assistance to the unemployed, cash-starved state governments and local school districts.

Democrats had hoped to pass the bill in July but couldn't win any GOP converts. They fell just short of defeating a filibuster that was called because Democrats blocked Republicans from offering unrelated amendments.

"There are many good things in this bill, but I believe it could have been better," said Sen. Charles Grassley, R-Iowa. "Unfortunately, the Democratic leadership has been more interested in scoring political points than actually providing relief to small business."

Grassley wanted the measure to have additional tax cuts, including a 20 percent tax deduction off their earnings.

The small business tax cuts in the bill include breaks for restaurant owners and retailers who remodel their stores or build new ones. Long-term investors in some small businesses would be exempt from paying capital gains taxes.

But in the near term, the bulk of the tax cuts would actually go to big companies to allow them to more quickly recover the costs of capital improvements through depreciation.

The measure also would allow small business owners to deduct the costs of health insurance for themselves and their families from self-employment taxes, but only for the 2010 tax year.

Much of the bill would be paid for by allowing taxpayers to convert 401(k) and government retirement accounts into Roth accounts, in which they pay taxes up front on the money they contribute, enabling them to withdraw it tax-free after they retire.

State Watchdog Commission to Study Appropriate Role of Economic Analysis in Regulatory and Legislative Decision-making The highly-regarded, and very effective, Little Hoover Commission is doing a study about the appropriate role of economic analysis in regulatory and legislative decision-making. The first hearing will be October 28, followed by another in January.

I have been invited by the commission's staff (and have accepted) to meet with them next week to help obtain my "stories, comments, perspectives, and ideas" along with other colleagues of mine. You can bet the Air Resources Board will play BIG into my discussions! Have any comments you'd like to share about what's wrong with the current system; and, what would a good system look like? CSLB Looks For Help To Go After "the Bad Guys!"

On another front, the Contractors' License Board is conducting an industry meeting on September 28th to see how they can work more closely with us to go after the bad guys who more and more are licensed contractors. Following is the information about the meeting. Again, any ideas, thoughts or comments that you may have which will help me to help you, would be greatly appreciate. As many of you are aware, California continues to suffer from an ever-growing problem of businesses operating in the underground economy. It is estimated that California loses nearly $100 billion every year in revenue, a significant portion attributed to the construction industry. Too often, construction contractors fail to pay the required payroll taxes, workers’ compensation insurance, and/or obtain the necessary business licenses; and many legitimate contractors are being put out of business because the law-abiding contractors cannot compete with illegal operators.

Historically, the majority of industry leads received by the Contractors State License Board (CSLB) involved unlicensed contracting. However, in recent times, there has been a shift in the types of leads CSLB is receiving. Lately, more and more leads involve licensed contractors who are operating illegally by failing to carry or underreporting worker’s compensation insurance, pay employees in cash, and/or fail to pull required permits. At the CSLB board meeting held on August 26, 2010, CSLB committed to scheduling a meeting with Industry Associations to discuss methods of prioritizing construction fraud investigations with our partnering agencies. As part of our continuous efforts to combat fraudulent construction activity, CSLB has scheduled a meeting that will be held on:

The objective of this meeting will be to discuss protocols and expectations in responding to leads from the construction industry relating to the afore-mentioned Contractor State License Law requirements. We will discuss how CSLB can work more effectively with the Joint Enforcement Strike Force (JESF) and what action can be taken against repeat offenders. The expectation is that CSLB and Industry Associations can work together to demonstrate to the public, government agencies and business groups the extensiveness of construction fraud and the need to prioritize and provide enforcement resources.

Health Reform Breakdown Over Age Dependent Coverage Approximately 30% of the under 30 demographic is uninsured - the highest rate of any age group in the United States (source: HHS.gov). At this time in their lives, young people generally do not have access to employer group health plans and do not have the money to pay for unexpected medical bills. They are graduating from college, looking for their first job, taking part time work with no benefits and having longer waiting periods for benefits once they finally secure full time employment. To address this need, one of the first measures being implemented under the Patient Protection and Affordable Care Act (PPACA) is the extension of coverage to overage dependents up to age 26. Eligible dependents do not have to be living at home, do not have to be on the parent’s tax return and can even be covered if they are married. In the case of a married dependent, coverage does not extend to the spouse or children of the dependent – even if the child of the dependent is born while on the plan. The one eligibility requirement for enrollment is that the dependent cannot have access to other group health plan (i.e. through the current employer of the dependent or dependent’s spouse). All medical carriers and plans which include dependent coverage must comply with the legislation. To inform employees of this special enrollment opportunity, insurers and employers are required to provide special enrollment notices prior to the health plan renewal. Ancillary carriers providing coverages such as dental, vision and chiropractic care are not required to extend coverage to overage dependents but many of them are choosing to do so. Medical carriers are not mandated to extend coverage to overage dependents until the first plan renewal after September 23, 2010. Dependents termed and/or not enrolled in their parents’ plan prior to this date can be added during the employers’ next plan renewal or open enrollment period For example, if the current health plan renews April 1, overage dependents will not be able to enroll until this time. However, if the employer were to change carriers, with coverage effective October1st or later, overage dependents could be enrolled on the new plan immediately. Going forward, medical carriers will not require employees to submit Overage Dependent Certification Forms for their children. There may however, be some form of affidavit required to document that the overage dependent does not have access to other group coverage. For companies offering health insurance to their employees and dependents, there are tax savings to both the employer and the employee. The tax benefits are effective as of March 30, 2010 and extend beyond the dependent’s 26th birthday to the end of the tax year (although the dependent’s coverage ends on the last day of the month in which he or she turns 26). The employer contribution towards the dependent’s medical coverage is not considered income to the employee. Moreover, employees can benefit by paying their portion of the dependent coverage on a pre-tax basis through an IRS Section 125 cafeteria plan1. Even self employed individuals get a tax credit if they qualify for the self-employed health insurance deduction on their federal income tax return. Marketing is rarely about making rational appeals — especially when you're trying to hook first-time customers. Creating advertising copy that connects with key emotions is critical to grabbing customers' attention. Below are five key "emotional factors" that frequently influence people's buying decisions. Incorporating one or two of these in your advertising copy is sure to stir their emotions and get them hooked on what you're selling.

1. Value. In this down economy, value has become a hot trend in marketing. And while value is a seemingly rational appeal, it can be an emotional one as well. For example, when a company says, "Find a lower price anywhere — and we'll match it!" it creates a sense of trust, yet few customers will actually research lower prices.

4. Trend setting. Everyone wants to be with-it, and lots of people want to be at the forefront of fashion and trends. Copy that makes individuals feel like they're at the forefront of trends is a stand-by tactic for targeting anyone, in any age group.

5. Time. Busy people want quick service and easy-to-use products. Write copy that promises instant gratification, like "one-hour service," and "same-day delivery." Copy that promises time-saving benefits — "Cuts the time it takes to prepare dinner in half!" — is also extremely effective.

What is the Away Station?

The mission of The Away Station is to Productively and creatively serve the community and the planet by the organized collection and redistribution of the by-product of consumption. This is done by providing a way for people to effortlessly get rid of unwanted items knowing that these items will go to good use and not go into the landfill.

Kalb's Q&A for Contractors By David Kalb, President of Capitol Services, Inc. I will help a contractor getting the ‘cold shoulder’ on his bids. Are you up to date on changes in the mechanics lien laws? A quick update for contractors will help you catch up. We also offer good advice for anyone who may have to replace an aging Qualifier… Q: We hold a “C-38” contractor’s license. In the course of our work, my company actively pursues projects involving energy efficiency retrofits as they relate to refrigeration. Typical projects include installing highly efficient electric motors and anti-sweat heater controls, as well as simple things like gaskets and strip curtains. We also install new LED lighting in glass door walk-in coolers and freezers. Our problem is we’re being shut out of some upcoming stimulus funded projects that involve refrigerated case lighting because we do not have a “C-10” license. Why can’t we do this work with our “C-38”? A: I don’t know why your company is being “frozen out” of this program. By definition, a Refrigeration contractor can “construct, fabricate, erect, install, maintain, service and repair refrigerators, refrigerated rooms and insulated refrigerated spaces”. This means you should be able handle the entire project or any related portion of the project – including retrofitting the electrical portion of these units. Q: I’ve heard there have been some changes in the CA mechanic’s lien law. Can you tell me anything about this and how I might be impacted? A: Legislation passed last year made several changes in the mechanic’s lien law. Starting January 1st 2011, contractors, subcontractors and suppliers will need to take additional steps to ensure that their lien rights are protected. For many years, filing a mechanic’s lien has involved a set of procedures and filing deadlines

giving contractors and material suppliers the right to sell property where work was performed in order to obtain a payment that was never made. Starting next year, these liens will be required to include an Affidavit showing that it has been served by Certified Mail, return receipt requested or personal service. This can be delivered to the property owner’s residence or place of business; address shown on the building permit or another address as allowed under the preliminary notice statute. As reported in the Sacramento Business Journal, “under current law there is no requirement that a claimant inform a property owner that a mechanic’s lien has been recorded on the owner’s property,” according to William Porter a Sacramento attorney who has served as a consultant and helped craft new construction industry law. Since there is also a requirement that a notice of mechanic’s lien include very specific language notifying owners of their rights, I would strongly recommend contractor’s consider contacting a lawyer prior to the end of this year. Q: My father is getting on in years (he’s over 80), and we’ve been looking at having someone else be the company’s Responsible Managing Officer (RMO). He is not very involved in the business any longer but wants to still be listed on the license. What do you recommend? A: Life is fragile. One day we’re here and the next day we could be gone. This isn’t a tag line from a life insurance commercial but rather a heart-felt plea to my readers that planning for succession of your contractor’s license is one of the smartest business decisions you can make. I‘ve received a number of calls and emails over the years from contractors like you where the qualifying individual has suddenly passed away or become disabled. Qualifying someone as a “back-up” licensee is one option. A second is to designate a family member or long-term employee as the eventual successor to ease the transition. In your specific case, I would be proactive and consider replacing your father as the Responsible Managing Office now while still keeping him as a listed company officer. The use of online videos in small business marketing has become an increasingly popular strategy. Research has suggested that immediately after viewing a company’s video consumers are far more likely to visit the company website or contact the company via phone. In fact they can be up to 40% more likely to make some sort of contact. This is a pretty dramatic statistic.

If you want to add video marketing to your own small business marketing program, it doesn’t have to be a huge challenge. It can actually be fun and easy. While there are a variety of companies that are willing to help with this sort of production, it is so simple you will probably be able to pull it off yourself. After all, you aren’t trying to make a blockbuster here; you’re simply trying to create a relationship with prospects and spread the word about your product or services.

Creating Your Online Video

Make sure your video is “real”. Customers are not interested in hearing a tired sales pitch. They want to get to know the human behind the business, so give them what they want. Instead of hammering off rote information or giving a lot of buzzwords, just be you.

Use a good quality camera. It doesn’t have to be that expensive. These days, digital recorders have become less and less expensive. Find a decent camera that has good reviews (check with the online review sites and be sure to read the opinions of actual users). Then try a few practice videos to see what sort of quality you actually get.

Keep the video short. Three or four minutes is the norm for small business marketing videos. Think about how short commercials are on TV.

You don’t want to bore or overwhelm your viewers. If you do, they will simply click away and go somewhere else.

Your first video should simply be an introduction to your business and to you. However, at some point it is important to provide customers with a call to action. You can include your phone number or website address verbally or through a back link, or offer a coupon. Remember the ultimate goal of your video marketing is to find prospects, so don’t forget to mention how you can be located.

The Power of VSEO

You have probably heard of SEO before. This term stands for “search engine optimization” and it refers to the method of optimizing textual content to rank higher on search engines like Google. The newest term being kicked around the marketing world is VSEO. This is “video search engine optimization.”

Ranking first on Google is any web-savvy small business owner’s dream. It turns out, that VSEO is a lot more likely to get you there than SEO. This is because your chances of having a video rank number one on Google are up to 50 times higher than having text rank number one on Google. That’s right 50 times higher!

So obviously, VSEO is something you want to be concentrating on in your video marketing program. It works basically like regular search engine optimization. It includes methods such as posting links to your new videos on social media sites, promoting your videos through back links from other reputable sites, and optimizing the search terms and tags associated with your videos. Since video creation is generally a bit

more time consuming than simple article or content publication, be sure your time and efforts are not wasted by ignoring VSEO.

Where Do All the Videos Go?

So you’ve followed all the steps and you’ve created your first video. Now where do you put it? There are actually several different avenues for publishing your videos on the internet and you probably want to use all of them.

For starters, you can publish your videos on social media sites like Facebook. Chances are, you already have customers and prospects on your friends list, so it’s a good idea to capture their attention with your new video. And be sure to encourage them to share your videos with their friends list also. Now, you are in a million more places with very little work on your behalf.

YouTube is a given. You have to get your video on YouTube. This is the number one place that internet users go to watch videos. Since online video is quickly replacing television, you want to get to the top places and stay there.

You can also add your video to your Google business listing. This makes for a great visual representation of your business and adds to your professional reputation. This is a great way to advertise. It is like a business card that talks!

Small business marketing with video might seem a little confusing and time consuming at first, but it’s actually quick and easy once you get into the swing of it. Since online video is growing so quickly, you definitely want to add this tactic to your marketing plan.

NONDISCLOSURE OF MATERIAL INFORMATION

This case deals with plans and specifications that were issued by the public authorities, which were inaccurate. They were used as the basis for bids. As a result, the contractor submitted a bid, which was lower than he would have otherwise bid because the public authority neglected to provide information that it had which materially affected the cost and performance. Various authorities were used, including ones where the contractor had to show that the public entity misrepresented or intentionally concealed material facts leading to misleading information. Another case held that the contractor did not need to prove an “affirmative fraudulent intent to conceal” when disclosure would have eliminated or materially qualified the misleading effect of facts disclosed. Another authority stated that the thoughtless failure to provide information may allow recovery if the public entity had knowledge inaccessible to the contractor. In this case, the Court of Appeal decided that a contractor does not need to prove there is an “affirmative fraudulent intent to conceal.” Instead, a public entity may be required to provide extra compensation if it knew, but did not disclose, material facts that would affect the contractor’s bid or performance. The main facts of this case are that Hayward Construction Company (Hayward) successfully bid a project to the Los Angeles Unified School District (District) to complete work that was left unfinished by a previous contractor that had been fired. The contract between Hayward and the District for this project was a guaranteed maximum priced contract. Almost immediately after starting the work, Hayward found deficiencies that were not on the pre-punch lists and could not have been known by simple observation. Therefore, Hayward asked for extra compensation above the maximum contract amount for work they described as latent defects. The District disputed the sum, but paid Hayward additional money under an express reservation of rights to take action to recover the additional compensation. Hayward Cross-Complained stating that the District did not disclose the full extent of the defects in the existing construction. The Court of Appeal stated that, “Hayward may maintain a cross-action for breach of contract based on nondisclosure of material information if it can establish that the District knew material facts concerning the project that would affect Hayward’s bid or performance and failed to disclose those facts to Hayward.” Hayward was not asking for additional monies based on “careless bidding practices” but based it on the District’s “misleading nondisclosure to recover only on a showing the public entity harbored a fraudulent intent.” There was, however, a dissenting opinion that, in essence, said that the Court of Appeals rule was overbroad in suggesting that recovery may be had for any failure to disclose material information.
