Dear Omar,

I hope you are well. As you know I am the Managing Member of Peak GroupHoldings LLC and a member of the Board of Summit Entertainment. I am happyto send this letter, at your request, to serve as confirmation of thefollowing facts:

- You were a founding member appointed to the Board of Directors of PeakGroup Holdings LLC (Peak), the largest equity holder of SummitEntertainment Group LLC (Summit). Through your rights to the board seatallocated to you at Peak you were appointed to the Board of Directors of

Summit. You served from April 2007 through February 2008 when youvoluntarily resigned and appointed your designee to continue to representyour interests on the Summit Board.

-You and your trust played a critical role in providing or otherwiseintroducing 50% of the equity capital of Peak, which was invested intoSummit during Summit's $1 billion financing and creation as a new studioin April 2007.

-At the time of the formation of Peak, RT-SA II, LLC (RT-SA II) in whichyour Trust was majority owner, directly provided approximately 20% of theequity capital of Peak.

-You continue to retain substantial indirect economic interests in Summit through RT-SA II

While, as stated above, I am happy to provide this letter, this letter isprovided subject to the confidentiality provisions contained in thevarious agreements to which you and your trust are parties with respect toPeak, RT-SA II and Summit. Accordingly, do not disclose this letterwithout my consent in writing.
