Atany timeprior to thedeadline for submissionofTenders, theContractingAuthoritymay clarify theTenderDocumentbyissuingclarificationnotes.

AnyclarificationnoteissuedshallbeshallbepublishedonSEAP.

TogiveprospectivetenderersreasonabletimeinwhichtotakeaclarificationnoteintoaccountinpreparingtheirTenders, the ContractingAuthoritymay, at its discretion, extend the deadline for the submission of Tenders,pursuanttoITT.Insuchcases,allrightsandobligationsoftheContractingAuthorityandtheTendererregardingtheoriginaldatespecifiedintheprocurementnoticewillbesubjecttothenewdate.

1.6. SiteVisit

The tenderer isadvised to visitandexamine theproject site, its surroundingsandpossiblyotherpartsof thecountry,andmustobtainfor itselfon itsownresponsibilityall informationthatmaybenecessaryforpreparingtheTenderandenteringintoacontractfortheexecutionoftheworks.Thecostsofvisitingthesiteshallbeatthetenderers own expense. The Tenderermust notify the Contracting Authority inwriting at least 72 hours inadvanceregardingtheirintentiontothevisitthelocation.Thelocationcanbevisitedasof[insertdate]between[inserttime]and[inserttime]Contactperson[insertname]

3. SpecificConditions

3.1 RestrictionofTenderers

An entitymay not tender for the contract both individually and as a partner in a joint venture/consortium.Submission or participation by a Tenderer in more than one Tender for the contract will result in thedisqualification ofallthoseTendersforthecontract inwhichtheparty is involved.Atthesametime,anentitymaynot tender fora contractboth individuallyorpartner ina joint venture/consortiumand subcontractor inanothertenderorbothindividuallyorpartnerinajointventure/consortiumandsupportingthirdpartyinanothertender,underthesanctionofexclusionoftherespectivetenders.

3.2 Ethics

AnyattemptbyaTenderertoobtainconfidentialinformation,enterintounlawfulagreementswithcompetitorsorinfluence thecommitteeor theContractingAuthorityduring theprocessofexamining,clarifying,evaluatingandcomparingTenderswillleadtotherejectionofitsTender.

The Contracting Authority requires tenderers, suppliers, contractors, subcontractors, concessionaires andconsultantsunderthesefinancedcontractstoobservethehigheststandardofethicsduringtheprocurementandexecutionofsuchcontracts.Inpursuanceofthispolicy,TheContractingAuthority:

(a) defines,forthepurposesofthisprovision,thetermssetforthbelowasProhibitedPractices:

i) corrupt practice means the offering, giving, receiving, or soliciting, directly or indirectly, ofanythingofvaluetoinfluenceimproperlytheactionsofanotherparty;

5. Qualificationand/orSelectionCriteriaTheTenderershallpresenttheinformationformsgiveninVolume0section3andalsoprovidethedocumentationandcompleted formsdescribed insections5.1 to5.4below. In thecaseofa jointventureof twoormore legalentities,theinformationshallbesubmittedinrespectofeachoftheseentitiesandinrespectofthejointventuretenderer.

The qualification criteria are mandatory and failure to comply with these requirements shall lead to thedisqualificationofthetender.

Tenderersshallprovidesufficientandappropriatedocumentaryevidenceinordertodemonstratethefulfillmentofthequalificationrequirements.

5.1 PersonalsituationoftheTenderer

5.2 Capacitytoundertakeaprofessionalactivity(registration)

a) Romanian individuals/legal entities shall submit a certificate issued by the National Company Register,specifying the field of activity, valid on the date of submittingtheTenders(inoriginal,legalizedcopyorcopycertifiedinaccordancewiththeoriginal).

b)NonRomanian individuals/legal entities shall submit incopycertifiedinaccordancewiththeoriginalthecertified translation into Romanian of appropriate relevant documents attesting a form ofregistration/certification or professional membership, delivered by the competent authorities in thecountrywherethenonRomanianindividuals/legal entitysheadoffice islocated.

c)NonRomanian individuals/legalentitiesshallsubmitafiscalresidencecertificate(inordertoavoidthedoubletaxation)ordeclarationvalidforthecurrentyear

Alldocumentation required under thissubclause shallbesubmitted fortheTendererand foreachmemberofajointventure,asapplicable.

5.3 EconomicandFinancialSituation

The following documents and minimum mandatory requirements shall be submitted to demonstrate theTenderers economicandfinancial situation:

a) Thebalancesheetsforthelastthreeyearsregisteredwiththerelevantfiscalauthorities.(Form0.3.5.7)

b) The Average Annual Turnover in the last 3 years shall be at least [insert amount] lei (for Romanianlegalentities) orthe equivalentamountin Euro at the lei /Euroaverageexchangerate notifiedby theEuropeanCentral Bank for the relevant year.(Form0.3.5.8)

c) The Tenderer shalldemonstrate that ithas access to,orhas available, liquid assets,unencumbered realassets, lines of credit, and other financialmeans sufficient tomeet the construction cash flow for thecontractforaperiodof[insertduration]months,estimatedasnotlessthanlei[insertamount],takingintoaccounttheapplicant'scommitmentsforothercontracts.(Form0.3.5.9)

Comment:

TheEconomicandfinancialcapacityoftheTenderermaybesupportedbyathirdparty,regardlessoflegalrelationsexisitingbetweenthecompanyandthepersoninquestion.

The Tenderer whose economic and financial situation receives supportmust prove this fact bysubmittingadequatedocumentationconfirmingafirmcommittment.

Ifagroupofeconomicentitiessubmita jointbid,theeconomicandfinancialsituationconsideringthecumulativeresourcesofallgroupmembers.

5.4 Technicaland/orProfessionalCapacity

Ifa jointventuresubmitsaTender,thetechnicaland/orprofessionalcapacitymaybeprovedbyconsideringtheresourcesofallthemembersinthejointventure.



TheTenderershallfulfillthefollowingminimummandatoryrequirements:

5.4.1 Previousexperience

TheTenderermusthavefinalizedandsuccessfullycompletedwithinthelastfiveyearscalculatedfromthedeadlineforsubmissionof tenders theconstructionofat least two (2)projectsofLandfill, includingat least the folowingworksbutnotbeinglimitedto:

IncasethecontractwasexecutedbyaJointVenture,theTenderershalldemonstratethatitsshareintheJointVenturewasatleast50%.Incasethattheexperiencereferstoalandfillwhichitsbottomliningsystemcoversanareagreaterthantheminimumoneassetabove,thenalowersharepercentageintheJointVenturecanbeacceptedunderthefollowingcondition:

The documents shall be copies certified in accordance with the original and shall indicate the beneficiaries,regardlesswhethertheyarecontractingauthoritiesorprivateclients,thevalue,thetimeperiodandtheplaceofworksexecution.

5.4.2 SubcontractorsIncasethetendererintendstosubcontractpartoftheworks,forallsubcontractorsperformingmorethan20%ofthevalueoftheTenderPrice,itshallprovidewithinthetenderthelistofsubcontractorsinForm0.3.5.10 DATA ABOUT SUB CONTRACTING ENVISAGED andtheiridentificationdataaswellasthepercentageandtypeofworkassignedtothem.

5.5 JointVentures

Joint Ventures/Consortia must satisfy cumulatively all the specific criteria of Economic and Financialrequirementsin5.3andTechnicaland/orProfessionalrequirementsin5.4.

Tenders submitted by economic entities being partners of two ormore firms forming a JointVentureshalladditionallyfulfillthefollowingrequirements:

a) The Tender shall comprise all information required for each partner of the Joint Venture as wellasthesummarydataforexecutionofWorksbytheTenderer.

b) TheTender shallbesigned inawaythat legallybindsallpartners.

c) One partner shall be appointed as the Leading Partner responsible for the Contract and such



appointmentshall be confirmedby submissionof Powers of Attorney signed by legally authorizedsignatories representing alltheindividualpartners.

d) The Tender shall include an agreementstating that all partners shall be legally responsible,jointlyandseverally, for the executionof theContract, that theLeading Partner shall be authorized toobligate and receive instructions for and onbehalf ofeach and allpartners, and that the executionofthe Contract, including payments,shall be responsibilityof the Leading Partner.

e) All partners in the Joint Venture/Consortium shall be bound to remain in the JointVenture/Consortiumforthewholeperiodoftheimplementation ofContract.

6. SubmissionoftheTender

6.1 LanguageoftheTender

ThelanguageoftheTenderisRomanian.

The technical documentation and documents issued by official institutions/ bodies in the countrywhere theforeign Tenderer is resident may be in another language, provided they are accompanied by a certifiedtranslation.

ForthepurposesofinterpretationoftheTenderandanyresultingContract,theRomanianlanguagewillprevail.

6.2 ValidityperiodoftheTender

ThevalidityoftheTendershallbe90daysfromthedateofsubmissionoftheTender.Tendersvalidforashorterperiodshallberejected.

In exceptional circumstances the Contracting Authority may request that Tenderers extend the validity ofTendersforaspecificperiod,whichwillbedefinedintheextensionrequest.Suchrequestsandtheresponsestothemmustbemadeinwriting.

ATenderermayrefusetocomplywithsucharequestwithoutforfeitinghisTenderguarantee. IftheTendererdecidestoaccedetosucharequest,hemaynotmodifyhisTender.Heis,however,boundtoextendthevalidityofhisTenderguaranteefortherevisedperiodofvalidityoftheTender.

6.3 TenderGuarantee

(a) ifatendererwithdrawsitsTenderduringtheperiodofTendervalidityspecifiedbythetendererintheLetterofTenderor

(b) ifthesuccessfultendererfailsto:

(i) sign theContract during theperiodofvalidityof the tender,once its tenderhasbeendeclaredsuccessful,or

(ii) furnishaperformancesecurityduringtheperiodofvalidityofthetender,onceitstenderhasbeendeclaredsuccessful,and inanycase,no later than15dayssince thecontracthasbeensigned.

(c) IncaseacomplaintwassubmittedtotheNCSCanditwasrejected,theContractingAuthorityhastherighttoanamountof[insertamount]

TheguaranteeshallspecifytheContractingAuthoritysrighttoforfeittheguaranteeforthereasonsmentionedabove.

6.4 ContentoftheTender

The tenderer must submit all documents required by the provisions of the tender dossier, namely thosespecified in Volume 1 and 4 described in Clause 1.1 of these instructions and also including the technicalproposal[ifapplicable]andthefinancialproposal.Allsuchdocuments,withoutexception,mustcomplystrictlywiththeseconditionsandprovisionsandcontainnoalterationsmadebythetenderer.

Tenders which do not comply with the minimum requirements of the tender dossier shall result in thedisqualificationofthetender.

6.5 Technicalproposal(ifapplicable)

GeneralComment:

Normally, anoffer for the constructionof a Landfill Site should include a analyticalBillofQuantities andnoTechnicalProposalshouldbesubmitted.OnlyincasesthatsomespecificpartsoftheLandfillSitewillbeofferedasalumpsumprice(e.g.leachatetreatmentplant),thenatechnicalproposalshouldbesubmitted,inorderthecompliancewiththedefinedspecificationtobeproved.

Inothercases,thisparagraphmustbeeliminated

The tenders shall complywith theminimum requirements specified in the Technical Specifications. For thatpurpose,tenderersshallincludeinthetechnicalofferdetailsonthefollowinginformation:

a) TechnicalDescriptionoftheofferedsubjectsunderevaluation;

b) TechnicalSpecificationoftheofferedsubjectsunderevaluation;

c) TechnicalBrochuresoftheofferedsubjectsunderevaluation;

d) Listofsparepartsandconsumables,includinglaboratoryreagentsfor2years(indicatively);

e) Drawingsoftheofferedsubjectsunderevaluation.



6.6 Financialproposal

TheFinancialProposal shallcontainthefollowingdocuments:

a)FormofTender(Form0.3.6.3)

b)AppendixtoTender(Form0.3.6.4)

c)CompletedBillofQuantities

The tenderer shall submit the Form of Tender using the form 0.3.6.3 FORMOF TENDER furnished inSection 3. This formmust be completed without any alterations to its format and no substitutes shall beaccepted.Allblankspacesshallbefilledinwiththeinformationrequested.

TheLetterofTendershallpresentthetotalpriceoftheTender,excludingVAT,statedinlei.AllsumsintheBillofQuantitiesandotherdocumentsmustalsobeexpressed in thiscurrency,with theexceptionoforiginalsofbankandannualfinancialstatements.Discountsarenotallowed.

Allduties,taxes,andotherleviespayablebytheContractorundertheContract,orforanyothercauseshallbeincludedintheratesandpricesandthetotalTenderPricesubmittedbythetenderer.

ThepricesquotedbytheTenderershallbe:

Thepriceofthetendershallcoverallcostsrelatedtotheexecutionofworks,includingsupply,installationandtestingforthemachineryandequipmentaspertheTechnicalSpecificationsprovisions.ATenderwhichexcludespartoftheWorkswillberejectedasunresponsive.

TheTenderershallpresenttheBillofQuantitiesfilledinwithpricesquotedinlei.

Any itemwithout aprice shallnotbepaid forandshallbedeemed tobe included inotherprices intheBillofQuantities.

Provided that theTender issubstantiallyresponsive, theContractingAuthorityand/or theEvaluationCommitteeshall correct arithmetical errors as indicated in the procurement legislation. If a tenderer does not accept thecorrectionoferrors,itsTendershallbedeclarednonresponsive.

Offerswhicharepresentinganapparentlyabnormally lowpricewillbesubjecttofurtherclarificationasdetailedbelow.

If in the opinion of the ContractingAuthority a Tender is seriously unbalanced or front loaded or substantiallybelow the Contracting Authoritys estimates, the Contracting Authority may require the tenderer to producedetailedpriceanalysesforanyorallitemsoftheBillofQuantities,todemonstratetheinternalconsistencyofthosepriceswiththemethodsandscheduleproposed.

Pursuanttoarticle202ofGEO34/2006,asfurthermodifiedandamended,atenderhasanabnormallylowpriceinrelationtowhatistobesupplied,executedorperformed

(a) whentheofferedprice,excludingVAT,islessthan85%oftheestimatedcontractvalue,or

(b) if within the awarding procedure there are at least five tenders which have been consideredacceptable,whentheofferedprice is lessthan85%ofthearithmeticmeanofthetenderscalculatedwithouttakingintoaccountthelowestandthehighestfinancialproposals.

Anofferwhichisdeemedashavinganabnormallylowprice,accordingtotheabovementionedpointsaswellasitwillbeconsideredasinsufficientlyjustifiedafterajustificationrequest,willbedisqualified.

6.7 TenderSubmission

TheaddresstowhichTenderistobesubmittedisindicatedintheprocurementnotice.TheTendersaretobesentby



registeredmailwithacknowledgementofreceipt,ordeliveredbyhandagainstareceiptsignedbytheContractingAuthorityoritsdulyauthorisedrepresentativetotheaddressindicatedabovebeforethedateandtimeindicatedintheprocurementnotice.AnyTender receivedafter thedeadline for submissionofTenderswillbe rejected. TheTenderer'ssubmissionwillbereturned to theTendererunopened. In thecaseof latesubmissions theassociatedTenderguaranteewillbereturnedtotheTenderersonrequest.

TheContractingAuthoritymay,atitsdiscretion,extendthedeadlineforthesubmissionofTendersbyamendingtheTenderdocuments, inwhich caseall rightsandobligationsof theContractingAuthorityand tendererspreviouslysubjecttothedeadlineshallthereafterbesubjecttothedeadlineasextended.

The qualification documents, the technical proposal [if applicable] and the financial proposal, shall be placed inseparateenvelopesandshallhavealistofdocumentsandeachpageshallbenumberedforeachfile,separatelyandsigned by the authorized representative of the Tenderer, empowered to act on behalf of the Tenderer. Thequalification documents shall be included in the file in the order in which they are required in the in theseinstructions.

The separated envelopes containing the qualification documents, the technical proposal [if applicable] and thefinancialproposalshallbeappropriatelysealedandmarkedasfollows:

c) thewordsNottobeopenbeforetheopeningsession.

d) theTenderersname.

TheoriginalofeachenvelopebemarkedasORIGINAL.ThecopyoftheoriginalmustbemarkedasCOPY.

Iftheouterenvelopeisnotsealedandmarkedandreceiptedasrequired,theContractingAuthoritywillassumenoresponsibilityforthemisplacementorprematureopeningoftheTender.

Inthecaseofanydiscrepancybetweenthe"Original",the"Copy"and/ortheElectronicCopy,the"Original"willprevail.

TheoriginaloftheTendermustbetypewritten,printedorwritteninindelibleinkandsignedbyapersonorpersonsempowered by the Power of Attorney. Any pages onwhich entries, ormodifications to the Tenderers originalentries,havebeenmademustbe initialedthepersonorpersonssigningtheTender.Allpagesmustbenumberedconsecutivelybyhand,machineorinanyotherwayacceptabletotheContractingAuthority.

The Tender must contain no changes or modifications to the tender documents, other than those made inaccordancewith instructions issuedby theContractingAuthority. Any correctionof anerroron thepartof theTenderermustbeinitialedbythepersonsigningtheTender.

The Tendermay be rejected if it contains anymodification, addition or deletion to the Tender documents notspecifiedinamodificationissuedbytheContractingAuthority,oriftheTenderdocumentsarenotfilledinproperly.

The Tendererwill bear all costs associatedwith the preparation and submission of the Tender. The ContractingAuthoritywillinnocaseberesponsibleorliableforsuchcosts,whatevertheconductoroutcomeoftheprocedure.

6.8 Withdrawal,Substitution,andModificationofTenders

Atenderermaywithdraw,substitute,ormodifyitsTenderafterithasbeensubmitted,butbeforethedeadlineforsubmissionofTenders,bysendingawrittennotice,dulysignedbyanauthorizedrepresentative,andshallincludeacopy of the authorization in accordance with Section 2, (withdrawal notices do not require copies). The



correspondingsubstitutionormodificationoftheTendermustaccompanytherespectivewrittennotice.Allnoticesmustbe:

(a) preparedandsubmittedinaccordancewithSection2,andinaddition,therespectiveenvelopesshallbeclearlymarkedWithdrawal,Substitution,Modification;and

(b) receivedbytheContractingAuthoritypriortothedeadlineprescribedforsubmissionofTenders.

Tendersrequestedtobewithdrawnshallbereturnedunopenedtothetenderers.

No Tendermaybewithdrawn, substituted,ormodified in the intervalbetween thedeadline for submissionofTendersandtheexpirationoftheperiodofTendervalidityspecifiedbythetendererontheLetterofTenderoranyextensionthereof.

6.9 OpeningoftheTenders

Tenderswillbeopenedon[date]at[time]at[officeandaddress]bythecommitteeappointedforthepurpose.Thecommitteewilldrawupminutesofthemeeting,whichshallbedistributedtoallTenderers.

Theopeningmaybe attendedby the Tenderers. For thoseparticipating in themeeting for theopeningof theTendersonbehalfoftheTenderer,apowerofattorney isrequiredfromthepersonauthorizedtorepresenttheTendererintheprocedure.

At the tender opening, the Tenderers names, the Tender prices, written notifications of modifications andwithdrawals,thepresenceoftherequisiteTenderguaranteeandanyotherinformationtheContractingAuthoritymayconsiderappropriatewillbeannounced.

First, envelopesmarked Withdrawal shallbe opened and readout and the envelopewith the correspondingTender shallnotbeopened,but returned to the tenderer.NoTenderwithdrawal shallbepermittedunless thecorrespondingwithdrawalnoticecontainsavalidauthorizationtorequestthewithdrawalandisreadoutatTenderopening.

Next, envelopesmarked Substitution shall be opened and read out and exchangedwith the correspondingTenderbeingsubstituted,andthesubstitutedTendershallnotbeopened,butreturnedtothetenderer.NoTendersubstitution shall be permitted unless the corresponding substitution notice contains a valid authorization torequestthesubstitutionandisreadoutatTenderopening.

Envelopes marked Modification shall be opened and read out with the corresponding Tender. No Tendermodification shall be permitted unless the correspondingmodification notice contains a valid authorization torequestthemodificationandisreadoutatTenderopening.

OnlyTendersthatareopenedandreadoutatTenderopeningshallbeconsideredfurther.

The EvaluationCommitteeshallopenallotherenvelopesoneata time.NoTendershallbe rejectedatTenderopening except for late Tenders or Tenders not accompanies by a Tender guarantee in the amount and therequestedformorforalowervalidityperiodthanrequested.

6.10 AnalysisandassessmentoftheTenders

Information relating to the evaluationof Tenders shallnotbedisclosed to tenderersor anyotherpersonsnotofficiallyconcernedwithsuchprocessuntilinformationonContractawardiscommunicatedtoalltenderers.

Anyattemptbyatendererto influence improperlytheContractingAuthority intheevaluationoftheTendersorContractawarddecisionsmayresult in therejectionof itsTender.Notwithstanding theabove, from the timeofTenderopeningtothetimeofContractaward,ifanytendererwishestocontacttheContractingAuthorityonanymatter related to the tendering process, it should do so inwriting in accordance with the provisions of theprocurementlegislation.

FailuretosubmitaTendercontainingtherequired informationanddocumentationwithinthedeadlinespecifiedwillleadtotherejectionoftheTender.Tenderswhichareincomplete,conditional,illegible,andobscureorcontain



unrequestedadditionsorotherirregularitiesmayberejected.

BeforebeginningadetailedanalysisoftheTenders,theEvaluationCommitteewillcheckthateachTender:

(a) hasbeenproperlysigned,and

(b) includestherequiredTenderguarantee,and

(c) substantiallycomplieswiththerequirementsoftheseTenderdocuments.

AnadmissibleTender isonewhichdoesnotfallundertheconditions listed inart.36fromGovernmentDecision925/2006andwhichconformstotherequirementsandspecificationsdescribedintheTenderdocumentswithnosubstantialdeviationsorreservations.Substantialdeviationsandreservationsarethosewhich:

(a) inanywayinfluencethescope,qualityorexecutionofworks,or

(b) restricttherightsoftheContractingAuthorityortheobligationsoftheTendererundertheContractinamannerinconsistentwiththeTenderdocuments,or

(c) rectificationofwhichwouldunfairlyaffectthecompetitivepositionofotherTendererspresentingadmissibleTenders.

Thewinningtendershallbeselectedfromtheadmisibletendersonlyandbasedontheawardcriterionmentionedintheprocurementnoticeandtenderdocuments.

Toassist in theexamination,evaluation,and comparisonof theTendersandqualificationof the tenderers, theEvaluationCommitteemay,atitsdiscretion,askanytendererforaclarificationofitsTender,allowingareasonabletimeforresponse.AnyclarificationsubmittedbyatendererthatisnotinresponsetoarequestbytheContractingAuthorityshallnotbeconsidered.TheEvaluationCommitteesrequestforclarificationandtheresponseshallbeinwriting.

Nochangeinthepricesorsubstance(technicalproposalorotherelementsoftheTender)shallbesought,offered,orpermitted,excepttoconfirmthecorrectionofarithmeticerrorsdiscoveredbytheEvaluationCommitteeand/orContractingAuthorityintheevaluationoftheTenders.IfatendererdoesnotprovideclarificationsofitsTenderbythe date and time set in the Contracting Authoritys request for clarification or the Tenderers response isinconclusive,itsTenderwillberejected.

6.11 RightoftheContractingAuthoritytoAcceptorRejectAnyTender

TheContractingAuthorityreservestherighttoacceptorrejectanytender,andtoannultheTenderingprocessatany timeprior to contractaward,without thereby incurringany liability to tenderers. In caseofannulment,allTenderssubmittedandspecifically,Tendersecurities,shallbepromptlyreturnedtothetenderers.

6.12 Rulestoavoidconflictofinterest

A tenderer shall not have a conflict of interest. All tenderers found to have a conflict of interest shall bedisqualifiedpursuanttoarticles6669fromGEO34/2006,asfurthermodifiedandamended.

The natural or legal person that has participated to the elaboration of the tender documentation, as aneconomicentity,hastheright,tobetenderer,associatedtendererorsubcontractor,onlyinthecasewhenitsinvolvementintheelaborationofthetenderdocumentationdoesnotdistortthecompetition.

The natural or legal persons who are directly taking part in the process of verification/evaluation of thecandidatures/tendershavenorighttobecandidates,tenderers,associatedtenderersorsubcontractors,underthesanctionoftheexclusionfromtheawardingprocedure.

The tenderer/candidate/associated tenderer/subcontractor that has as members of its board ofadministration/managing or supervisory body and/or that has stakeholders or associates, personswho are aspouse, a relativeor inlawup to and including the fourthdegree,or thatareundercommercial relations,asdefined byArticle 69 point a) fromGEO 34/2006with persons holding decisionmaking positionswithin thecontractingauthority,shallbeexcludedfromtheawardingprocedure.



7. AwardCriteriaTheContractwillbeawardedonthebasisofthelowestprice.

In case two ormore offers have the same lowest price, the respective tenderers shall submit a new financialproposalunderthesameformalandtechnicalconditionsasfortheintialoffer.

TheTendersubmissionthat

(a) complieswithalltheadministrativeandeligibilityrequirements,and

(b) complieswithallthecapabilityrequirements,and

(c) meets theRequirementsof theTechnicalSpecifications (in case that technicalproposal shouldbesubmitted)and

(d) whosetenderoffersthelowestprice

willbeawarded.

8. AwardoftheContract

8.1 AdjustmentoftheContractprice

Theoptionthatisselectedfollowingiscorrelatedtotheoptionselectedinarticle6.6

[ThepricewillbefixedfortheentireperiodoftheContract]or[Thepricewillbeadjusted inaccordancewith thenationallaw]

8.2 NotificationofAward

Prior to expiration of the period of Tender validity prescribed by the Contracting Authority, the ContractingAuthoritywillnotify the successfulTendererof its intention toaward theContractbyaLetterofAward.ThislettershallstatethattheonlythesigningoftheContractAgreementwillformacontactbetweentheContractingAuthorityandthesuccessfultenderer.Itshallalsostatethatanyactivitiesundertakenbythesuccessfultendererpriortothecontractcoming intoforcewillbeattheTenderersownrisk.AtthesametimethattheContractingAuthorityissuestheLetterofAwardtothesuccessfulTenderer,theContractingAuthoritywillnotifythenameofthewinningTenderertoeachunsuccessfulTenderer.

TheContractingAuthorityhastheobligationtoinformtheunsuccesfultenderersaboutthegroundsonwhichtheirTenderwasnotselectedinaccordancewiththeprocurementlegislation.

9. ContractSigningandPerformanceSecurity/Guarantee

9.1 SigningofContract

TheContractingAuthoritymaysignthecontractonlyaftertheperiodspecifiedbyarticle205fromGEO34/2006,asfurthermodifiedandamended,haselapsed.

Within[insertduration]daysofreceivingthecontractsignedbytheContractingAuthority,thesuccessfultenderershallsign,date,andreturnthecontracttotheContractingAuthoritytogetherwith:

(a) signedcontractswithsubcontractors

(b) legalisedJVCorassociationagreement(ifthecase)



(c) performanceguarantee

Onthesigningthecontractagreement,thesuccessfulTendererwillbecometheContractorandthecontractwillcomeintoforce.

9.2 PerformanceGuarantee

Theperformanceguarantee shallbe [insert%]of theaccepted contractvaluewithoutVAT.Theperformanceguaranteewillcovertheentiredurationofthecontract(includingthedefectsnotificationperiod).

The successful tenderer shall furnish the performance security and together with the signed contract inaccordancewith the conditionsof contract,using for thatpurpose thePerformance Security Form 0.3.9.1oranotherformacceptabletotheContractingAuthority.

Theperformanceguaranteeshall

(a) take the formofaguarantee instrument issuedbyabankor insurancecompanywhichwillbecomeannextothecontractor

(b) shall be constituted through successive installments retained from the partial payments under theconditionsofart.90(3)fromGovernmentDecisionno.925/2006.

Thesuccessfultenderershallcommunicateitsdecisionontheformoftheperformancesecuritybeforesignatureofthecontract.

The contracting authority has the right to formulate claims regarding theperformance guarantee,during theexecutionof thecontract,with respect to thedamageoccurred,when thecontractordoesnot fulfil itscontractobligations. Prior to the claim regarding the good performance guarantee, the Contracting Authority has theobligationtonotifytheclaimtothecontractor,statingtheobligationsthatwerenotfulfilled.

Failureof the successful tenderer to submit theabovementionedPerformanceGuaranteeor sign theContractshallconstitutesufficientgroundsfortheannulmentoftheawardandforfeitureofthetenderguarantee.

Intheeventthewinningtendererisinaforcemajeuresituationorunabletoperformthecontract,theContractingAuthority has the right to declare as winner the tenderer classified on the second place, if it exists and isadmissible.Otherwise,theawardprocedureiscancelled.

The performance guaranteewill be released in accordancewith the provisions of article 92 fromGovernmentDecision925/2006,asfurtheramendedandmodified.

10. CommencementofWorksFollowingthesignatureoftheContractbybothparties,awrittennoticeofcommencementoftheworkswillbeissuedinaccordancewithclause8.1oftheGeneralConditionsofContract.

TheContractormustinformthesenderbyreturnthathehasreceivedthenotice.
