    AGREEMENT ON ACADEMIC COOPERATIONbetween

    XXX UNIVERSITYand

    YYY UNIVERSITY

    XXX University (hereinafter referred to as XXX) and YYY University (hereinafter referred to as YYY) agree to the following terms and conditions with the intention of deepening the longstanding friendly relations between the two institutions.

    . Purpose

    The purpose of this Agreement is to facilitate and to enhance the academic cooperation between the two institutions and to strive to promote scientific and cultural exchange activities between the two institutions.

    . Areas of Cooperation

    1. Exchange of undergraduate students, graduate students and faculty.2. Exchange of information and documents which are of mutual interest.3. Arrangement of seminars, lectures, research activities, and other events of

    mutual concern.

    . Definitions

    Unless the context requires otherwise, the following words shall have the following meanings in this Agreement: Exchange Student(s) shall mean students for which reciprocal obligations exist for th h i tit ti t t f ll t t d t f th h t i tit ti

    Areas of Cooperation

    XX and YYY will mutually cooperate to the following areas:1. Planning of seminars, meetings, lectures, research activities

    and other events of mutual concern. 2. Exchanging of faculty, undergraduate students and graduate

    students.3. Exchanging of information and documents of mutual interest.

    Program Implementation Agreements in relation to specific activities, projects, relevant funding and other matters relating to the implementation of this agreement shall be negotiated and executed under separate binding agreements.

    Language

    This Agreement is drawn up in duplicate versions in English and in Japanese, with both versions having equal validity, and each party to the Agreement will retain one copy of each version.

    *This Agreement shall be prepared in the English Language and in the Japanese language. In case of difference or disagreement over the meaning of any provision of this Agreement, the Englishversion will prevail.

    Purpose

    The objective of this Agreement is to establish specific relations and cooperation between these two institutions in order to enrich the understanding of the culture of the two countries concerned. This Agreement is to make possible on a continuing basis two kinds of student activity: student exchange, and study abroad.

    *The purpose of each student exchange or study abroad placement will be to enable students to take units (classes) but not to study for a degree at the Host Institution. Units passed at the Host Institution will normally be accepted for credit towards the degree at the students Home Institution for which he or she is enrolled. It will be the responsibility of each student in the student exchange and study abroad programs to obtain official approval from his or her own institution for units taken at the Host Institution.

    Definition

    Unless the context requires otherwise, the following words shall have the following meanings in this Agreement:

    Home Institution shall mean the institution at which the student is currently enrolled; Host Institution shall mean the institution that has agreed to receive students from the Home Institution.

    Exchange Students shall mean full-time registered students for which reciprocal obligations exist for the home institution to accept for enrollment students from the host institution, subject to the conditions outlined in this Agreement.

    Academic Year in the context of XXX means two semesters, from April to August (Spring Semester) and September to March (Fall Semester); and in the context of YYY means three terms, from September to December (Fall term), January to March (Winter term) and April to June (Spring term).

    Student Selection:

    Exchange students shall have completed at least two (2) years of undergraduate university work.

    Exchange students shall possess sufficient language proficiency, as determined by the host university, in order to follow lectures and carry out research work at the host university.

    The Host Institution reserves the right of making final judgments on the admissibility of each student nominated, taking into consideration such factors as a students language proficiency (if applicable) and previous academic background, and the availability of courses and programs at the Host Institution. This may have the net effect of restricting the range of courses, at the Host Institution, open to the visiting student. All students shall abide by the rules and regulations of the Host Institution.

    Financial Responsibility

    XXX will provide each YYY Exchange Student studying at XXX with:

    Tuition and related fees (including XXXs application fees) Assistance in finding appropriate accommodation Reports and statements of results (official transcripts) Orientation, Academic counseling and other assistance

    YYY will provide each XXX Exchange Student studying at YYY with:

    Tuition and related fees (including YYYs application fees) Assistance in finding appropriate accommodation Reports and statements of results (official transcripts) Orientation, Academic counseling and other assistance

    Financial Responsibility of Participating Students

    Each Exchange or Study Abroad Student shall meet the full costs related to:

    Travel to and from the Host country, including appropriate travel insurance

    Books and supplies Travel documents and visas Living and subsistence expenses Application or related fees for participating in the program as

    may be charged by the Home institution The cost of health and personal accident insurance at the Host

    Institution and Host country

    Administration / Project Management

    Final administration of the Agreement shall be the responsibility ofthe following:

    1. at XXX, the Vice Provost for International Affairs and Outreach.2. at YYY, the Vice President for International Affairs

    *Each institution will appoint one or more officers who will be responsible for the day-to-day communication and coordination of the programs, including the selection and counseling of participating students.

    *These officers shall each provide 24-hour contact information to hisor her counterpart and shall be responsible for immediate communication in the event of student injury or other incident whichmay require immediate notification.

    Governing Law

    This Agreement shall be governed by and construed under the law of the State of ZZZ, which shall be the forum for any lawsuits arising from and incident to this Agreement.

    *Rules and RegulationsStudents are required to observe the rules and regulations set forth by the Host Institution as well as the immigration regulations and laws of the Host country.

    Intellectual Property Right

    This agreement shall not be construed as any transfer or assignment of any intellectual property rights between the two institutions.

    *Intellectual property ownership shall be defined in the following manner:a. Patens that include claims for subject matter developed solely

    by the Host Institutions students and/or faculty would be owned solely by the Host Institution.

    b. Patens that include claims for subject matter developedsolely by the Host Institutions students and/or faculty and the Home Institutions students and/or faculty would be jointly owned by the Host Institution and the Home Institution.

    c. Patens that include claims for subject matter developed solely by the Home Institutions students and/or faculty would be solely owned by the Home Institution.

    Promotion and Use of Name

    A Party must obtain prior written consent from the other Party before it:

    undertakes any form of Advertising or Promotion;makes a public statement about this Agreement.

    *A Party must not use any trademark, logo, business or company name of the other Party (whether with or without graphic or photographic or other visual material) without the prior written consent of the other Party;

    apply for or register any trademark, business or company name containing the name of the other Party; or make any inaccurate claims of association with the other Party or any of its related entities to any other education and training provider.

    Privacy and Personal Information

    Both institutions agree to collect, process, use, disclose and otherwise manage personal information only for the purposes of fulfilling their obligations under this agreement.

    *Both institutions shall obtain from Students a written consent to the collection, use, disclosure and management of personal information about the Students and their respective institutions and transferring such information between themselves for the purposes of this agreement.

    Force Majeure

    Neither party shall be responsible for any failure or delay in the performance of any obligation imposed upon it hereunder nor shall such failure or delay be deemed to be a breach of this Agreement if such failure or delay is due to circumstances of any nature whatsoever which is not within its immediate control and is not preventable by reasonable diligence on its part.

    *In the event of a terrorist act, war, government order, revolution, riot, strike, labor dispute or any other publicized incident ofpublic violence or disorder occurring in the country of the Host

    Institution, the Home Institution shall be the sole judge whether this constitutes Force Majeure enablingthe Home Institution to delay or cancel the dispatch of students to the Host Institution.

    Term and Termination

    This Agreement shall become effective from the date of execution hereof and shall supersede all previous negotiations and agreements between the institutions relating thereto. Either institution wishing to terminate this Agreement shall notify the other institution in writing at least six months prior to termination. This Agreement shall remain in force for five years from the effective date and will be automatically be renewed for the next five years. Any decision to renew or negotiate the terms of this Agreement shall be made on the basis of mutual consultation between the two institutions.

    *Such notification shall not affect the status of Students who have already been accepted for programs initiated prior to the termination of this Agreement.

    The Integrated Project Consortium Agreement is made on DD-MM-20YY between the following institutions;
