Dear Client,

This letter is to confirm and specify the terms and objectives of the tax services engagement with you and Wicker Leisy, LLC, an Oregon limited liability company (“us,” “our,” “we,” or “Wicker Leisy”), and to clarify the nature and limitations of the tax services we will provide. In order to ensure an understanding of our mutual responsibilities, we ask all clients for whom tax services will be provided to confirm the following arrangements.

SCOPE OF SERVICES ——————————————————————————————We will prepare your 2017 Federal and Oregon Individual Income Tax Returns from information which you will furnish to us. We will not audit or otherwise verify the data you submit, although it may be necessary to ask you for clarification of some of the information.

It is your responsibility to provide all the information required for the preparation of complete and accurate returns. You represent that the information you are supplying to us is accurate and complete to the best of your knowledge. You should retain all the documents, cancelled checks and other data that form the basis of these returns. These may be necessary to prove the accuracy and completeness of the returns to a taxing authority. You have the final responsibility for the income tax returns and, therefore, you should review them carefully before you sign them.

Our work in connection with the preparation of your Individual Income Tax Returns does not include any procedures designed to discover defalcations and/or irregularities, should any exist. We will render such accounting and bookkeeping assistance as determined to be necessary for preparation of the income tax returns. We reserve the right to withdraw from this engagement if for any reason we feel determine the information provided to us presents a risk that we will not undertake. You agree to hold us harmless from any resulting damages that may occur by our withdrawal.

In the course of preparing income tax returns, we may have to request missing or corrected data from you in order to provide a complete and accurate work product. We strongly suggest that you provide the requested data promptly and with due care. If the answers or data you provide are still incomplete and/or will not correct the problem described, then we may request the data again. Any failure to provide timely cooperation, and to do so on a timely basis, will impede our services and may require us to suspend our services or withdraw from the engagement. Additional time spent by our office to request missing or corrected data will impact total fees charged for the tax return preparation.

In the event your tax return cannot be completed by the due date, it may become necessary for us to apply to extend the due date. Extensions are required when we do not receive information needed to prepare a tax return on a timely basis. We need to receive all necessary information for completion of

your 2017 tax return preparation no later than March 15, 2018. Applying for an extension of time to file does not extend time to pay the tax due. We are available to discuss this matter with you or to perform an estimated tax payment calculation, at your request, should the need arise. Additional time spent by our office to apply for an extension or to calculate an estimated tax payment will impact total fees charged for the tax return preparation.

Your returns may be selected for review by the taxing authorities. In the event of such government tax examination, you may be requested to produce documents, records or other evidence to substantiate the items of income and deduction shown on a tax return. Any proposed adjustments by the examining agent are subject to certain rights of appeal. If an examination occurs, we will be available upon your request to represent you if you so desire. However, these additional representation services are not included in the fee for tax return preparations and will render additional invoices for the time and expenses incurred.

The law provides various penalties that may be imposed when taxpayers understate their tax liability. If you would like information on the amount or the circumstances of these penalties, please contact our office.

FEES ————————————————————————————————————Our fee for the Individual Income Tax Return preparation services described in this letter will be based upon the amount of time required at standard billing rates plus out-of-pocket expenses. All invoices are due and payable upon presentation. Invoices unpaid 30 days past the billing date may be deemed delinquent, and are subject to an interest charge of 1.0% per month. We reserve the right to suspend our services or to withdraw from this engagement in the event that any of our invoices are deemed delinquent. In the event that any collection action is required to collect unpaid balances due us, you agree to reimburse us for our costs of collection, including attorneys’ fees.

CONCLUSION OF SERVICES ————————————————————————————Our services will be concluded upon delivery to you of your 2017 Federal and State Oregon Individual Income Tax Returns or one year from the date of this contract, whichever comes sooner. If we elect to terminate our services for nonpayment, or for any other reason provided for in this letter, our engagement will be deemed to have been completed upon written notification of termination, even if we have not completed our project. You will be obligated to compensate us for all time expended and to reimburse us for all of our out-of-pocket costs through the date of termination.

LIMITATION OF LIABILITY ————————————————————————————By signing this engagement letter, you agree that Wicker Leisy’s liability for damages under this engagement, regardless of the form of action, shall not exceed the total amount paid for services described in this letter. You further agree that Wicker Leisy will not be liable for any lost profits, or for any claim or demand against you by any other party. In no event will Wicker Leisy be liable for incidental or consequential damages, even if we have been advised of the possibility of such damages. No action, regardless of form, arising out of the services under this engagement, may be brought by either party more than one (1) year after the date the cause of action arises.

DISPUTE RESOLUTION —————————————————————————————The terms of this engagement are governed by Oregon law. If a dispute arises out of or relates to the engagement described herein, and if the dispute cannot be settled through negotiations, the parties agree first to try in good faith to settle the dispute by mediation using an agreed upon mediator. The parties shall share the costs of any mediation proceeding equally. If the claim or dispute cannot be settled through mediation, each party hereby consents to the exclusive jurisdiction and venue of the appropriate state or federal court located in Multnomah County, Oregon. Any such action will be heard by a judge sitting without a jury. This means that you are waiving your right to a jury trial.

If the foregoing fairly sets forth your understanding, please sign the enclosed copy of this letter in the space indicated and return it to our office. However, if there are other returns you expect us to prepare, please inform us by contacting our office as soon as possible.

HOME OFFICE RULES1. You must meet one of the following three usage requirements:
