5 DELIVERY

a. The shipment of total ordered quantity shall be arranged on immediate basis on receipt of order. b. Supplier shall dispatch 60-80 MT / Day material. c. ONLY THROUGH DUMPERS.

6 WEIGHMENT Weight as per our weighbridge shall be final and binding on both parties for the purpose of billing.

7 QUALITY

a. The samples shall be drawn from each truck received at site, and the composite sample shall be analyzed in our laboratory on daily basis. Weighted average of such daily analysis report for total order quantity shall be final and binding on both parties. b. However we shall allow joint testing of analysis of the coal supplied at our site by mutually agreed 3rd party inspection agency at your cost. For sampling purpose your representative and our QCD personnel shall be present at the time of joint testing.

8 PENALTY

In case the quality of supplied coal (as per sampling and analysis at our Lab) is different than the typical analysis of Coal indicated in attached technical specifications, Penalty shall be applicable as per following: GROSS CALORIFIC VALUE (ADB): In case average GCV (ADB) for the total Coal quantity supplied is lower than guaranteed GCV of 5,400 Kcal/Kg, then there will be pro-rata deduction based on average GCV received. MOISTURE CONTENT: Average Total Moisture content for the total Coal quantity supplied should not exceed 30%. Payment shall be deducted on pro-rata basis if moisture received is more than above specified limit. ASH CONTENT: Average Ash content for supplies should be 7% max. FINES: Max. Limit of fines (0-6mm) is 30%. QUANTITY SHORTAGE: In case we receive a shortage of more than 0.5% of total supplies, payment shall be deducted on prorata basis. SULPHUR CONTENT: Average Sulphur content in total supplies should be 0..08% Max. Applicable penalty amount & any adjustment on weighment shall be adjusted from the bills. The test report as per our Lab shall be treated final for bill passing.

9 DISPUTE/ ARBITRATION

All disputes arising out of or in connection with present contract shall be finally settled under the rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules. The venue of the arbitration will be Baroda, India and the arbitration proceedings will be governed by the Indian law. The language of the arbitration proceedings will be English.

10 FORCE MAJEURE

Neither party shall be liable for non-performance either in whole or in part of this order due to reasons unforeseen or beyond its control such as strikes, riots, lockouts, interruptions of traffic, acts of God, fire etc. In case an event of force majeure occurs, the other party will be notified immediately, in writing, detailing full facts of the case, and revised schedules, having regards to the interference.In case an event of force majeure continues for more than one month, both parties shall consult each other to find measures of settlement.
