คณธรรมและขอพงปฏบตงำนส ำหรบคคำ (Supplier Code of Conduct)

กลมทรตระหนกดวาการขบเคลอนความยงยนของธรกจในระยะยาวจะเกดขนไดตองอาศยความรวมมอจากทกภาคสวนตลอดหวงโซอปทาน (Supplier Chain) โดยคคาคอพนธมตรทส าคญในการสนบสนนและรวมสรางสรรคความยงยนตงแตตนน าจนถงปลายน า กลมทรจงใหความส าคญตอการจดการหวงโซอปทานอยางรบผดชอบ ซงหมายรวมถง การจดหาสนคาและบรการทสามารถตรวจสอบยอนกลบได การประเมนความเสยงในหวงโซอปทาน การปองกนคคาไมใหเกดการปฏบตทไมถกตองตามกฎหมายและระเบยบขอบงคบทเกยวของ ตลอดจนการท างานรวมกบคคาหลกเพอใหเกดการพฒนาปรบปรงอยางตอเนอง และทส าคญคอเพอสรางความสมพนธทดและยาวนานกบคคา

เพอใหบรรลเปาหมายการจดการหวงโซอปทานอยางมประสทธภาพ กลมทรมงมนทจะบรหารการจดซอจดหาสนคาและบรการโดยยดหลกความถกตองภายใตกฎหมาย กฎระเบยบ และขอบงคบตาง ๆ ทเกยวของ รวมทงการใหความส าคญตอหลกการก ากบดแลกจการทด ความรบผดชอบตอสงคม การอนรกษธรรมชาตและสงแวดลอม และการตอตานการคอรรปชน ดวยเจตจ านงดงกลาวฝายจดซอของกลมทรจงไดก าหนด คณธรรมและขอพงปฏบตงานส าหรบคคา (Supplier Code of Conduct) เพอใหคคายดถอเปนแนวปฏบตตามหลกการจดการองคกรทด และสนบสนนใหคคาปฏบตตอคคาของตนเองในท านองเดยวกน ซงถอเปนกลไกสวนหนงทส าคญในการบรหารจดการหวงโซอปทานอยางมประสทธภาพ

มำตรฐำนคคำ (Supplier Standards)

1.1 กำรปฏบตตำมกฎหมำยและกฎเกณฑ (Compliance with Laws and Regulations)

คคาจะตองปฏบตตามกฎหมายและกฎเกณฑทเกยวของของประเทศทคคาประกอบธรกจอย โดยยดจรยธรรมและความเทยงธรรมในการท าธรกจ กลมทรคาดหวงใหคคาสนบสนนและเคารพการปกปองสทธมนษยชนตามหลกสากลทพงกระท า

1.2 ควำมปลอดภยและคณภำพของสนคำ (Product Safety and Quality)

คคาจะตองสงมอบผลตภณฑและบรการทมคณภาพสง ปลอดภย และเปนมตรกบสงแวดลอม เพอสอดคลองกบความตองการและขอก าหนดของกลมทร

1.3 กำรตรวจสอบยอนกลบ (Traceability)

คคาจะตองมกระบวนการทสามารถแสดงหลกฐานหรอเอกสารรบรองแหลงก าเนดของผลตภณฑและบรการ ตลอดจนหลกฐานหรอใบรบรองมาตรฐานสากลดานคณภาพของกระบวนการผลต ใหแกกลมทรในกรณทมการรองขอ

1.4 สทธสวนบคคล ควำมลบ และทรพยสนทำงปญญำ (Privacy, Confidentiality and Intellectual Property)

1.4.1 คคาจะตองปกปองขอมลลบของลกคาตามสญญาทตกลงกนไว และตองไมเลนเลอเปดเผยขอมลลบของลกคา อกทงตองไมใชขอมลของลกคาโดยพลการ เวนแตไดรบการอนญาตจากลกคา

1.4.2 คคาตองเคารพกฎหมายประเทศหรอสนธสญญาระหวางประเทศทเกยวของกบทรพยสนทางปญญาทงของเครองหมายการคาและสทธบตร และตองไมละเมดลขสทธโดยการปลอมแปลง

1.5 แรงงำนเดก (Child Labour)

กลมทรคาดหวงใหคคาไมวาจาง (1) เดกทมอายต ากวา 14 ป หรอต ากวาอายขนต าของกฎหมายแรงงานทก าหนดในประเทศทคคาประกอบธรกจอย หรอเดกทมอายยงไมพนสภาพการศกษาภาคบงคบในประเทศนน หรอ (2) บคคลทมอายต ากวา 18 ป ท างานในสภาพแวดลอมทอาจเปนภยตอ สขภาพ ความปลอดภย หรอจตใจ ของบคคลนน ๆ

1.6 แรงงำนบงคบและกำรกดขแรงงำน (Forced Labour and Abuse of Labour)

1.6.1 คคาจะตองไมมสวนรวมในการใชแรงงานทถกบงคบอยางฝนใจ และหามการคามนษยและการเอารดเอาเปรยบแรงงานในทกรปแบบ

1.6.2 หามคคาลวงละเมดทง ทางรางกาย ทางเพศ และทางวาจา ไมวาในรปแบบของการขมข หรอการรงควานพนกงาน ในสถานทท างาน

1.7 กำรเลอกปฏบต (Discrimination)

คคาจะตองปฏบตตอพนกงานทกคนอยางเสมอภาคและใหโอกาสเทาเทยมกนในดานการจางงานและอาชพการงาน โดยปราศจากการเลอกปฏบตดวยสาเหตของ เชอชาต เผาพนธ สญชาต ศาสนา อาย ความพการ ทศนคตทางการเมอง สมาชกสหภาพ เพศ อตลกษณทางเพศ รสนยมทางเพศ สถานะทางครอบครวหรอชนชนทางสงคม และสาเหตอนใดทก าหนดภายใตกฎหมายของประเทศทคคาประกอบธรกจอย ซงมผลตลอดสญญาของการวาจาง

1.8 กำรจำงงำน คำจำง และผลตอบแทน (Employment Arrangements, Wages and Benefits)

1.8.1 คคาจะตองตกลงวาจางพนกงานอยางเปนทางการตามกฎหมายทมผลการบงคบใช อกทงตองมเอกสารการวาจางเปนลายลกษณอกษรทชแจงใหพนกงานทราบถงเงอนไขและผลตอบแทนของการจางงาน และหากจ าเปน เอกสารนตองถกแปลเปนภาษาแมของพนกงาน

1.8.2 คคาตองเสนอ คาจาง ชวโมงการท างานและเงอนไขการท างานตาง ๆ แกพนกงาน ไมนอยกวาเงอนไขทดทสดตามสภาพการจางงานในทองถนนน (อาท ตามทระบใน (i) ขอตกลงรวมกนทครอบคลมสาระส าคญระหวางนายจางและลกจาง (ii) กฎหมายหรอกฎเกณฑทเกยวของ) ส าหรบงานทมลกษณะเดยวกนทธรกจการคาหรออตสาหกรรมทเกยวของในพนทนนท าการวาจาง

1.8.3 คคาตองจายคาจางอยางถกตองตามสญญาวาจางในระยะเวลาไมเกนหนงเดอนแกพนกงานโดยตรง คคาควรมการเกบบนทกการจายเงนดงกลาว การหกคาจางจะกระท าไดตอเมอเปนไปตามทกฎหมายก าหนดไวหรอเปนไปตามขอตกลงรวมกน ทงนคคาควรแจงพนกงานทกครงทมการหกคาจางในขณะทจายเงนคาจางแตละงวด อนงคาจางควรสงพอทจะสนองความตองการขนพนฐานของพนกงานและบางสวนควรเหลอพอเกบเปนรายได

1.8.4 คคาจะตองปฏบตตามกฎหมายทบงคบใช ในเรอง ชวโมงการท างานปรกตและชวโมงการท างานลวงเวลา และควรตดตามความเหมาะสมของชวโมงการท างานลวงเวลา อกทงคคาตองอนมตใหพนกงานมวนหยดเฉลยอยางนอยหนงวนตอเจดวนท าการ

1.9 เสรภำพในกำรเขำรวมสมำคมและกำรรวมเจรจำตอรอง (Freedom of Association and Collective Bargaining)

คคาจะตองเคารพสทธเสรภาพของพนกงานในการเขารวมหรอจดตงสมาคม รวมถงการมสวนรวมในการเจรจาตอรองตามขนตอนทางกฎหมายและอ านาจศาล ทงนคคาจะไมเลอกปฏบตตอพวกตวแทนของพนกงานและยนยอมใหพวกตวแทนท าหนาทของตวแทนพนกงานในสถานทท างานได

1.10 อำชวอนำมยและควำมปลอดภย (Occupational Health and Safety)

1.10.1 คคาจะตองจดใหพนกงานของตนมสภาพแวดลอมการท างานท ปลอดภย ดตอสขภาพและถกสขลกษณะ คคาจะตองมขนตอนเพอลดความเสยงตอความปลอดภยของพนกงานและเพอปองกนอบตเหตและการบาดเจบจากการท างาน รวมถงการจดหาอปกรณความปลอดภยทเหมาะสมมาตดตงใชงานตามมาตรฐานทเกยวกบความปลอดภยและตามค าแนะน าของผผลต

1.10.2 คคาจะตองจดใหพนกงานมหองน าทสะอาด มสงอ านวยความสะดวกในการชะลาง มน าดม และถาจ าเปนมสถานทจดเกบอาหาร ในกรณมการจดหองพกใหพนกงาน หองพกตองสะอาด ปลอดภยและเปนทพงพอใจของพนกงาน

1.11 สทธในทดน (Land Rights)

คคาตองไมใชก าลงบงคบเพอใหไดมาซงทดน คคาจะตองไดรบทดนดวยการยนยอมอยางเสรจากชมชนโดยมการบอกกลาวลวงหนาและใหขอมลเพยงพอแกชมชน คคาตองเคารพสทธของชมชนและชนทองถนเพอรกษาทางเขาไปถงทดนใหคงทรพยากรแบบเดม

1.12 กำรบรหำรจดกำรสงแวดลอม (Environmental Management)

คคาควรมวธการปองกนปญหาดานสงแวดลอมลวงหนา มความคดรเรมทจะสงเสรมการรบผดชอบตอสงแวดลอม และเผยแพรเทคโนโลยทเปนมตรตอสงแวดลอมเพอด าเนนไปสวธอนรกษวฏจกรของสงแวดลอม คคาควรสงเสรมประสทธภาพของการใชพลงงานและน าในสถานทประกอบการของตน ตลอดจนมการบรหารจดการของเสยอยางมประสทธภาพ

1.13 กำรจดหำจดซออยำงรบผดชอบ (Responsible Sourcing)

คคาจะตองคดรอบคอบในการคดเลอกผจดหาสนคาและบรการตลอดจนผ รบเหมาชวง เพอใหแนใจไดวามการจดซออยางรบผดชอบตลอดหวงโซอปทาน คคาตองไมจดหาวตถดบหรอสวนประกอบของการผลตจากแหลงทมาทเกยวของกบ การกระท าอนผดกฎหมาย การละเมดสทธมนษยชน หรอการกอการราย

1.14 ควำมซอตรงตอธรกจ (Business Integrity)

1.14.1 คคาจะตองเปดเผยผลประกอบการทางการเงนอยางครบถวน ชดเจน และตรวจสอบไดตามหลกการบญชทเหมาะสมกบขนาด ลกษณะ และรปแบบของธรกจของตน

1.14.2 การท าธรกรรมทางธรกจและการคาทงหมดตองด าเนนการอยางโปรงใสและทกรายการถกบนทกอยางถกตองในสมดบญชของคคา หามคคาหรอพนกงานของตนมสวนรวมในการฟอกเงน อกทงคคาจะตองจดตงการควบคมขอมลทรดกมเพอใหมนใจไดวาไมมขอมลลบของกลมทรทคคาครอบครองอยถกน าไปแสวงหาผลประโยชน หรอเพอสนบสนนการซอขายหลกทรพยโดยบคคลภายใน (Insider Trading)

1.14.3 คคาจะตองปฏบตตามมาตรการคว าบาตรทางเศรษฐกจและทางการควบคมการสงออกท มผลบงคบใชตามกฎหมาย

1.15 ควำมขดแยงทำงผลประโยชน (Conflicts of Interest)

คคาจะตองเปดเผยใหกลมทรทราบ (1) ทกสถานะในอนทจะเกดการขดแยงในเชงผลประโยชน และ (2) กรณมพนกงานของกลมทรสนใจทจะมสวนรวมในกจการอนเกยวเนองกบธรกจหรอการเงนของคคา ไมวาพนกงานทานนนจะเปนสมาชกครอบครวหรอมความสมพนธสวนตวกบคคา

1.16 กำรตอตำนสนบนและคอรรปชน (Anti- Bribery and Corruption)

1.16.1 กลมทรคาดหวงวาคคาตองยดมนในจรยธรรมและจรรยาบรรณ เคารพกฎหมายทบงคบใชและไมกระท าการทจรต (Corruption) ในรปแบบใด ๆ รวมถงแตไมจ ากดเพยง การกรรโชก การฉอโกง หรอการตดสนบน กลมทรจะไมยอมประนประนอมกบการตดสนบนหรอการทจรต ไมวาจะเปนธรกรรมในรปแบบใด ๆ

1.16.2 การเสนอการบนเทงทางธรกจใด ๆ คคาตองค านงถงความสมเหตสมผลและเพยงเพอจดประสงคในการรกษาความสมพนธทางธรกจทด รวมถงการใหของก านล การบรการตอนรบ และการเลยงรบรองตองอยในขอบเขตทเหมาะสมและคคาตองไมคาดหวงวาจะไดรบผลประโยชนตอบแทน

1.16.3. คคาจะตองจดท านโยบายและขนตอนการปฏบตของตนเองเพอปองกนการคอรรปชนในหมพนกงานของตน คคาจะตองตดตามตรวจสอบและตรวจทานเปนประจ าวามการด าเนน การตามนโยบายและขนตอนการปฏบตหรอไม และตองมการจดฝกอบรมเรองการตอตานคอรรปชนใหแกพนกงานของตน

1.17 การสอสารเรองคณธรรมและขอพงปฏบตงานและการฝกอบรม (Communication of the Code and Training) คคาจะตองสอสารเนอหาสาระของคณธรรมและขอพงปฏบตงานฉบบนใหแก พนกงาน คคา และผ รบเหมาชวงของตนเพอยกระดบกระบวนการจดซอจดหาอยางมจรยธรรมและยงยนตลอดหวงโซอปทาน คคาควรใหการฝกอบรมแก พนกงาน ผ รบเหมาชวง และคคาของตนในสวนทเฉพาะเจาะจงของคณธรรมและขอพงปฏบตงานนตามความเหมาะสม กลมทรจะแปลเอกสารคณธรรมและขอพงปฏบตงานนและจดฝกอบรมและทยอยถายทอดเนอหาสาระดงกลาวตราบเทาทจะเปนไปไดตามค ารองขอของคคา

1.18 กำรบรหำรจดกำรเรองคณธรรมและขอพงปฏบตงำน (Management of the Code)

1.18.1 กลมทรคาดหวงวาคคาจะตองมการจดตง การด าเนนการ และการดแลรกษาระบบการจดการทเหมาะสม (รวมถงนโยบาย ขนตอนการปฏบต การสอสาร กระบวนการตรวจสอบและระบบควบคม) เพอใหคณธรรมและขอพงปฏบตงานฉบบนเกดผล อกทงมการตรวจสอบ การตดตามตรวจสอบ และการแกไขกระบวนการจดการของตน เพอใหแนใจวาการด าเนนธรกจและหวงโซอปทานของตนสอดคลองกบหลกการทก าหนดไวในคณธรรมและขอพงปฏบตงานน

1.18.2 คคาตองสามารถแสดงใหเหนถงการปฏบตตามคณธรรมและขอพงปฏบตงานนได เมอมการรองขอและเพอสรางความพงพอใจแกกลมทร เพอตรวจสอบความคบหนาของคคา

และผ รบเหมาชวงในการปฏบตตามคณธรรมและขอพงปฏบตงานน กลมทรอาจรเรมหาวธการสนบสนนตาง ๆ ดงน (1) ขอคคาใหค ามนในการปฏบตตามขอตกลงสากลโลกของสหประชาชาต (UN Global Compact) และ/หรอ รบรองตนเองวาปฏบตตามคณธรรมและขอพงปฏบตงาน และ (2) ด าเนนการ รวมถงการจางบคคลอสระทสาม (Independent Third Parties) ตรวจสอบภายใน (Audits) หรอประเมนผลและตรวจสงอ านวยความสะดวกตาง ๆ ณ สถานทของคคาและของผ รบเหมาชวง เพอประเมนวามการปฏบตตามคณธรรมและขอพงปฏบต นงาน โดยคคาจะตองใหความรวมมอทกประการ

1.18.3 ในกรณทพบขอบกพรอง กลมทรอาจเสนอแผนการปรบปรงและแกไขใหถกตองแกคคา

1.19 กำรรำยงำนขอกงกล (Reporting Concerns)

1.19.1 คคาจะตองจดใหพนกงานมขนตอนทเหมาะสมในการรองเรยนขอกงวลใด ๆ ทเกยวกบการปฏบตตามคณธรรมและขอพงปฏบตงานน หรอตามกฎหมายและกฎเกณฑทเกยวของ ขนตอนดงกลาวจะตองโปรงใสและงายตอการเขาใจ และจะตองปกปองพนกงานจากการถกตอบโต

1.19.2 คคามหนาททจะรายงานใหกลมทรทราบถงสถานการณหรอเหตการณทเกดขนใด ๆ ซงอาจสงผลกระทบตอการปฏบตตามคณธรรมและขอพงปฏบตงานนของตน รวมถงความไมสจรต การฉอโกง การคอรรปชน ความกงวลดานแรงงานและสทธมนษยชน ความเสยหายดานสงแวดลอม หรอพฤตกรรมผดจรรยาบรรณอน ๆ ทงนรายงานทงหมดกลมทรจะถอเปนความลบ

1.20 กำรยกเลกคคำและกำรขนบญชด ำ (Termination of Suppliers and Blacklisting)

คคาทไมยอมปฏบตตามคณธรรมและขอพงปฏบตงานนหรอไมปฏบตตามแผนการแกไขให ถกตอง จะมความเสยงทถกยกเลกสญญาตามขอตกลงทก าหนดไว หากกลมทรพบการฝาฝน คณธรรมและขอพงปฏบตงานนอยางรายแรง ไมวาจะเปนสวนของคคาในปจจบนหรอในอนาคต

Introduction

1. Our Values and Commitments

1.1 True Corporation Public Company Limited and its subsidiaries (collectively, the “Company”)

has become a leading business through entrepreneurship and a pioneering spirit, and by

anticipating the changing needs of countries and communities as they develop. As we

diversified over the years into new sectors, we have been guided by the values of integrity

and honesty.

1.2 From our first day, we have defined ourselves by the pursuit of shared value. We expect the

Board, Management and Staff to maintain high ethical standards in everything that they do.

That includes honest and fair dealing within our own Company in how we act with each

other, as well as externally with our suppliers and customers. It also requires responsible

action towards the environment and maintaining business dealings only with partners who

share similar ethical business practices.

1.3 We provide leadership, set strategic objectives and make decisions that will build real and

long-term value for the company and all of its stakeholders across the supply chain. We

expect every True Group company to implement this Policy and to provide the clear direction

and sustainable supply chain structures and processes that will stimulate robust and forward-

looking business.

1.4 We recognise that this is a time of rapidly changing critical issues and shifting business

dynamics in respect of supply chains. We seek to develop our supply chain management

principles and practices evolve to meet evolving international best practices.

1.5 We commit to balanced, effective and ongoing engagement with all of our stakeholders

across the supply chain. Whenever appropriate, we aim to uphold robust engagement with all

stakeholders in our supply chain. In how we measure success, we also aim to critically

assess, and hold ourselves to an assessment of, our efficacy in engaging and aligning with the

long-term interests of those stakeholders, and the supply chain as a whole.

1.6 Accordingly, in order to promote compliance with international ethical and sustainable

sourcing standards, all suppliers are required to comply with this Code of Conduct. We

expect suppliers to implement policies, procedures, communications, due diligence processes

and control systems to give effect to this Code within their business operations and supply

chains.

1.7 The Company is committed to promoting this Code among its suppliers and will supply

translations of the Code and training and cascading on its contents insofar as possible, on

request.

2. Purpose of this Code of Conduct

2.1 The Company expects suppliers to comply with applicable laws and regulations and to strive

to adopt national, international and industry best practices. Those best practices, and some of

the standards established in this Code of Conduct, are dynamic and suppliers should strive to

improve their workplace conditions accordingly.

2.2 This Code of Conduct sets out the Company’s minimum standards required of all suppliers

with whom it does business. The Company expects that these principles apply to, and are

communicated to, suppliers and their employees, parent, subsidiary or affiliate entities, and

subcontractors, and that the communication is done in the local language and in a manner that

is understood by all.

2.3 The Company also expects that its suppliers encourage and work with their own suppliers and

subcontractors to ensure that they also strive to meet the principles of this Code of Conduct.

Supplier Standards

3. Compliance with Laws and Regulations

3.1 Suppliers shall conduct their businesses in compliance with all applicable laws and

regulations and in accordance with ethical principles and fair business practice. The

Company expects its suppliers to support and respect the protection of internationally

proclaimed human rights and to ensure that they are not complicit in human rights abuses.

4. Product Safety and Quality

4.1 Suppliers shall provide high quality, safe and environmentally friendly products and services

in conformity with the Company’s requirements and specifications as agreed.

5. Traceability

5.1 Suppliers will develop the necessary procedures to provide evidence of product and service

origin and an internationally recognized quality standard of production to the Company, if

requested.

6. Privacy, Confidentiality and Intellectual Property

6.1 Suppliers shall protect the Company’s confidential information in accordance with any

agreements entered into with the Company and must not disclose, even if inadvertently, any

of the Company’s confidential information. Suppliers must not make independent use of the

Company’s data.

6.2 Suppliers undertake in particular to comply with all applicable national laws and international

treaties in force in relation to intellectual property, both in the case of trademarks and patents,

and to refrain from any act of counterfeiting.

7. Child Labour

7.1 The Company expects its suppliers not to employ: (a) children below 14 years of age or, if

higher than that age, the minimum age of employment permitted by the law of the country or

countries where the performance, in whole or in part, of a contract takes place, or the age of

the end of compulsory schooling in that country or countries, whichever is higher; or (b)

persons under the age of 18 for work that, by its nature or the circumstances in which it is

carried out, is likely to harm the health, safety or morals of such persons.

8. Forced Labour and Abuse of Labour

8.1 Suppliers shall not engage in any form of forced or compulsory labour in all its forms.

Human trafficking and exploitation are prohibited.

8.2 Suppliers shall prohibit physical, sexual and verbal abuse and all other forms of intimidation

or harassment in the workplace.

9. Discrimination

9.1 Suppliers shall ensure equality of opportunity and treatment in respect of employment and

occupation, without discrimination on grounds of race, ethnicity, nationality, religion, age,

disability, political views, union membership, gender, gender identity, sexual orientation,

familial status or social class, and such other grounds as may be recognised under the national

law of the country or countries where the performance, in whole or in part, of a contract takes

place.

10. Employment Arrangements, Wages and Benefits

10.1 Suppliers shall use all reasonable efforts to ensure that each worker is engaged by means of a

formal employment relationship recognised by applicable law and practice. Suppliers shall

provide workers with written and understandable information about their employment

conditions and wages. This information shall be translated into the worker’s mother tongue if

necessary.

10.2 The wages, hours of work and other conditions of work provided by suppliers should be not

less favourable than the best conditions prevailing locally (i.e., as contained in: (i) collective

agreements covering a substantial proportion of employers and workers or (ii) applicable

laws or regulations), for work of the same character performed in the trade or industry

concerned in the area where work is carried out.

10.3 The Company expects its suppliers to ensure the payment of wages in legal tender, at regular

intervals no longer than one month, in full and directly to the workers concerned. Suppliers

should keep an appropriate record of such payments. Deductions from wages are permitted

only under conditions and to the extent prescribed by the applicable law, regulations or

collective agreement, and suppliers should inform the workers concerned of such deductions

at the time of each payment. Wages should be high enough at least to meet workers’ basic

needs and to provide some discretionary income.

10.4 Suppliers shall comply with applicable laws on regular working hours and overtime hours

and shall monitor overtime hours accordingly. Suppliers shall permit workers an average of

at least one rest day for every seven-day period.

11. Freedom of Association and Collective Bargaining

11.1 Suppliers shall respect the freely exercised right of workers to join or form association and to

participate in any collective bargaining in accordance with legal procedures in the relevant

jurisdiction. Suppliers shall not discriminate against workers’ representatives and shall allow

representatives to carry out their representative functions in the workplace.

12. Occupational Health and Safety

12.1 Suppliers shall provide their employees with a safe, healthy and hygienic working

environment. Suppliers shall put in place procedures to minimise risks to workers and to

prevent accidents and injury, including providing workers with appropriate safety equipment

that is maintained in accordance with relevant standards and manufactures’

recommendations.

12.2 Suppliers shall provide workers with access to clean toilet and washing facilities, potable

water and, if appropriate, sanitary facilities for food storage. Any accommodation provided

shall be clean, safe and meet workers’ basic needs.

13. Land Rights

13.1 The Company does not tolerate the forcible acquisition of land. Suppliers shall acquire land

with the free, prior and informed consent of all communities. Suppliers shall respect the

rights of communities and indigenous peoples to maintain traditional access to land and

resources.

14. Environmental Management

14.1 Suppliers should wherever possible support a precautionary approach to environmental

matters, undertake initiatives to promote greater environmental responsibility and encourage

the diffusion of environmentally friendly technologies implementing sound life-cycle

practices. Suppliers should promote the efficient use of energy and water in their facilities

along with the efficient management of waste.

15. Responsible Sourcing

15.1 Suppliers shall exercise due diligence in the selection of their own suppliers and

subcontractors to ensure responsible sourcing throughout the supply chain. In particular,

suppliers shall not source raw materials or components from organisations or individuals

associated with illegal activities, human rights abuses or terrorism.

16. Business Integrity

16.1 Suppliers shall disclose their financial performance clearly and verifiably in accordance with

accounting principles appropriate to the supplier’s size, nature and form of its business.

16.2 All business and commercial dealings are to be performed transparently and recorded

accurately in the supplier’s books and records. No supplier nor any of its employees shall

participate in money laundering. Suppliers shall establish appropriate information controls to

ensure that no confidential information in the supplier’s possession regarding the Company is

used to engage in or support insider trading.

16.3 Suppliers shall comply with all applicable economic sanctions and export controls.

17. Conflicts of Interest

17.1 Suppliers are expected to disclose to the Company (a) any situation that may appear as a

conflict of interest and (b) if any Company employee may have an interest of any kind in the

supplier’s business or any kind of economic, familial or personal ties with the supplier.

18. Anti- Bribery and Corruption

18.1 The Company expects its suppliers to adhere to the highest standards of moral and ethical

conduct, to respect applicable laws and not engage in any form of corrupt practices, including

but not limited to extortion, fraud, or bribery. The Company will not tolerate any form of

bribery or corruption in any of its business activities.

18.2 Any business entertaining carried out by suppliers must be reasonable and solely for the

purpose of maintaining good business relations. Gifts, hospitality and entertainment must be

kept within reasonable limits and should never be given in the expectation of receiving any

advantage in return.

18.3 Suppliers shall implement their own policies and procedures to prevent corruption among

their workers. Suppliers shall regularly monitor and review the operation of these policies

and procedures and provide anti-corruption training to their employees.

Making the Code Effective: Processes and Procedures

19. Communication of the Code and Training

19.1 Suppliers shall communicate the contents of this Code to their employees, suppliers and

subcontractors to enhance ethical and sustainable sourcing processes throughout the supply

chain. Suppliers should offer training to their employees, subcontractors and suppliers on

specific parts of this Code, as appropriate. The Company will supply translations of the Code

and training and cascading on its contents insofar as possible, on request.

20. Management of the Code

20.1 The Company expects that its suppliers will establish, implement and maintain appropriate

management systems (including policies, procedures, communications, due diligence

processes and control systems) to give effect to this Code of Conduct, and that they actively

review, monitor and modify their management processes to ensure their business operations

and supply chains align with the principles set out in this Code of Conduct.

20.2 Suppliers must be able to demonstrate compliance with this Code at the request, and to the

satisfaction, of the Company. To review the progress of suppliers and subcontractors in

implementing the Code of Conduct, the Company may take various supporting initiatives,

including (i) requesting suppliers to commit to the Global Compact and/or to self-certify that

they comply with the Code of Conduct, and (ii) conducting, including through independent

third parties, audits, on-site evaluations and inspections of supplier facilities and those of their

subcontractors to assess compliance with this Code. Suppliers shall cooperate in all respects.

20.3 Where shortfalls are identified, the Company may provide suppliers with improvement and

corrective action plans.

21. Reporting Concerns

21.1 Suppliers shall provide workers with a suitable procedure for raising any concerns they have

regarding compliance with this Code, or with applicable laws and regulations. That

procedure shall be transparent and easily understandable, and shall protect workers from

retaliation.

21.2 Suppliers have a duty to report to the Company any situations or incidents which may affect

supplier’s compliance with this Code, including dishonesty, fraud, corruption, labour and

human rights concerns, environmental damages or any other unethical behaviour. All reports

will be dealt with in confidence.

22. Termination of Suppliers and Blacklisting

22.1 Suppliers who fail to adhere to the Code, or who fail to adhere to a corrective action plan, risk

termination of their supply agreement in accordance with its terms. If the Company discovers

serious non-compliance with this Code, whether on the part of a current or prospective

Supplier, it reserves the right to blacklist.
