ชดวชากฎหมายเกยวกบการคาระหวางประเทศและการลงทน Law on International Trade and Investment

ค าน า
การศกษาชดวชากฎหมายเกยวกบการคาระหวางประเทศและการลงทน เปนการศกษาในชดวชาหลกของวชาเอกกฎหมายธรกจ หลกสตรนตศาสตรมหาบณฑต และเปนชดวชาทนกศกษาสามารถศกษารวมกนส าหรบการศกษาในแขนงอนทเกยวของดวย เนอหา สาระของชดวชาน ประกอบไปดวย สองสวนหลก คอกฎหมายเกยวกบการคาระหวางประเทศ และ กฎหมายสวนทเกยวกบการลงทน ชดวชาน มความครอบคลมเนอหาทางดานกฎหมายการคา และ การลงทนอยางกวางขวาง และ เนองจากเปนชดวชาทมพลวตรสง นกศกษาจงจ าเปนทจะตองศกษา ทงจากต ารา เอกสารการสอน ตลอดจนเอกสารทางวชาการตางๆทมหาวทยาลยก าหนดใหศกษา และ ศกษาจากการคนควาขอมลจากแหลงอนๆ ทงทก าหนดใหศกษาคนควา และ จากแหลงทนกศกษาขวนขวายศกษาดวยตนเอง อยางกวางขวาง ทงในระนาบกวาง และ ระนาบลก ทงนเพอใหนกศกษาสามารถท าความเขาใจ คด และ วเคราะห สงเคราะห ตลอดจนตดตามความเคลอนไหว เปลยนแปลง เกยวกบกฎหมาย กรอบ ระเบยบ และ ทางปฏบต ของการคา การลงทน ระหวางประเทศ และเปนปจจย ทสงผลกระทบตอกฎหมายภายในประเทศอกดวย แผนการศกษา และ แผนกจกรรมชดวชากฎหมายเกยวกบการคาระหวางประเทศ และ การลงทน ฉบบน คณะกรรมการผลต และ บรหารชดวชา ไดจดท าขนเพอเปนแนวทาง และ กรอบของการศกษา ส าหรบนกศกษาเขารวมกจกรรม รบมอบหมายงาน และ ศกษาคนควาดวยตนเอง ตามกลมเนอหาวชา ทก าหนด การศกษาในระบบ การศกษาทางไกล ซงเนนการศกษาคนควาดวยตนเองน จง มงหมายทจะใหนกศกษา ไดทราบกรอบการศกษา แลวไปศกษา คนควา ดวยตนเองจากต ารา เอกสารการสอนตลอดจนแหลงอนๆ และน าผลของการศกษาวเคราะหมารวมอภปราย แสดงผลสมฤทธทางการศกษา การจดกจกรรมการเรยน การสอน จงแบงเปน การศกษาโดยการ สมมนาเสรม 2 ครง ซงนกศกษาจะตองปฏบตตามกจกรรมตางๆ ตามทไดระบไวในแผนกจกรรม และ ตามทไดรบมอบหมายอยางครบถวน จงจะสมฤทธผลทางการศกษา คณะกรรมการกลมผลตและบรหารชดวชา กฎหมายการคาระหวางประเทศและการลงทน

สอการศกษาประจ าชดวชา สอการศกษาประจ าชดวชา 41703 กฎหมายเกยวกบการคาระหวางประเทศและการลงทน ประกอบดวย 1. แผนกจกรรม แผนกจกรรมเปนคมอในการศกษา และ ท ากจกรรมของนกศกษาในการศกษาชดวชาน เพอใหบรรลเปาหมาย และวตถประสงคของการศกษา ตามทคณะกรรมการผลตและบรหารชดวชา และ มหาวทยาลยไดก าหนดไว 2. เอกสารการสอน
เอกสารการสอนชดวชากฎหมายการคาระหวางประเทศและการลงทน ประกอบไปดวย หนวยการสอน 15 หนวย แบงเนอหาเปนสองกลม กลมทหนงประกอบดวยสวนทเปนกฎหมายเกยวกบการคาระหวางประเทศ ไดแก เรอง การซอขายสนคาระหวางประเทศและอนสญญาวาดวยการซอขายสนคาระหวางประเทศ การขนสงสนคาระหวางประเทศ และ อนโคเทอม (INCOTERM) การประกนภยทางทะเล การช าระเงนในทางการคาระหวางประเทศ บทบาทของศลกากรกบการคาระหวางประเทศ กฎหมายเกยวกบธรกรรมพาณชยอเลกทรอนกส (Electronic Transaction) กลมทสอง ไดแกเรอง แนวคดเกยวกบการลงทนระหวางประเทศ กฎหมายควบคมการลงทนของประเทศทรบการลงทน กฎหมายสงเสรมการลงทน กฎหมายทสนบสนนการสงออกการลงทนของประเทศทสงออกทน สทธของเอกชนผลงทนตามความตกลงระหวางประเทศ การลงทนในธรกจบรการ กรอบแนวปฏบตของนกลงทนกบความรบผดชอบของนกลงทน และ การระงบขอพพาททางการคาระหวางประเทศและการลงทน ในเอกสารการสอน นกศกษาจะตองศกษาจากสวนเนอหาทบรรยายหลกกฎหมาย และ ทฤษฎตางๆ ทง 15 หนวย และ นกศกษาจะตองท ากจการการประเมนผลตนเองกอนเรยน และ หลงเรยน นอกจากนนในเตละเรอง ยงมแบบฝกปฏบต เพอเปนการประเมนความเขาใจของนกศกษาหลงจากการศกษา แลว วามความเขาใจเพยงใด ในหนงชดวชานกศกษา จะตองศกษา ไมนอยกวา 90 ชวโมง พรอมทงท าแบบฝกหดดงกลาวดวย
2. แนวการศกษา แนวการศกษาประกอบดวย 3 สวน ดงน
สวนท 1 แบบประเมนผลกอนเรยนและหลงเรยน สวนท 2 สรปสาระสงเขปหรอประเดนหลกของแตละหนวยการสอนรวมทงแหลงวทยาการตางๆ ทนกศกษาสามารถ ศกษา คนควาไดดวยตนเอง และ ศกษาเพมเตมจากทก าหนดในเอกสารการสอน เชน ต ารา บทความ หนงสอ ตลอดจนสออนๆ สวนท 3 กจกรรมทายเรอง 4. ต ารา: ประมวลสาระวชา ชดวชากฎหมายเกยวกบการคาระหวางประเทศและการลงทน 4.1 ต าราเกยวกบกฎหมายการลงทนระหวางประเทศ (Foreign Direct Investment)

1. จงวเคราะหวาหากประเทศไทยจ าเปนตองเขาเปนภาคของอนสญญาวาดวยการซอขายสนคาระหวางประเทศ United Nations Convention on International Sale of Goods (CISG) ประเทศไทยจะตองปรบปรงแกไขกฎหมายไทยในเรองใดบาง และ เพออนวตรการตามอนสญญาซอขายสนคาระหวางประเทศ จะตองออกกฎหมายในลกษณะใดจงจะไมกอใหเกดปญหาในการบงคบใชกฎหมาย เชนแกไขประมวลกฎหมายแพง พาณชย หรอ ออกกฎหมายใหม พระราชบญญตการซอขายสนคาระหวางประเทศ หรอ การแกไขพระราชบญญตกฎหมายขดกน พ .ศ. 2481 เปนตน และในแตละแนวทางทานจะเสนอแนะใหบญญตกฎหมาย/แกไขกฎหมายในเรองใด
2. ประเทศไทยจะออกกฎหมายใด และมสาระอยางไรบางเพอรองรบการใชเอกสารพาณชยอเลคโทรนคในเรองตางๆ เชน ใบตราสงอเลคโทรนค (Electronic Bill of Lading) Letter of credit อเลคโทรนค (Electronic Letter of Credit) เปนตน เนองจากปจจบนประเทศไทยยงไมมกฎหมายเกยวกบเอกสารดงกลาว ซงท าใหเปนปญหาในทางปฏบตเมอจะเปดประชาคมเศรษฐกจอาเซยน ทประเทศตางๆหนมาใชระบบเครอขายอเลคโทรนคในการท าธรกรรมระหวางประเทศ และ ตองการพฒนาระบบ ASEAN Single Window โดยแตละประเทศตองมระบบ Country Single Window มารองรบดวย แมวาประเทศไทยจะมพระราชบญญตพาณชยอเลคโทรนคแลวกตามแตเปนเพยงบททวไปทยงไมสามารถรองรบ Electronic Bill of Lading หรอ Electronic Letter of Credit ได
3. ใหนกศกษาวเคราะหปญหาการคามนษยกบผลกระทบตอการคา การลงทนระหวาง
ประเทศ ในฐานะทประเทศไทยเปน ประเทศตนทาง ประเทศทางผาน และ ประเทศ
ปลายทางของการคามนษย และ นกศกษาจะมขอเสนอแนะอยางไรในการแกไข
ปญหาการคามนษย เพราะการคามนษยเปนอปสรรคตอการคา การลงทนระหวาง
ประเทศ

1. ใหนกศกษา ศกษา และ วเคราะหสาระส าคญของหนวยการสอนจากประมวลสาระวชาชดวชากฎหมายการคาระหวางประเทศและการลงทน ตงแตหนวยท 8 ถง หนวยท 15 แลวใหนกศกษาสกดสาระส าคญของเนอหาทง 8 หนวย แลวสรปสาระส าคญของหนวยท 8-15 จดท าเปนรายงานน ามาสงในการสมมนาครงท 2

แบบฟอรมการจดท ารายงาน
การจดท ารายงาน ฉบบท 1 และ 2 ใหพมพในกระดาษ A4 โดยใชเครองพมพดด หรอ เครองคอมพวเตอร รายงานแตละฉบบทตองสงอาจารยควรมความยาว ประมาณ 15 - 20 หนา ส าหรบรายงานฉบบท 2 ตองมความครบถวนตามรปแบบ รวมทงการอางอง และ บรรณานกรม ทงภาษาไทย และ ภาษาองกฤษ ทงนการเขยนอางองและบรรณานกรมควรศกษารายละเอยดจากคมอการพมพวทยานพนธ และใหใชระบบอางองและบรรณานกรมระบบ นาม - ป แบบเดยวกบการท าวทยานพนธ หรอ การศกษาคนควาอสระ
ใหนกศกษาจดท ารายงานเปน 2 ชด โดยน าสงอาจารยประจ ากลม 1 ชด และเกบไวเปนของนกศ฿กษา 1 ชด โดยเลมรายงานควรมการเขาเลม และ มปก โดยใชรปแบบดงน

นกศกษาตองเตรยมความพรอมในการเสนอผลงานในวนสมมนาเขม และ สมมนาเสรม ดงน 1. การเตรยมซกซอมตนเอง ควรมการเตรยมตวลวงหนาในเรองตอไปน
1. การน าเสนอผลงาน อาจซกซอมวธการน าเสนอรายงาน ซกซอมการใชส อประกอบการน าเสนอเพอเพมความเชอมนในตนเอง ก าหนดเวลาทใชในการน าเสนอผลงาน ไมควรเกน 20 นาท
2. การตอบประเดนค าถาม ควรเตรยมการตอบประเดนทเปนสาระส าคญ อนง การศกษา และ เขยนรายงานดวยตนเอง ยอมจะสามารถตอบค าถามได แตตองฝกฝน การเตรยมตอบค าถามในแตละประเดน หรอ สาระส าคญ
2. การเตรยมสอเพอประกอบการน าเสนอควรจดเตรยมสงตอไปน
1. รายงานการวเคราะหประเดนปญหา ควรจดท าเปนรปเลมสงตออาจารยผสอน พรอมทงจดท าส าเนาใหเพอในกลม เพอไวศกษาประกอบการรายงาน
2. สรปเนอหา สาระทส าคญ ทจะรายงาน ประมาณ ไมเกน 20 หนา สงอาจารยผสอน พรอมทงถายเอกสาร จดท าส าเนาใหเพอนในกลมสมมนาไวศกษา
3. จดท าสอ น าเสนอผลงาน ในรปของ PowerPoint Presentation (PPTs) หรอการน าเสนอโดยใชแผนใส หรอ สออนๆทเหมาะสมกบการรายงาน

การประเมนผลการศกษา นกศกษาตองไดคะแนนไมนอยกวา รอยละ 60 หรอ 60 คะแนน คะแนนการจดท ารายงาน การน าเสนอรายงาน และ การสอบไลประจ าภาคการศกษา ดงน
1. การจดท าและการน าเสนอรายงานฉบบท 1 20 คะแนน 2. การจดท าและการน าเสนอรายงานฉบบท 2 20 คะแนน 3. การสอบไลประจ าภาคการศกษา 60 คะแนน
